[value] => Am vergangenen 17. März wurde das Königliche Gesetzesdekret 8/2020 über dringende außerordentliche Maßnahmen zur Bewältigung der wirtschaftlichen und sozialen Auswirkungen des COVID-19 („KGD”) erlassen, welches mehrere Maßnahmen handelsrechtlicher Art beinhaltet, wie u.a. die Fristverlängerung für die Aufstellung der Jahresabschlüsse durch die Verwaltungsorgane der Kapitalgesellschaften, die Möglichkeit der Abhaltung von Sitzungen der Hauptversammlung mittels telematischen Medien, auch wenngleich diese Maßnahme nicht ausdrücklich in der Unternehmenssatzung vorgesehen waren und eine Reihe von Maßnahmen, um ausländischen Investitionen (außerhalb der EU) in Spanien einzuschränken. Wir werden unseren Blick auf diese letztgenannte Maßnahme richten.
Das KGD suspendiert die Liberalisierung der direkten Investitionen, die von Investoren mit Wohnsitz außerhalb der EU und der Europäischen Freihandelsassoziation getätigt wurden. Die Suspendierung setzt voraus, dass während der Geltung dieser Norm eine Genehmigung erforderlich ist, um Investitionen durchführen zu können. Zu beachten ist, dass die Sonderregelung nicht an die Dauer der derzeitigen Krise gebunden ist, wobei ausdrücklich festgelegt wird, dass sie solange aufrechterhalten wird bis eine Vereinbarung vom Ministerrat erlassen wird, die deren Aufhebung verordnet. Ebenso hervorzuheben ist, dass es scheint, dass die Fälle von indirekten Investitionen nicht einbezogen sind, d.h., im Falle von europäischen Gesellschaften, die von Investoren mit Wohnsitz außerhalb der EU und der Europäischen Freihandelsassoziation kontrolliert werden.
Die Suspendierung der Liberalisierung ist nicht vollständig, sondern bezieht sich auf bestimmte Branchen und dies erklärt sich dadurch, dass Angesichts der derzeitigen Krise die Absicht besteht zu vermeiden, dass die Kontrolle über Unternehmen strategischer Branchen des öffentlichen Sektors durch ausländische Investoren erlangt werden kann. Daher wird hinsichtlich dieser kritischen Branchen (wie z.B. Infrastrukturen, Energie und Technologie) die normale Regelung ausgesetzt, soweit sie die öffentliche Ordnung, öffentliche Sicherheit und öffentliche Gesundheit beeinträchtigt.
Die Beschränkung auf Investitionen gilt, aufgrund der Investitionen, wenn die Beteiligungen des ausländischen Investors am Gesellschaftskapital der spanischen Gesellschaft 10% oder mehr betragen, oder wenn die Kontrolle über das Verwaltungsorgan, gemäß Artikel 42 des Handelsgesetzbuchs, übernommen wird. Die Beschränkung gilt auch, abgesehen vom Prozentsatz oder vom Kontrollerwerb, wenn die Kapitalanlage durch bestimmte Personen erfolgt: die direkt oder indirekt durch ausländische Regierungen kontrolliert wird, die Investitionen oder Beteiligungen an Branchen, im Bereich öffentlicher Ordnung, öffentlicher Sicherheit und öffentliche Gesundheit in einem anderen Mitgliedstaat oder gegen die, wo entweder ein Verwaltungsverfahren oder ein Gerichtsverfahren eingeleitet wurde, gegen ausländische Investoren in einem anderen Mitgliedstaat oder in seinem Herkunftsstaat oder in einem Drittstaat wegen der Ausübung krimineller oder illegaler Aktivitäten.

[value] => El pasado 17 de marzo se aprobó el Real Decreto-ley 8/2020 de medidas urgentes extraordinarias para hacer frente al impacto econòmico y social del COVID-19 (el “RD-Ley”), que incluye varias medidas de naturaleza mercantil como, entre otras, la ampliación de plazos para la formulación de las cuentas anuales por los órganos de administración de las sociedades mercantiles, la posibilidad de celebrar reuniones de la Junta General por medios telemáticos aunque esta opción no estuviera expresamente prevista en los estatutos sociales y una serie de medidas dirigidas a restringir las inversiones extranjeras (de fuera de la UE) en España. Nos centraremos en estas últimas.
El RD-Ley suspende el régimen de liberalización de las inversiones directas realizadas por inversores residentes en países fuera de la Unión Europea y de la Asociación Europea de Libre Comercio. La suspensión supone que, durante la vigencia de la norma, será necesaria autorización para esas inversiones. Cabe destacar que el régimen especial no está vinculado a la duración de la presente crisis, sino que se dispone expresamente que se mantendrá hasta que se dicte un acuerdo del Consejo de Ministros decretando su levantamiento. Igualmente, es reseñable que no parece incluir los casos de inversiones indirectas, es decir, las realizadas a través de sociedades europeas controladas por inversores residentes en países fuera de la Unión Europea y de la Asociación Europea de Libre Comercio.
La suspensión del régimen de liberalización no es completa, sino que se refiere a determinados sectores y se explica por la intención de evitar que, en el contexto de la presente crisis, pueda adquirirse el control por inversores extranjeros de empresas de sectores estratégicos de interés público. De ahí que el régimen se suspenda en relación con estos sectores críticos (como son infraestructuras, energía, tecnología, etc.), en la medida en que afectan al orden público, la seguridad pública y la salud pública.
La restricción a las inversiones se aplica cuando, como consecuencia de la inversión, el inversor extranjero pasase a ostentar una participación igual o superior al 10 por 100 del capital social de la sociedad española, o cuando se tome el control del órgano de administración de la sociedad española, conforme a lo previsto en el artículo 42 del Código de Comercio. La restricción se aplicará también, aparentemente al margen del porcentaje o de la adquisición del control, cuando la inversión se realice por determinado tipo de sujetos: los controlados directa o indirectamente por gobiernos extranjeros, las inversiones o participación en sectores que afecten a la seguridad, al orden público y a la salud pública en otro Estado miembro o contra el que se hubiera abierto o un procedimiento, administrativo o judicial, contra el inversor extranjero en otro Estado miembro o en el Estado de origen o en un tercer Estado por ejercer actividades delictivas o ilegales.
