[value] => Mit Beschluss vom 27. Juli 2016 hat die spanische Generaldirektion für das Register und Notariat (DGRN) die Eintragung einer Kapitalerhöhungsurkunde zu Lasten von Kapitalrücklage (Agio) mit dem Argument abgelehnt, aus der Kapitalerhöhung zugrunde liegenden Bilanz gehe hervor, dass nach Abzug von Verlusten und anderen Gegenposten keine ausreichenden frei verfügbaren Rücklagen übrig blieben, um diese für den vereinbarten Betrag der Kapitalerhöhung zu verwenden. Der DGRN zufolge ist die Bildung von Gesellschaftsanteilen nicht möglich, wenn diese keiner tatsächlichen Kapitalzuführung der Gesellschaft entsprechen. Im Falle einer Kapitalerhöhung zu Lasten von Rücklagen ergibt sich daraus die Notwendigkeit, das tatsächliche Vorhandensein dieser Mittel im Gesellschaftsvermögen sowie ihre Verfügbarkeit zur Umwandlung in Kapital ordnungsgemäß nachzuweisen. Der Wert des Eigenkapitals hat das gezeichnete Gesellschaftskapital sowie die bis dahin dotierte gesetzliche Rücklage zumindest in Höhe des Kapitalerhöhungsbetrages zu überschreiten, d.h. die Existenz eines nicht durch andere Aktiv- oder Passivposten der Bilanz verzerrten tatsächlichen vermögensrechtlichen Gegenwertes ist nachzuweisen.
Eine wesentliche Voraussetzung für die Umwandung von Rücklagen (einschl. Agio) in Kapital bzw. Gewinnen ist gem. der DGRN nicht nur deren Qualifizierung als Eigenmittel, sondern auch deren freie Verfügbarkeit. Diese freie Verwendung der Rücklagen ist jedoch nur dann möglich, wenn es keine Verluste gibt, die zuvor zu decken sind. Andernfalls wären sie nicht uneingeschränkt verfügbar und würden nicht die in Art. 303 des spanischen Kapitalgesellschaftsgesetzes (LSC) genannten Anforderungen für ihre Kapitalisierung erfüllen.

[value] => El pasado 27 de julio de 2016 la Dirección General de los Registros y del Notariado (DGRN) dictó una resolución por la que se rechaza la inscripción de una escritura de aumento de capital con cargo a prima de emisión debido a que del balance que sirve de base al aumento de capital resulta que, deducidas las pérdidas y reservas negativas, no quedan reservas disponibles suficientes para aplicarlas a un aumento de capital por el importe acordado. La DGRN recuerda que no cabe crear participaciones sociales que no respondan a una efectiva aportación patrimonial de la sociedad. Esta exigencia, en el caso una de ampliación de capital con cargo a reservas, se traduce en la necesidad de justificar adecuadamente la efectiva existencia de esos fondos en el patrimonio social y su disponibilidad para transformarse en capital. Por tanto, resulta necesario acreditar que el valor del patrimonio neto contable excederá de la cifra de capital social y de la reserva legal hasta entonces constituida en una cantidad al menos igual al importe de la ampliación, es decir, la existencia de un efectivo contravalor patrimonial no desvirtuado por otras partidas del activo o del pasivo del balance.
La DGRN establece que un requisito esencial para la capitalización de las reservas (incluidas las constituidas por prima de asunción) o beneficios no es sólo que tengan la consideración de recursos propios, sino también que sean de libre disposición. Y esa libre disposición de las reservas tan solo es posible en tanto no existan pérdidas que hayan de enjugarse previamente. De lo contrario, las reservas no serían plenamente disponibles y no reunirían los requisitos legalmente exigidos por el artículo 303 LSC para su capitalización.
