[value] => Mit der am 16.02.2017 beschlossenen Reform hat der Bundestag endlich auf die langanhaltende Kritik an der bisherigen Rechtslage reagiert.
Grundsätzlich ist es nur sachgerecht, dem Insolvenzverwalter ein Anfechtungsrecht einzuräumen, wenn ein Vertragspartner vor Insolvenzeröffnung von der Zahlungsunfähigkeit des Schuldners wusste und sich dennoch durch Entgegennahme einer Zahlung bereicherte. In Folge dieser Vorsatzanfechtung wird der Geschäftspartner verpflichtet, das Erhaltene zurückzugewähren.
Bisher reicht es für die Bösgläubigkeit des Vertragspartners jedoch bereits aus, dass eine Zahlung auf Raten vereinbart wurde. Dies birgt beispielsweise bei Lieferantenkrediten ein für den Geschäftspartner unberechenbares Risiko.
Die Reform räumt diese Ungewissheit aus und schafft eine adäquate Lösung unter den Insolvenzgläubigern.
Eine Anfechtung von kongruenten Zahlungen ist künftig nur möglich, wenn der Insolvenzverwalter nachweist, dass der Vertragspartner von einer tatsächlich vorliegenden Zahlungsunfähigkeit des Schuldners positive Kenntnis hatte. Damit besteht gerade bei Ratenzahlung eine widerlegliche Vermutung zugunsten des Vertragspartners.
Vorgesehen ist zudem eine Erweiterung des sogenannten Bargeschäfts-privilegs: Bargeschäfte stellen Rechtsgeschäfte dar, bei welchen der Leistungsaustausch regelmäßig binnen 30 Tagen erfolgt. Eine Anfechtung dieser ist nach neuer Rechtslage nur möglich, wenn der andere Vertragsteil von einer unlauteren Handlungsweise des künftigen Insolvenzschuldners wusste und der Insolvenzverwalter diese beweisen kann. Das Bargeschäftsprivileg ist zukünftig auch im Rahmen von Arbeitsverhältnissen anwendbar, wobei der Zeitraum des Leistungsaustauschs auf drei Monate ausgeweitet wird.
Zudem wird die Anfechtungsfrist von zehn auf vier Jahre herabgesetzt.
Zusammenfassend ist die Beschränkung der Sonderrechte des Insolvenzverwalters sehr zu begrüßen. Um nach der neuen Rechtslage eine erfolgreiche Insolvenzanfechtung zu vermeiden, ist im Rahmen von Bargeschäften ein Leistungsaustausch binnen 30 Tagen zu empfehlen.

[value] => Con la reforma del 02/16/2017 el Bundestag finalmente ha respondido a la crítica constante que se venía manteniendo respecto a la situación jurídica.
Es justo que el administrador concursal tiene el derecho de impugnación cuando la parte contratante, antes de declararse la insolvencia ya sabía de la falta de liquidez del deudor, beneficiándose así con la recepción de un pago. Con la impugnación, la parte contratante está obligada a devolver lo recibido.
Hasta ahora era indicio de mala fe de la parte contratante cuando existe un plan de pago aplazado, que, por ejemplo, en el caso de un crédito de proveedor supone un riesgo incalculable para éste.
La reforma proporciona una solución adecuada entre los acreedores concursales.
En el futuro, una impugnación de los pagos “congruentes” solo será posible, si el administrador concursal demuestra, que la otra parte tenía verdaderamente conocimiento sobre la existencia de la falta de liquidez. Con ello, precisamente en el caso de existir un acuerdo de pago aplazado, existe una presunción a favor del contratante.
También se ha previsto una ampliación de los llamados “Bargeschäfts-privilegs” (privilegio de transacción en efectivo): transacciones en efectivo son transacciones en las que el intercambio de servicios se lleva a cabo regularmente dentro del plazo de 30 días. Con la reforma, una impugnación sólo será posible, si la otra parte contratante sabía de la acción desleal del deudor y el administrador concursal puede probar este hecho. En un futuro, el “Bargeschäftsprivileg” también se aplicará a las relaciones laborales, extendiéndose en este caso el tiempo de intercambio del servicio a tres meses.
Además, el plazo de impugnación se reduce de diez a cuatro años.
En resumen, la restricción de los privilegios del liquidador es de agradecer. Con la nueva regulación, para evitar una exitosa impugnación del contrato, en las transacciones en efectivo se recomienda un intercambio de servicios dentro de los 30 días.
