[value] => Falls eine Kapitalgesellschaft innerhalb eines Geschäftsjahres Gewinne erzielt, muss die Gesellschafterversammlung über deren Verwendung bestimmen. Nach Anlage der gesetzlich erforderlichen Mindestrücklagen können die Gesellschafter mit den verbleibenden Gewinnen weitere Rücklagen anlegen oder Investitionen tätigen. Alternativ können die verbleibenden Gewinne aber auch an die Gesellschafter ausgeschüttet werden.
Obwohl die Gesellschafterversammlung die Frage der Gewinnverwendung grundsätzlich frei entscheiden kann, gab es in Spanien bereits mehrere Gerichtsentscheidungen, durch welche Gesellschaften dazu verpflichtet wurden, Gewinne an die Gesellschafter auszuschütten. Diesen Entscheidungen lagen vor allem Fälle zugrunde, in denen die Mehrheitsgesellschafter den Minderheitsgesellschaftern in missbräuchlicher Weise ihr Recht auf Gewinnbeteiligung vorenthielten und beispielsweise von einer hohen Vergütung des Geschäftsführeramtes profitierten. Gesellschafterbeschlüsse, die zum Schaden der Minderheitsgesellschafter in systematischer Weise jährlich eine Nichtausschüttung der Gewinne bestimmten, wurden von den Gerichten als missbräuchlich eingestuft.
Darüber hinaus existiert in Spanien seit dem Jahre 2011 eine Vorschrift, durch die den Gesellschaftern nicht börsennotierter Kapitalgesellschaften ab dem fünften Geschäftsjahr seit der Gesellschaftsgründung das Recht eingeräumt wird, aus der Gesellschaft auszutreten und den Wert ihrer Beteiligung ausbezahlt zu bekommen, sofern die Gesellschaft nicht die Ausschüttung von mindestens einem Drittel der ausschüttungsfähigen Gewinne beschlossen hat. Bislang wurde die Wirksamkeit dieser Vorschrift seit deren Verabschiedung regelmäßig ausgesetzt. Seit dem 1. Januar dieses Jahres wurde diese Aussetzung jedoch nicht verlängert. Dies könnte zu Konflikten in kleinen und mittleren Unternehmen führen, da die Minderheitsgesellschafter durch das Austrittsrecht eine Gewinnausschüttung erzwingen könnten.

[value] => En el caso de que una sociedad de capital obtenga beneficios al cierre de un ejercicio, la Junta General de Socios debe determinar la aplicación del resultado. Una vez satisfechas ordenadamente las reservas obligatorias, los socios pueden optar seguir incrementando las reservas de la Sociedad en previsión de que en el futuro pueda haber pérdidas o para realizar inversiones. Alternativamente, los socios pueden decidir repartir los beneficios en su totalidad o en parte.
Aunque, en principio, la Junta General es soberana en la decisión, en España ha habido varias sentencias por las cuales la sociedad se veía obligada a repartir parte de los beneficios entre los socios. En especial, estas sentencias se referían a casos donde la mayoría se beneficia de una remuneración elevada del puesto de administrador, pero priva a los socios minoritarios de forma abusiva de su derecho a participar en el reparto de las ganancias sociales. En este sentido, los tribunales han calificado de abusivos los acuerdos adoptados sistemáticamente todos los años de no repartir dividendos, en la medida en que puede perjudicar a la minoría.
Al margen de esto, en el derecho español existe una norma que desde el 2011 establece el derecho de los socios de sociedades de capital no cotizadas a separarse de la sociedad y obtener su cuota de liquidación, cuando, a partir del quinto ejercicio desde su constitución, la Junta General no acordara la distribución como dividendo de, al menos, un tercio de los beneficios que sean legalmente repartibles. Este derecho solo se puede excluir por un acuerdo unánime. La vigencia de esta norma fue suspendida periódicamente todos los años desde su aprobación. Sin embargo, desde el 1 de enero de este año, no se ha producido esta prórroga de la suspensión, lo cual puede abrir el paso a conflictos en las sociedades pequeñas y medianas, en las que la minoría puede forzar al citado reparto ante el riesgo de la separación y descapitalización.
