[value] => Der Austritt des Vereinigten Königreichs aus der EU („Brexit“) verursacht für diejenigen deutschen Unternehmen Unsicherheit, die sich derzeit einer englischen Rechtsform bedienen. Charakteristisch für diese Gesellschaften ist, dass sie nach englischem Recht gegründet worden sind, ihre Geschäftstätigkeit jedoch ausschließlich in Deutschland ausüben. Oder rechtlich ausgedrückt: Diese Gesellschaften haben ihren Satzungssitz in England und ihren Verwaltungssitz in Deutschland. Bekannte Beispiele sind die Drogerie Müller Ltd. & Co. KG und die Air Berlin PLC & Co. Luftverkehr KG.
Bislang profitieren diese Gesellschaften von der unionsrechtlichen Niederlassungsfreiheit, die explizit die grenzüberschreitende Verwendung sog. Briefkastengesellschaften gestattet. Entsprechend gilt für sie nach der Rechtsprechung des Bundesgerichtshofs (BGH) die sog. Gründungstheorie. Danach ist für diese Gesellschaften das Recht des Staates maßgeblich, nach dessen Recht sie gegründet wurden, und zwar unabhängig vom effektiven Verwaltungssitz. Mittlerweile ist klar, dass die britische Regierung einen „harten“ Brexit verfolgt; denn die grenzüberschreitende Freizügigkeit des Personenverkehrs soll gerade nicht beibehalten werden. Vielmehr sollen die Wirtschaftsbeziehungen durch ein Abkommen gestaltet werden. Dabei kommt die Anerkennung englischer Gesellschaften in Deutschland nur in Betracht, wenn hierzu eine ausdrückliche völkerrechtliche Regelung vorgesehen wird. Andernfalls wird der BGH auf englische Gesellschaften die sog. Sitztheorie anwenden. Danach entscheidet der tatsächliche Verwaltungssitz über das anwendbare Gesellschaftsrecht. Bei der Konstellation einer englischen Gesellschaft, die im Vereinigten Königreich nur über einen Briefkasten verfügt und ihre Haupttätigkeit in Deutschland ausübt, wäre dies das deutsche Gesellschaftsrecht. Welche rechtlichen Konsequenzen sich hieraus ergeben und wie unerwünschte Folgen vermieden werden können, wird Gegenstand unseres nächsten Newsletters sein.

[value] => La salida del Reino Unido de la UE (“Brexit”) ocasionará gran inseguridad para aquellas sociedades que han adoptado una de las formas societarias propias al ordenamiento jurídico inglés. Estas sociedades se caracterizan por haber sido constituidas con arreglo a la legislación inglesa, sin embargo, llevan a cabo sus operaciones comerciales en Alemania. En otras palabras, estas sociedades tienen su domicilio social en Inglaterra pero su centro administrativo en Alemania. Algunos ejemplos conocidos que reflejan esta práctica los constituyen Drogerie Müller Ltd. & Co. KG o Air Berlin PLC & Co. Luftverkehr KG. Hasta ahora podían aprovecharse dichas sociedades del régimen jurídico europeo en materia de libertad de establecimiento.
Efectivamente, la jurisprudencia del Tribunal Supremo alemán (BGH) acepta a nivel europeo la denominada “teoría de la constitución”, según la cual la sociedad se rige según aquella legislación nacional al cobijo de cuyas normas se haya constituido, todo ello con independencia del Estado en que de hecho tenga su centro administrativo. Ahora bien, según las más recientes noticias va quedando claro que el gobierno británico buscará un Brexit „duro“ en el que desaparecerá la libre circulación de personas y con el que se buscará redefinir las relaciones comerciales sobre la base de nuevos convenios. El reconocimiento mutuo de sociedades inglesas en Alemania sólo podrá efectuarse en aquellos casos en que existan los instrumentos de derecho internacional que prevean tal posibilidad. De lo contrario, el BGH ya no aplicaría la teoría de la constitución, es decir, tal tipo de sociedades se regirían según el derecho societario aplicable en el territorio en el que de hecho se encuentre su centro administrativo. Es decir, una sociedad constituida con arreglo a la normativa inglesa que lleva a cabo sus operaciones comerciales principales en Alemania, debería someterse al derecho societario alemán. En nuestra próxima contribución nos ocuparemos de las consecuencias jurídicas para tales sociedades y examinaremos las posibles vías para evitar repercusiones indeseadas.
