[value] => In praktisch allen Mietverträgen von Flächen in Einkaufszentren ist die Verpflichtung des Mieters enthalten, einer Werbegemeinschaft beizutreten und Beiträge zu dieser zu leisten. Die Einzelheiten darüber führen häufig zu Streit. Der BGH hatte zwar 2006 entschieden, dass eine formularmäßige Verpflichtung des Mieters, einer Werbegemeinschaft in der Form einer Gesellschaft bürgerlichen Rechts (GbR) beizutreten und entsprechende Beiträge zu leisten, unwirksam sei. Der BGH hat aber nun die Position der Vermieter in zwei Entscheidungen gestärkt. Zum einen hat der BGH entschieden, dass eine auch formularmäßige Verpflichtung des Mieters, einer Werbegemeinschaft in Form eines eingetragenen Vereins beizutreten, den Mieter nicht unangemessen benachteilige (Az.: XII ZR 146/14). Zum anderen hat der BGH entschieden, dass ein Mieter nach dem Beitritt zu einer Werbegemeinschaft zur Zahlung der Beiträge verpflichtet sei, auch wenn die zugrundeliegende Verpflichtung unwirksam war (Az.: XII ZR 147/14).
Die Rechtsprechung kommt Vermietern damit deutlich entgegen. Gleichwohl ist zu raten, bei Neuabschlüssen und Nachträgen auf die Details der vertraglichen Regelung zu achten. So ist es insbesondere erforderlich, dass die Satzung des Vereins (Werbegemeinschaft) tatsächlich dem Mietvertrag beigefügt wird, wenn sich nur aus dieser die Höhe der Beiträge ergibt und in dem Mietvertrag keine Obergrenze vereinbart ist. Mieter von Flächen in Einkaufszentren, die verpflichtet sind, einer Werbegemeinschaft auch in Form einer GbR beizutreten, sollten erwägen, die Beteiligung an der Werbegemeinschaft zu kündigen bzw. einer solchen erst gar nicht beizutreten. Mieter sollten hellhörig werden, wenn der Vermieter im Zusammenhang mit der Änderung eines Mietvertrags auch eine Änderung der Klausel zu Werbegemeinschaften vorschlägt. Möglicherweise geht es dem Vermieter um die Heilung einer bisher unwirksamen Klausel.

A menudo, los detalles al respecto son motivo de controversia. El Tribunal Superior alemán (BGH) decidió en 2006 que la obligación del arrendatario de ingresar en un grupo de promoción con la forma jurídica de sociedad civil alemana (GbR) era nula si venía impuesta en condiciones generales. Pero ahora, el BGH ha fortalecido la posición jurídica de los arrendadores. Por un lado, el BGH ha decidido que la obligación del arrendatario de ingresar en un grupo de promoción con la forma jurídica de asociación no perjudica excesivamente al arrendatario, aunque esta obligación esté incluida en condiciones generales (Az.: XII ZR 146/14). Por otro lado, el BGH ha decidido que, después de haber ingresado en un grupo de promoción, el arrendatario está obligado a pagar las cuotas, aunque la cláusula que obligaba al ingreso fuera ineficaz (Az.: XII ZR 147/14).
Esta jurisprudencia favorece claramente a los arrendadores. A pesar de todo, es aconsejable prestar atención a los detalles de los nuevos contratos y adendas. En particular, es necesario adjuntar al contrato de arrendamiento los estatutos de la asociación (grupo de promoción) si es la única manera de conocer el importe de las cuotas y si el contrato de arrendamiento no establece ninguna cuota máxima. Los arrendatarios obligados a ingresar en grupos de promoción con la forma jurídica de sociedad civil alemana (GbR), deberían valorar la posibilidad de terminar el contrato o, ya desde el principio, de no aceptar una incorporación a la sociedad. También debería ser motivo de alerta el hecho de que el arrendador, en el contexto de una modificación del contrato de arrendamiento, proponga una modificación de la cláusula sobre los grupos de promoción. Seguramente, lo que quiere el arrendador es subsanar una cláusula ineficaz.
