[value] => Insbesondere ausländische Unternehmen, die in Spanien eine Gesellschaft oder Niederlassung gründen und Angestellte beschäftigen möchten, sehen sich mit dem Problem konfrontiert, den auf ihre Branche anwendbaren Tarifvertrag zu bestimmen.
Nach Art. 3 der Verordnung 2/2015 vom 23. Oktober, mit der das Arbeitnehmergesetz (im Folgenden: AG) verabschiedet wurde, bemisst sich die Regelung des Arbeitsverhältnisses nach den Gesetzen und Vorschriften des Staates, den Tarifverträgen, dem Willen der Parteien sowie den örtlichen und gewerblichen Gewohnheiten.
Auch wenn das Arbeitsverhältnis sich grundsätzlich nach dem Willen der Parteien richtet, kann der Tarifvertrag jedoch nicht frei bestimmt werden. Das Oberlandesgericht von Aragón erklärte in einem Urteil vom 12. Mai 2003, dass „weder der Arbeitnehmer die Rechte, die in dem Tarifvertrag – Artikel 3.5 – vereinbart sind, abbedingen, noch der Arbeitgeber die Bedingungen eines Abkommens (...) ändern kann.“
Weiterhin muss die Regelung des Art. 82.3 AG beachtet werden, der bestimmt, dass „der Tarifvertrag für alle Arbeitnehmer und Arbeitgeber, die in den jeweiligen Anwendungsbereich fallen, Bestimmungen trifft.“
Ausschlaggebend für die Bestimmung des einschlägigen Tarifvertrages ist die Branche in welcher das jeweilige Unternehmen tätig ist. Wenn ein Unternehmen in mehreren Branchen parallel tätig ist, kommt es, im Einklang mit dem Urteil des Oberlandesgerichtes von Madrid vom 20. März 2013 und älterer Rechtsprechung des Obersten Gerichtshofs, auf den Schwerpunkt der Tätigkeit des Unternehmens an.
Es kommt bei der Feststellung des Tarifvertrags somit weder auf den Gesellschaftszweck an, noch auf den Willen der Parteien, sondern vielmehr auf den Tätigkeitsschwerpunkt des Unternehmens.

[value] => Uno de los mayores problemas a los que se enfrentan las empresas, y sobre todo aquellas empresas extranjeras que desean constituir una sociedad en España y contratar trabajadores, es identificar el convenio colectivo que resultará de aplicación.
En primer lugar, cabe señalar que ni el trabajador ni los empresarios pueden escoger libremente el convenio colectivo aplicable, según anunció el Tribunal Superior de Justicia de Aragón, en una sentencia de fecha 12 de mayo de 2003.
A la hora de determinar el convenio colectivo aplicable, las partes, y sobre todo la empresa, tendrán que tener en cuenta lo dispuesto en el art. 82.3 de la Ley del Estatuto de los Trabajadores que establece, que “los Convenios colectivos regulados por esta ley obligan a todos los empresarios y trabajadores incluidos dentro de su ámbito de aplicación y durante todo el tiempo de su vigencia.” De tal manera que habrá que atender al sector o rama de actividad económica y productiva de la empresa para determinar cual será el convenio colectivo que resultará de aplicación.
Aunque lo anterior pueda parecer una tarea sencilla, puede surgir la duda de ¿qué ocurre con aquéllas empresas que desarrollan más de una actividad? En ese caso, y de acuerdo con lo manifestado por el Tribunal Superior de Justicia de Madrid en una sentencia de fecha 20 de marzo de 2013, el cual se apoya en pronunciamientos anteriores del Tribunal Supremo, habrá de aplicarse el convenio que se refiera a “la actividad preponderante de la empresa”.
Por lo expuesto con anterioridad, deviene imprescindible para la empresa, que a la hora de determinar el convenio colectivo aplicable, no atienda ni al objeto social inscrito ni a la voluntad de las partes, sino a la actividad – principal o preponderante – que desarrolle, con independencia de las funciones que puedan asumir sus empleados.
