[value] => Häufig kaufen große Internet-Unternehmen einen bisher noch unbedeutenden, jedoch vielversprechenden Wettbewerber auf. Derzeit kann hierbei eine Fusionskontrolle unterbleiben, wenn das kleinere Unternehmen unter einer gewissen Umsatzschwelle bleibt. So konnte die Übernahme von WhatsApp durch Facebook aufgrund zu geringer Umsatzzahlen der Fusionskontrolle entgehen, obwohl der Kaufpreis ca. 19 Mrd. Dollar betrug.
Mit dem Entwurf zur Änderung des Gesetzes gegen Wettbewerbsbeschränkungen (GWB) Ende September 2016 stellt die Bundesregierung jedoch eine Verschärfung der Fusionskontrolle für Internet-Konzerne in Aussicht.
Um den speziellen Umständen bei Online-Unternehmen hinreichend Rechnung zu tragen, soll zukünftig auch der Zugang zu wettbewerbsrelevanten Daten in die Bewertung der Marktstellung einbezogen werden. So ist vorgesehen, dass die Fusionskontrolle bei einem Transaktionswert von über 400 Mio. Euro greift, auch wenn sich die Marktmacht eines Unternehmens noch nicht in hohen Umsätzen widerspiegelt.
Ferner ist geplant, dass das Unternehmen selbst im Wege einer Konzernhaftung verschuldensunabhängig für Bußgelder haftet. Bisher konnte der Mutterkonzern Bußgeldern dadurch entgehen, dass sich das in Anspruch genommene Tochterunternehmen infolge einer Umstrukturierung vom Markt zurückzog.
Weiterhin ist bei rechtlichem oder wirtschaftlichem Wegfall des ursprünglichen Bußgeldschuldners eine Haftung des Unternehmenskäufers vorgesehen.
Außerdem ist in Umsetzung der europäischen Kartellschadensersatz-Richtlinie eine erleichterte gerichtliche Durchsetzung von Vermögensschäden geplant. Demnach wird die Entstehung eines Schadens durch illegale Preisabsprachen gesetzlich vermutet. Folglich trägt der Kartellamt die Beweislast für das Nichtvorliegen eines Schadens.
Schließlich soll die kenntnisabhängige Verjährungsfrist auf 5 Jahre verlängert werden.
Welche dieser Bestimmungen nach vollständiger Durchführung des Gesetzgebungsverfahrens tatsächlich geltendes Recht werden, bleibt abzuwarten.

Actualmente se evita un control de fusión si la empresa adquirida se mantiene por debajo de un cierto umbral de facturación. Así, la adquisición de WhatsApp por parte de Facebook pudo eludir al control de fusión debido a las bajas cifras de facturación, aunque el precio de compra fue de aproximadamente 19.000 millones de dólares.
Sin embargo, con el proyecto de ley de competencia alemana (GWB) en septiembre de 2016, el gobierno alemán tiene como objeto intensificar el control de las fusiones de las grandes empresas de Internet.
Con el fin de tener suficientemente en consideración las circunstancias específicas de las empresas del sector “on-line”, en el futuro se incluirá el acceso a los datos relevantes de la competencia en la determinación de la posición de mercado. Así, está previsto que el control de fusión se aplique en una transacción por valor superior a 400 millones de euros, aunque el poder de mercado de una empresa aún no resulte reflejado en un elevado volumen de ventas.
También está previsto que las matrices de grupos estén sujetos a multas por infringir una empresa de su grupo las normas de competencia, independientemente de una culpabilidad. Hasta el momento, la empresa matriz podía eludir sanciones a través de cambios estructurales en el grupo.
Además, en el marco de la transposición de la Directiva Europea sobre Competencia (obligatoria para finales de 2016) se planifica facilitar la reclamación judicial por daños causados por infringir las normas de la competencia. Se establecerá una presunción de que la fijación ilegal de precios causa daños económicos, entre otros a clientes o proveedores. En consecuencia, en el futuro serán las entidades que formen parte de un cartel quienes llevarán la carga de la prueba de ausencia de daños.
