[value] => Im Prozess der noch ausstehenden Harmonisierung des Insolvenzrechts hat die Europäische Kommission mit ihrem Entwurf Ende November 2016 einen wichtigen Schritt unternommen. Der Vorschlag betrifft die Möglichkeit einer frühzeitigen Sanierung von Unternehmen, welche das deutsche Insolvenzrecht bisher nicht vorsieht. Ziel ist die eigenständige Sanierung durch den Schuldner selbst, um einen Konkurs zu verhindern und damit Arbeitsplätze zu retten.
Die Wahrscheinlichkeit einer Insolvenz ist Grundbedingung für die Anwendung des Verfahrens. Sofern eine qualifizierte Mehrheit der Gläubiger zustimmt, soll dem betroffenen Unternehmen durch den geplanten Maßnahmenkatalog eine zweite Chance gegeben werden. Dem Umfang der Einwilligung entsprechend kann das Verfahren mit stark eingeschränkter Mitwirkung von Gerichten erfolgen. Gegebenenfalls wird hierbei auch ein Moderator eingeschaltet oder ein Zahlungsaufschub im Sinne eines Moratoriums angeordnet. Ein solches Moratorium kann auch nur einzelne Gläubiger betreffen und suspendiert dem Entwurf zufolge bei Vorliegen eines Insolvenzgrundes die Pflicht zur Stellung des Insolvenzantrags. Außerdem gilt es in der Regel höchstens vier Monate und begünstigt die Erstellung des präventiven Restrukturierungsplans. Dieser Plan betrifft laut dem Entwurf ausschließlich die Passiv-Seite der Bilanz. Eine Sanierung im operativen Sinn soll gerade nicht erfolgen.
Um „Insolvenztourismus“ zu verhindern, ist des Weiteren eine dreijährige homogen geregelte Frist zur Entschuldung vorgesehen.
Der Weg zum verbindlichen Sekundärrecht in Form einer Richtlinie wird schätzungsweise erst in zwei Jahren sein Ende finden, da zuvor der Einsatz von Europäischem Rat und Parlament erforderlich ist. Anschließend sind den Mitgliedsstaaten zwei weitere Jahre zu gewähren, um die Richtlinie in nationales Recht umzusetzen. Erst in diesem Stadium wird sich herausstellen, inwieweit die Mitgliedsstaaten von den zahlreichen optionalen Regelungen Gebrauch machen werden.

[value] => La Comisión Europea ha dado un paso importante en el proceso de la aún inexistente armonización del derecho concursal con su proyecto de finales de noviembre de 2016. La propuesta tiene como objetivo el saneamiento de empresas, no previsto por el derecho concursal alemán hasta la fecha. El objetivo es el saneamiento autónomo por el propio deudor, con el fin de evitar la insolvencia y poder mantener puestos de trabajo.
Requisito para poder aplicar el procedimiento es la inminente probabilidad de una situación concursal. La idea es de darle una segunda oportunidad a la empresa con las medidas planificadas, siempre que una mayoría cualificada de los acreedores esté de acuerdo. Según el alcance del consentimiento, el procedimiento se puede llevar a cabo con una implicación muy escasa de los juzgados. En su caso puede intervenir un moderador o se puede ordenar un aplazamiento de pago en el sentido de una moratoria. Tal moratoria puede afectar también sólo a acreedores individuales y puede eximir del deber de solicitar la declaración de concurso, aun existiendo un presupuesto objetivo de insolvencia. Como regla general, la moratoria es válida como máximo durante un periodo de cuatro meses y favorece la elaboración del plan preventivo de reestructuración. Según el proyecto, el plan debe afectar sólo la parte pasiva de los balances. No está previsto un saneamiento en un sentido operativo.
Para evitar un “turismo de insolvencia” está previsto, además, un plazo homogéneo de tres años para el desendeudamiento.
El proceso de transposición del proyecto en derecho europeo secundario obligatorio en forma de una directiva no acabará antes de en aproximadamente dos años, dado que antes será necesaria la participación de Consejo y Parlamento Europeo. Después, los estados miembros dispondrán además de un plazo de dos años para la transposición de la directiva a su derecho nacional, que es cuando se concretizará en qué medida los estados miembros harán uso de las numerosas regulaciones opcionales.
