[value] => Handelsvertreter, Vertragshändler, Eigenhändler – diese drei „Spielarten“ des Vertriebsrechtes sind ständig Gegenstand von Gerichtsentscheidungen. Das liegt vor allem daran, dass von den drei Vertragstypen nur der Handelsvertreter ausdrücklich gesetzlich geregelt ist. Nach § 84 HGB ist er „als selbständiger Gewerbetreibender ständig damit betraut ist, für einen anderen Unternehmer (Unternehmer) Geschäfte zu vermitteln oder in dessen Namen abzuschließen“. Der Vertragshändler dagegen kauft und verkauft Waren im eigenen Namen im Rahmen einer dauernden Lieferbeziehung mit dem Hersteller. Seine Rechte und Pflichten sind nicht gesetzlich geregelt. Viele Schutzregeln für den Handelsvertreter gelten für ihn aber in entsprechender Anwendung.
Der Eigenhändler steht eine Stufe unter dem Vertragshändler. Er kauft und verkauft ebenso im eigenen Namen, ist dabei aber im geringeren Maße in die Vertriebsstruktur des Herstellers eingebunden. Indizien für eine solche Einbindung wären gemeinsame Messebesuche, vom Hersteller vorgegebene Werbemaßnahmen, Unterhaltung eines Lagers, Exklusivität zugunsten des Unternehmers, Marktbeobachtungen etc.
Bei der Frage, welches Recht auf den Eigenhändler anzuwenden ist, hat das OLG Hamm eine bemerkenswerte Entscheidung getroffen (Urteil vom 21. April 2016, Az. 18 U 34/15). Während die analoge Anwendung von Handelsvertreterrecht auf Vertragshändler unter bestimmten Umständen seit jeher klar ist, hat das OLG Hamm die für Handelsvertreter geltenden Kündigungsvorschriften auch auf einen Vertrag mit einem Eigenhändler (im Urteil: „Vertriebspartner“) mit Dauerschuldcharakter ausgeweitet und dem Eigenhändler eine sechsmonatige Kündigungsfrist (wie in § 89 HGB) zuerkannt. Technisch hat es dabei zwar die Frage der analogen Anwendbarkeit offengelassen, im Ergebnis aber die dortige Frist angewendet.

[value] => Agente comercial, distribuidor, comerciante por cuenta propia – estas tres formas del Derecho de distribución son repetidamente objeto de resoluciones judiciales. Eso sucede sobre todo porque de las tres formas contractuales sólo la figura del agente comercial está regulada por ley. Según el art. 84 del Código de Comercio alemán (HGB) es „un profesional independiente que intermedia en operaciones mercantiles o concluye negocios en nombre de otras empresas“. El distribuidor, por contra, compra y vende en nombre propio en el marco de un acuerdo de suministro con el productor. Sin embargo, sus derechos y obligaciones no están regulados. Muchas normas de protección previstas para los agentes comerciales son también aplicables a él pero adaptándolas al caso.
El comerciante por cuenta propia está en un escalafón por debajo del distribuidor. Compra y vende también en nombre propio, sin embargo está integrado en menor medida en la estructura de venta del productor. Indicativos de tal integración serían la asistencia conjunta a ferias, realización de acciones publicitarias para el productor, tenencia de un almacén, exclusividad a favor del productor, observación del mercado, etc...
En cuanto a la cuestión de qué derecho le es aplicable al comerciante por cuenta propia, la Audiencia Territorial (Oberlandesgericht) de Hamm ha dictado una destacable resolución (stcia. de 21.04.2016, exp. 18 U 34/15). Mientras que la aplicación por analogía de la normativa reguladora del agente comercial al distribuidor ha sido clara desde siempre bajo determinadas circunstancias, la Audiencia Territorial de Hamm ha ampliado la normativa vigente reguladora del despido de los agentes comerciales a los contratos celebrados con un comerciante por cuenta propia (en la sentencia: “distribuidor”) con carácter permanente y le ha reconocido el plazo de preaviso de 6 meses (como en el art. 89 del HGB). La cuestión relativa a la aplicación por analogía ha quedado técnicamente sin resolver, el resultado ha sido sin embargo el plazo aplicado.
