[value] => Am 10. Mai 2016 verabschiedete die spanische Generaldirektion für Register und Notariat eine Entscheidung, welche die Möglichkeit erteilt, dass bei der Ausführung des Amtes als Geschäftsführer andere Tätigkeiten, die nicht in Verbindung zur Verwaltung stehen, vergütet werden können.
Das spanische Kapitalgesellschaftsgesetz sieht vor, dass das Amt des Geschäftsführers unentgeltlich ausgeübt wird, außer wenn dies auf andere Weise in der Satzung festgelegt wurde und dementsprechend die Vergütung geregelt wird. Deshalb stellt sich die Frage, ob ein Geschäftsführer, der innerhalb des Unternehmens angestellt ist, eine Vergütung erhalten kann, wenn der Satzung zufolge das Amt des Geschäftsführers unentgeltlich ausgeübt werden muss.
Im Zusammenhang zu dieser Entscheidung, hatte eine Gesellschaft eine Änderung in ihrer Satzung angenommen, welche besagt, dass das Amt des Geschäftsführers unentgeltlich ausgeübt wird und welche ebenfalls vereinbart, dass die für das Unternehmen ausgeübten Tätigkeiten von einem Geschäftsführer mit Einzelvertretungsmacht vergütet werden soll, so wie es im entsprechenden Arbeitsvertrag festgelegt wurde.
Das Handelsregister wies den Antrag für die Einschreibung dieser Satzungsänderung zurück, da ihnen zufolge keine Vergütung erfolgen kann, wenn das Amt des Geschäftsführers unentgeltlich ausgeübt werden soll.
Das Ausüben der Tätigkeiten durch die Geschäftsführer, die innerhalb der Gesellschaftsverwaltung fallen, schließt nicht die Vergütung für Tätigkeiten aus, die außerhalb des Bereiches der Gesellschaftsverwaltung liegen, so dass diese vergütet werden können, wie es konkret im Arbeitsvertrag bzw. im Dienstleistungsvertrag vorgesehen ist.
Nach der Rechtsprechung des obersten Gerichtshofes in Spanien, kann nur dann gleichzeitig ein Amt des Geschäftsführers einer Gesellschaft und ein Arbeitsverhältnis ausgeführt werden, wenn es sich bei ihrer Beschäftigung um einen Angestelltenstatus handelt (d.h. Arbeitsverhältnisse, bei denen es sich nicht um Führungskräfte handelt).

[value] => El 10 de mayo de 2016 la Dirección General de los Registros y del Notariado dictó una importante resolución estableciendo que carácter gratuito del cargo de administrador es compatible con la remuneración por actividades ajenas a la administración. La Ley de Sociedades de Capital prevé que el cargo de administrador es gratuito, a menos que los estatutos sociales establezcan lo contrario, a cuyos efectos deben determinar el sistema de remuneración. Por ello, surge la cuestión de si un administrador puede percibir una remuneración por trabajos realizados en la empresa, si en los estatutos su cargo figura como gratuito. En el caso de la resolución aquí analizada, una sociedad modificó sus estatutos sociales para establecer que el cargo de administrador era gratuito y, además, acordó retribuir a una de las administradoras solidarias por los trabajos dependientes realizados para la sociedad como recepcionista, según lo establecido en el correspondiente contrato de trabajo.
El Registro Mercantil inicialmente rechazó la inscripción de la modificación estatutaria, al considerarse que la gratuidad del cargo de administrador era un obstáculo para la percepción de cualquier retribución. Pero, la Dirección General estimó el recurso contra aquella decisión, concluyendo que la realización gratuita por los administradores de las funciones propias de su cargo, no excluye la prestación remunerada de servicios distintos o de trabajo en favor de la sociedad, que sería retribuido según el correspondiente contrato. Sin embargo, la jurisprudencia del Tribunal Supremo establece que sólo en los casos de relación de trabajo en régimen de dependencia que no sean calificables de dirección, sino comunes, cabría admitir el desempeño simultáneo del cargo de administrador de la sociedad y una relación laboral.
