[value] => Eine zentrale Gewährleistung im Unternehmenskauf ist die Garantie zum Jahresabschluss des Zielunternehmens, die üblicherweise, wenn auch etwas unscharf, als „Bilanzgarantie“ bezeichnet wird. Für den Käufer hat die Bilanzgarantie einen hohen Stellenwert, da der Jahresabschluss regelmäßig eine wesentliche Grundlage für die Bewertung des Zielunternehmens darstellt. Gleiches gilt für Banken oder sonstige Dritte, die den Kaufpreis durch Gewährung eines Akquisitionsdarlehens oder auf sonstige Weise finanzieren. So ist der Formulierung der Bilanzgarantie auf beiden Seiten besondere Aufmerksamkeit zu widmen.
Nach der üblichen Formulierung gewährleistet der Verkäufer, dass der Jahresabschluss im Einklang mit den gesetzlichen Bestimmungen und den Grundsätzen ordnungsgemäßer Buchführung (GoB) bzw. sonstiger Rechnungslegungsvorschriften (IFRS, US-GAAP etc.) aufgestellt worden ist und ein den tatsächlichen Verhältnissen entsprechendes Bild der Vermögens-, Finanz- und Ertragslage des Zielunternehmens vermittelt.
Beim Entwurf der Regelung stellt sich zunächst die Frage, auf welche Jahresabschlüsse sich die Gewährleistung beziehen soll. In der Regel wird nur der letzte, dem Vertragsabschluss unmittelbar vorangegangene Jahresabschluss einbezogen. Anders mag dies sein, wenn der Käufer ein besonderes Interesse an der Einbeziehung der Jahresabschlüsse früherer Jahre hat, etwa weil er oder ein mit ihm verbundenes Unternehmen im Zusammenhang mit der Transaktion für den Inhalt dieser Jahresabschlüsse haftbar ist (etwa gegenüber den kreditgewährenden Banken bei der Finanzierung des Kaufpreises durch ein Darlehen oder Kapitalmarktinstrumente) oder hierdurch der Umfang der Gewährleistung der Bilanzierungs- und Bewertungsstetigkeit vergrößert werden soll.

[value] => Una de las manifestaciones y garantías centrales en la compraventa de empresas es la relativa a las cuentas anuales de la empresa objetivo, también llamada de manera algo imprecisa “garantía del balance” (Bilanzgarantie). Para el comprador, la garantía del balance tiene gran importancia, puesto que las cuentas anuales representan normalmente una base esencial para la valoración de la empresa objetivo. Esto es igualmente aplicable para bancos u otros terceros que participan en la financiación del precio de compraventa mediante la concesión de un préstamo o de otro modo. Por este motivo, ambas partes tienen que prestar especial atención a la redacción de la cláusula de garantía del balance.
Según las redacciones más habituales, el vendedor garantiza que las cuentas anuales han sido elaboradas conforme a las disposiciones legales o sobre la base de las buenas prácticas contables o de acuerdo con otras disposiciones contables (IRFS, US-GAAP, etc.) y que transmite una imagen fiel a la realidad de la situación patrimonial, financiera y de ingresos de la empresa objetivo.
En el momento de redactar la cláusula se plantea, en primer lugar, la cuestión de a qué cuentas anuales tiene que hacer referencia la garantía. Por regla general, solamente se incluyen las últimas cuentas anuales del ejercicio inmediatamente anterior a la celebración del contrato. Puede resolverse de otro modo si el comprador tiene un gran interés en la inclusión de las cuentas anuales de ejercicios anteriores, por ejemplo, porque él o una empresa asociada en relación con la operación responden del contenido de esas cuentas anuales (por ejemplo, frente a bancos que conceden créditos para la financiación del precio de compraventa mediante un préstamo o instrumentos del Mercado de capital) o porque mediante esta inclusión se pretende ampliar el alcance de la garantía a la coherencia del balance y de la valoración.
