[value] => In einem am 14. Juli 2016 ergangenen Urteil (Az.: 490/2016) entschied das spanische Tribunal Supremo (TS) über die konkursrechtliche Haftung eines Verwalters, der mit einem weiteren Verwalter die Gesellschaft führte.
Aufgrund der Qualifizierung des Konkurses als schuldhaft sprach das Gericht den beiden Verwaltern (und Gesellschaftern) die Befähigung zur Verwaltung ab und verurteilte sie zur Zahlung von Schadensersatz, d. h. zur Zahlung der Forderungen ab einem bestimmten Datum.
Im Rechtsmittelverfahren wandte einer der beiden Verwalter ein, die schuldhafte Qualifizierung des Konkurses könne sich nicht auf ihn erstrecken, da der andere Verwalter für die Buchhaltung zuständig gewesen sei und daher über die für die Stellung des Konkursantrages erforderlichen Informationen verfügt habe. Das TS geht bezüglich der Schuldhaftigkeit der wesentlichen Verletzung der Buchhaltungspflichten allerdings davon aus, dass das spanische Konkursgesetz eine Reihe von Handlungen aufzähle, die keines Vorsatzes oder grober Fahrlässigkeit bedürfen (aufgrund der Formulierung „in jedem Fall“). Nach der Auffassung des TS ist daher bei der Verletzung von Buchhaltungspflichten und der Konkursantragspflicht per se von grober Fahrlässigkeit des Verwalters auszugehen.
Nach dem TS „will der Rechtsmittelführer eine allein formale Konzeption des Verwalteramtes durchsetzen, die unserem Recht fremd ist“, wobei er übersehe, dass die Ernennung zum Verwalter selbst Verpflichtungen mit sich bringe, so dass er sich zur Verteidigung seines Nichthandelns nicht auf das Verhalten des anderen Verwalters berufen könne. Das Gericht stellt fest, dass gesetzliche Regelungen zu dieser Problematik bestehen, so dass ein sich am Handeln gehinderter Verwalter als letzte Möglichkeit auch sein Amt niederlegen könne.

[value] => En su reciente Sentencia 490/2016 de 14 de julio el Tribunal Supremo (“TS”) ha resuelto sobre la responsabilidad concursal de un administrador societario, en caso de coexistencia de varios administradores.
Calificado el concurso como culpable, los dos administradores (y socios) de la sociedad, fueron inhabilitados y condenados al pago, por daños y perjuicios, de los créditos nacidos a partir de una determinada fecha.
En su recurso, uno de los administradores sociales, alegó que no podía ser declarado culpable del concurso, porque quien llevaba la contabilidad y por tanto manejaba la información necesaria para solicitar el concurso era su coadministrador. Sin embargo, para la culpabilidad por incumplimiento sustancial de la obligación de llevanza de contabilidad, el TS entiende que la Ley Concursal tipifica una serie de conductas que no requieren la existencia de dolo o culpa grave utilizando la expresión “en todo caso”. Opina el Tribunal que la omisión de deberes contables, así como el retraso en la solicitud del concurso, implican en sí mismos culpa grave por parte de administrador.
Según el TS el recurrente “pretende imponer una concepción meramente formal o aparente del cargo de administrador que no tiene cabida en nuestro Derecho”, obviando que el propio nombramiento de administrador social conlleva unas obligaciones, y no considera legítimo ampararse en la actitud pasiva de otro administrador para justificar la propia inactividad. Concluye el Tribunal que existen mecanismos legales para corregir problemas en los órganos sociales, pudiendo en última instancia renunciar al cargo el administrador que vea imposibilitada su actuación.
