[value] => Online-Händler verwenden häufig Allgemeine Geschäftsbedingungen, in denen sie vorsehen, dass der Kaufvertrag mit einem Verbraucher dem Recht des Staates unterstehen soll, in dem sich der Sitz des Händlers befindet (sog. Rechtswahlklausel). Ein solcher Fall aus Österreich lässt nun alle Unternehmer aufhorchen, die ihre Produkte online innerhalb der EU direkt an Verbraucher vertreiben. Dem EuGH liegt eine Vorlage des österreichischen Obersten Gerichtshofs (OGH) mit der Frage vor, ob eine Rechtswahlklausel wirksam ist, in der ein Unternehmer eine solche Klausel vorschreibt.
Im konkreten Fall geht es um den Online-Versandhändler Amazon mit Sitz in Luxemburg. Amazons Allgemeine Geschäftsbedingungen (AGB) bestimmen die Anwendbarkeit luxemburgischen Rechts, selbst wenn der Käufer aus Deutschland, Spanien oder – wie hier – aus Österreich kommt. Hiergegen hat der österreichische Verband für Konsumenteninformation geklagt. Ein solcher Verband hat die Befugnis, im Interesse der Verbraucher Unternehmen zu verklagen, wenn er der Ansicht ist, dass Verbraucherschutzrechte verletzt werden. Der Verband verlangte festzustellen, dass die Rechtswahlklausel missbräuchlich ist.
Im Kern geht es dabei um die Frage, ob die Rechtswahlklausel „ein erhebliches und ungerechtfertigtes Missverhältnis der vertraglichen Rechte und Pflichten der Vertragspartner verursacht“ (i. S. v. Art. 3 I der Richtlinie 93/13/EWG) und damit unwirksam ist. Missbräuchlich ist die Klausel nach Ansicht des Generalanwalts, weil sie den Verbraucher nicht auf die europarechtlich verbürgte Möglichkeit hinweist, sich auf sein Heimatrecht zu berufen. Wenn es um geringe Beträge geht und er liest, dass sich sein Vertrag nach einem ausländischen Recht richtet, könnte er davon abgehalten werden, seine Ansprüche überhaupt zu verfolgen. Jetzt muss der EuGH entscheiden. Deutsche Gerichte haben vergleichbare Klauseln ohnehin längst als unzulässig qualifiziert, weshalb Rechtswahlklauseln stets wohl überlegt formuliert sein sollten.

[value] => Los distribuidores on-line utilizan a menudo Condiciones Generales en las cuales prevén que el contrato de compraventa con un consumidor queda sometido al derecho del estado en el cual tienen su sede social (las llamadas cláusulas de elección del derecho aplicable). Un caso de estos en Austria ha puesto en alerta a todas las empresas que venden directamente a consumidores dentro de la Unión Europea. El Tribunal Supremo austríaco (OHG) ha presentado ante el Tribunal de Justicia de la Unión Europea (TJUE) una consulta acerca de si es válida esta cláusula de elección del derecho aplicable impuesta por la empresa.
En el caso concreto se trata del distribuidor on-line Amazon con sede en Luxemburgo. Las Condiciones Generales de Amazon disponen la aplicabilidad del Derecho luxemburgués, aunque el comprador sea alemán, español o – como en este caso – austríaco. Contra esto, la Asociación para la información de consumidores ha interpuesto una demanda. Esta Asociación está facultada, en interés de los consumidores, para demandar a empresas que desde su punto de vista vulneren derechos de los consumidores. La Asociación ha solicitado que se averigüe si esta cláusula de elección del derecho aplicable es abusiva.
En esencia se trata de contestar a la pregunta de si la cláusula de elección del derecho „provoca un desequilibrio substancial e injustificado de los derechos y obligaciones contractuales de la parte contratante“ (en el sentido del Art. 3 I de la Directiva 93/13/EWG), por lo que puede ser nula. Según el Abogado General, esta cláusula es abusiva, pues no advierte al consumidor de los posibles derechos europeos garantizados como el de hacer valer su derecho nacional. Cuando se trata de importes pequeños, si el consumidor lee que el contrato se rige por un derecho extranjero, seguramente desistirá de emprender acciones legales. Ahora el TJUE tiene que decidir. En Alemania los Juzgados desde hace tiempo han calificado como nulas cláusulas parecidas, así que deben ser siempre redactadas a conciencia.
