[value] => In vielen spanischen Tochtergesellschaften werden auf Initiative der deutschen Muttergesellschaft Regelungen zur Entscheidungsfindung eingeführt, nach denen wichtige Entscheidungen der Geschäftsführung von mehreren Personen gemeinschaftlich getroffen werden, um eine gewisse gegenseitige Kontrolle der Geschäftsführer zu gewährleisten.
Zu diesem Zweck werden mehrere gesamtvertretungsberechtigte Geschäftsführer (administradores mancomunados) ernannt, die nur gemeinschaftlich die Gesellschaft wirksam vertreten und Beschlüsse im Rahmen der Leitung der Gesellschaft verabschieden können. In der Praxis werden in spanischen Tochtergesellschaften oftmals zwei gesamtvertretungsberechtigte Geschäftsführer bestellt (4-Augen Prinzip), verbunden mit der Erteilung von Vollmachten zugunsten der Geschäftsführer, damit diese die Gesellschaft auf Basis dieser Vollmachten im Rahmen von alltäglichen Geschäften bis zu einer bestimmten betragsmäßigen Geringfügigkeitsgrenze alleine vertreten können. Auf diese Weise wird die Handlungsfähigkeit der Gesellschaft im Tagesgeschäft für den Fall der Verhinderung eines Geschäftsführers sichergestellt.
Ein Nachteil dieses Systems liegt in dem Risiko der Blockade der Gesellschaft bezüglich der Verabschiedung von wichtigen und essentiellen Geschäftsführungsbeschlüssen im Falle des Ausscheidens, Rücktritts oder Tod eines gesamtvertretungsberechtigten Geschäftsführers. Die spanische Generaldirektion des Handelsregisters und der Notariate (Dirección General de los Registros y del Notariado) hat allerdings kürzlich bekräftigt, dass in einem solchen Fall die verbleibenden Geschäftsführer eine Gesellschafterversammlung zur Bestellung eines neuen Geschäftsführers einberufen und Vorschläge zur Verabschiedung von weiteren Beschlüssen unterbreiten können, sofern Gesellschaftssatzung eine entsprechende Regelung enthält.

[value] => En muchas filiales españolas de sociedades alemanas se establecen sistemas de firma conjunta en los órganos de administración para garantizar que exista algún tipo de mecanismo de control y supervisión recíproca de los administradores.
A tal efecto se establecen estructuras del órgano de administración a través de varios administradores mancomunados, que exigen la concurrencia de cada uno de ellos, sin la cual no pueden adoptarse decisiones de gestión (al menos las más importantes). Ello garantiza y optimiza la revisión recíproca de las decisiones. En la práctica, en la filial española se nombran 2 administradores mancomunados (principio de los cuatro ojos), combinado con el otorgamiento de poderes a favor de estos administradores para que puedan actuar en representación de la sociedad en las operaciones diarias del negocio hasta ciertos límites cuantitativos, asegurándose así la operatividad de la sociedad en el caso de que temporalmente uno de los administradores mancomunados no estuviese disponible.
El inconveniente de este modelo es que el fallecimiento, el cese o la dimisión de cualquiera de los administradores mancomunados pueden conducir al bloqueo de la filial española e impedir la adopción de las decisiones de gestión más importantes y esenciales.
En España, sin embargo, la Dirección General de los Registros y del Notariado ha establecido que los administradores mancomunados que permanecen en el cargo pueden convocar a la junta de socios para llevar a cabo el nombramiento de un nuevo administrador para cubrir estas vacantes y para proponer la aprobación de otros acuerdos sociales en la junta si los estatutos de la sociedad contienen una concreta previsión en el indicado sentido.
