[value] => Zur umfänglichen Darstellung der Haftungsrisiken des Geschäftsführers (siehe unsere Beiträge in den Ausgaben von April und Mai 2016) gehört auch die Erläuterung der strafrechtlichen Verantwortlichkeit des Geschäftsführers.
Die insoweit speziellen Straftatbestände der §§ 82, 84, 85 GmbGH sehen ein Strafmaß von bis zu drei Jahren Freiheitsstrafe oder Geldstrafe vor. Bestraft wird, wer als Geschäftsführer falsche Angaben hinsichtlich der Geschäftsanteile, der Einlagen, der Sondervorteile, des Gründungsaufwandes sowie der Sicherungen für nicht voll eingezahlte Geldeinlagen macht. Ebenso ist es strafbar, wenn der Geschäftsführer zum Zwecke der Herabsetzung des Stammkapitals über die Befriedigung oder Sicherstellung der Gläubiger eine unwahre Versicherung abgibt oder wenn er als Organ in einer öffentlichen Mitteilung die Vermögenslage der Gesellschaft unwahr darstellt oder verschleiert. Die Verletzung der Anzeigepflicht bei Verlust der Hälfte des Stammkapitals und die Verletzung der Geheimhaltungspflicht werden auch geahndet.
Zusätzlich enthält das Handelsgesetzbuch Straftat- und Ordnungswidrigkeitentatbestände, die die Unrichtigkeit der nach Maßgabe des Gesetzes zu erstellenden Abschlüsse von Einzelunternehmern und von Unternehmen im Konzernverbund sanktionieren.
Im vierundzwanzigstem Abschnitt des Strafgesetzbuches sind zudem eine Reihe von Insolvenzstraftaten kodifiziert, die auch den Geschäftsführer als vertretungsberechtigtes Organ einer juristischen Person betreffen.
Über die spezialgesetzlichen Vorschriften hinaus kommt schließlich stets auch eine Strafbarkeit des Geschäftsführers nach den allgemeinen Vorschriften des Strafgesetzbuches wegen Untreue, Betrug oder Unterschlagung in Betracht.

[value] => Para ofrecer una presentación completa sobre los riesgos para el administrador de una GmbH de incurrir en responsabilidad (ver nuestros artículos en las ediciones de abril y mayo de 2016) también es necesario hablar de la responsabilidad penal.
Los tipos penales específicos recogidos en los arts. 82, 84, 85 GmbHG (Ley alemana de sociedades de responsabilidad limitada) establecen una pena máxima de prisión de hasta tres años o una pena pecuniaria. Se castiga, entre otras cosas, al administrador que da datos incorrectos sobre las participaciones, las aportaciones, las ventajas específicas, los costes de constitución, así como sobre las garantías de las aportaciones en el caso de no haber sido estas abonadas al completo. También se penaliza al administrador si hace declaraciones falsas sobre el pago o las garantías de los acreedores con el fin de reducir el capital social, así como al administrador que, en su función de órgano de la sociedad, oculta en una comunicación pública la situación financiera real de la sociedad o bien presente datos falsos sobre la misma. Se castigan, además, el incumplimiento de la obligación de comunicar la pérdida de la mitad del capital social y el incumplimiento de la confidencialidad.
De manera adicional existe una serie de delitos y faltas incluidos en el Cógido de Comercio alemán, los cuales sancionan la inexactitud de los informes exigidos por ley a empresarios individuales y empresas asociadas a un grupo.
Al margen de los tipos penales específicos cabe mencionar los delitos relativos a la insolvencia recogidos en el apartado veinticuatro del Código Penal alemán, los cuales también conciernen al administrador como órgano autorizado de representación de la persona jurídica.
Queda por último nombrar la responsabilidad penal del administrador derivada de las normas generales relativas a la administración fraudulenta, fraude y malversación de fondos.
