[value] => Gegenstand des Newsletters zum Insolvenzrecht des letzten Monats war die höchstrichterliche Rechtsprechung zu den Indizien für die Annahme eine Zahlungseinstellung eines Unternehmens. Nur wenn davon ausgegangen werden kann, dass dem Gesellschaftsgläubiger die Zahlungsunfähigkeit des insolventen Unternehmens bekannt war, hat eine Insolvenzanfechtung und ein Rückzahlungsverlangen durch den Insolvenzverwalter Aussicht auf Erfolg. Keine Erfolgsaussichten sind hingegen gegeben, wenn der Gläubiger, der die (drohende) Zahlungsunfähigkeit des insolventen Unternehmens kannte, nachweisen kann, dass er die Zahlungen auf der Grundlage eines schlüssigen Sanierungskonzepts erlangt hat.
So verhält es sich in dem Fall, der zum Urteil des BGH vom 12. Mai 2016 (IX ZR 65/14) geführt hat. In diesem schlug die Wirtschaftsprüfer des in der Krise befindlichen Unternehmens einen Vergleich vor, wonach alle Gläubiger auf 65 % ihrer Forderung verzichten sollten. Hiermit erklärte sich der Gläubiger einverstanden und erhielt eine Zahlung i.H.v. 35 % seiner Forderungen. Das dem Vergleich zu Grunde liegende Sanierungskonzept hatte jedoch im Ergebnis keinen Erfolg. So wurde mehrere Jahre später das Insolvenzverfahren über das Vermögen des Unternehmens eröffnet. Daraufhin hat der Insolvenzverwalter vom Gläubiger Rückzahlung des Vergleichsbetrags gefordert, was dieser mit Verweis auf die Existenz des Sanierungskonzepts und dem teilweisen Forderungsverzicht abgelehnt hat.
Der BGH hat hierzu festgestellt, dass der Gläubiger nur dann von einem schlüssigen Sanierungskonzept ausgehen kann, wenn er in Grundzügen über die wesentlichen Grundlagen des Konzepts informiert ist. Dazu gehören die Ursachen der Insolvenz, die Maßnahmen zu deren Beseitigung und eine positive Fortführungsprognose. Der Gläubiger ist nicht verpflichtet, das Sanierungskonzept fachmännisch prüfen zu lassen. Er darf sich auf die Angaben des Schuldners oder dessen Berater zu den Erfolgsaussichten des Konzepts verlassen.

[value] => En el número anterior de esta publicación se examinaba la jurisprudencia de los tribunales superiores alemanes respecto de los indicios que apuntan a que una sociedad mercantil está en situación de suspensión de pagos. Sólo en el caso de poder suponerse que un acreedor es consciente de tal situación de insolvencia puede recurrir el administrador concursal a la reclamación de devolución de pagos hechos a tal acreedor. Ahora bien, cualquier perspectiva de éxito de este tipo de reclamación desaparecerá desde el momento en que dicho acreedor, consciente de la falta de liquidez de la empresa, reclama el pago pudiendo demostrar que lo hace sobre la base de la existencia de un plan de saneamiento viable o coherente referente a la empresa deudora.
Tal es el caso que lleva a la sentencia IX ZR 65/14 de 12 de mayo de 2016 del Tribunal Supremo alemán (BGH). En este caso proponía el auditor de la sociedad en crisis una solución transaccional, según la que los acreedores renunciarían al 65% de los pagos pendientes. El acreedor en cuestión aceptó esta propuesta, recibiendo así el 35% de lo que se le debía. Sin embargo, el plan de saneamiento en el que se basaba la propuesta no trajo consigo los resultados esperados, abriéndose el procedimiento concursal unos años más tarde. Ante esta nueva situación reclamó el administrador concursal los montos devueltos en su día en función del acuerdo transaccional, a lo que contestó el acreedor afectado con una negativa, haciendo referencia al plan de saneamiento y a la renuncia parcial ya hecha a un reembolso total en su día.
El BGH por su parte indicó que un acreedor sólo puede avanzar en su defensa la existencia de un plan de saneamiento coherente si estaba razonablemente al tanto de los aspectos más significativos de su contenido. No se requiere, en cambio, una comprobación profesional y exhaustiva del plan. De hecho, el acreedor puede dar por suficientes las informaciones recibidas del deudor o de su asesor en cuanto a las probabilidades de éxito del plan de saneamiento.
