[value] => Nach dem spanischen Körperschaftsteuergesetz unterliegen spanische Personenhandelsgesellschaften als eigene Steuersubjekte der spanischen Körperschaftsteuer. Wie sich aus einer Reihe von verbindlichen Auskünften der Dirección General de Tributos (DGT) ergibt, gilt dies ab 2016 auch für spanische Gesellschaften bürgerlichen Rechts, wenn ihre Geschäftstätigkeit auf den Betrieb eines Handelsgewerbes gerichtet ist. Personengesellschaften ausländischen Rechts werden in Spanien nach einem sog. Rechtstypenvergleich entsprechend spanischer Rechtsformen besteuert, so dass auch gewerblich tätige deutsche Personengesellschaften, insbesondere in der Rechtsform der deutschen GmbH & Co. KG, aus Sicht des spanischen Rechts eigene Steuersubjekte sind.
In einem vom Autor dieses Beitrags erfolgreich vertretenen Revisionsverfahren (BFH I R 49/14) hat demgegenüber der Bundesfinanzhof erneut bestätigt, dass spanische Tochtergesellschaften deutscher Anteilsinhaber in der Rechtsform der Personenhandelsgesellschaft, im Streitfall eine in Spanien gewerblich tätige spanische Sociedad en Comandita (S.C.), deren Geschäfte von der Komplementärin, einer Sociedad de Responsabilidad Limitada (S.L.) geführt werden, autonom aus Sicht des deutschen Steuerrechts zu beurteilen sind und daher dem sog. steuerlichen Transparenzprinzip unterliegen (vgl. hierzu auch unseren Beitrag zur Ausgabe Mai 2016 dieses Newsletters). Im umgekehrten Fall bedeutet dies, dass Dividenden einer deutschen GmbH, die geschäftsführende Komplementärin einer in Deutschland gewerblichen tätigen Kommanditgesellschaft ist, an ihre spanischen Anteilseigner in Deutschland nach Art. 10 Abs. 4 i.V.m. Art 7 des DBA (sog. Betriebstättenvorbehalt) der vollen Besteuerung in Deutschland unterworfen werden, soweit diese zugleich Inhaber der Kommanditbeteiligung sind.

[value] => Según la LIS las sociedades de personas con objeto mercantil son contribuyentes en el Impuesto sobre Sociedades. A razón de una serie de consultas vinculantes emitidas por la Dirección General de Tributos (DGT) se someten al IS a partir de 2016 también las sociedades civiles cuando tengan un objeto mercantil. Las sociedades de personas constituidas en el extranjero, cuya naturaleza jurídica sea idéntica o análoga a la de las sociedades de personas con objeto mercantil constituidas de acuerdo con las leyes españolas, se someten en España al IS, por lo que se les trata así también como contribuyentes en el IS a sociedades de personas mercantiles del derecho alemán, en particular a las GmbH & Co. KG.
En un procedimiento de casación (BFH I R 49/14), representado por el autor de este artículo exitósamente, el Tribunal Federal Supremo de lo Fiscal alemán ha reconfirmado, que filiales españolas, pertenecientes a socios alemanes, que tengan la forma legal de sociedades de personas con objeto mercantil - en el asunto en cuestión una sociedad en comandita (S.C.), cuales actividades comerciales fueron gestionadas por su socio colectivo, una sociedad de responsabilidad limitada (S.L.) - se califica desde una perspectiva del derecho fiscal alemán autónoma por lo que se consideran como entidades sujetas al régimen de la transparencia fiscal en Alemania (ver también nuestra contribución a la edición mayo 2016 de este boletín informativo). En el caso inverso significa que dividendos de una GmbH alemana, que gestiona la actividad comercial de una sociedad comanditaria alemana como su socio colectivo, pagadas a sus socios españoles, se gravarán en Alemania sin limitación bajo los art. 10 (4) y art 7 del CDI (según el denominado principio de la prevalencia del concepto del establecimiento permanente), cuando éstos son también socios comanditarios de la GmbH & Co. KG.
