[value] => Gerade bei jüngeren Unternehmungen in der Rechtsform der GmbH ohne nennenswerter Eigenkapitalausstattung ist es üblich, dass die Gesellschafter zur Erlangung einer Fremdfinanzierung gegenüber dem finanzierenden Dritten – in der Regel der Bank – persönlich Sicherheit leisten müssen. Rechtlich geschieht dies durch Stellung einer Bürgschaft. Dadurch verpflichten sich die Gesellschafter gegenüber der Bank zur Rückführung des Darlehens.
Damit ist in der Praxis nicht genug: Soll beispielsweise mit dem Darlehen der Kauf eines Grundstücks finanziert werden, wird sich die finanzierende Bank zusätzlich eine Grundschuld zur Absicherung ihrer Ansprüche bestellen lassen. Rechtlich spricht man in diesem Fall von einer sog. Doppelbesicherung. Muss nun die Gesellschaft als Darlehensnehmer vor (vollständiger) Rückführung des Darlehens Insolvenz anmelden, kann die finanzierende Bank wählen, ob sie zur Befriedigung ihrer offenen Ansprüche aus der Bürgschaft der Gesellschafter oder aus der Grundschuld vorgeht. Sie wird sich aus Effizienzgründen regelmäßig für eine Vollstreckung in die Grundschuld entscheiden. Erlangt die Bank hierdurch einen Ausgleich ihrer Ansprüche aus dem Darlehensvertrag, so werden die Gesellschafter als Bürgen gegenüber der Bank frei. Denn die Verbindlichkeiten gegenüber der Bank, für deren Erfüllung sich die Gesellschafter persönlich verpflichtet haben, bestehen nicht mehr.
Aber Vorsicht: Leider bleibt es nicht bei dieser Befreiung, wenn der Insolvenzverwalter gegenüber den Gesellschaftern die sog. Insolvenzanfechtung erklärt. Diese Maßnahme hat zur Folge, dass die Gesellschafter gegenüber dem insolventen Unternehmen in der Höhe des Betrages, der an die Bank im Rahmen der Vollstreckung aus der Grundschuld ausgekehrt worden ist, haften. Die Haftung gegenüber der Bank geht sozusagen auf die Gesellschaft über. Mit dieser Folge rechnen die sich verbürgenden Gesellschafter in der Regel nicht, wenn daneben noch weitere, werthaltige Sicherheiten (wie Grundschulden) bestehen.

[value] => Los socios de aquellas sociedades de responsabilidad limitada dotadas de pocos fondos propios que andan en busca de financiación exterior suelen encontrarse ante la necesidad de otorgar una garantía personal frente al prestamista –por lo general bancos–, con el fin de obtener tales financiaciones. Ello se puede llevar a cabo mediante afianzamiento personal, por el cual los socios se comprometen frente al banco a devolver las cantidades recibidas en concepto de préstamo. ^
En la práctica, sin embargo, los bancos suelen exigir más garantías. Si la financiación, por ejemplo, está destinada a cubrir la compra de un terreno, el banco exigirá como garantía adicional la constitución de una hipoteca en el mismo. Si antes de la liquidación total del préstamo, la sociedad entra en situación de concurso, el banco acreedor podrá elegir si prefiere obtener la liquidación de su crédito sirviéndose de la fianza de los socios o de la garantía hipotecaria. Por razones de eficacia, se decantará, por lo general, por ejecutar la garantía hipotecaria. En efecto, en el caso de una liquidación total de los derechos de cobro del banco, quedarán libres los socios de la garantía personal, dado que las deudas frente al banco que habían afianzado los socios han dejado de existir.
Ahora bien, hay que tener cuidado: Tal liberación de deudas deja de existir en el momento que un administrador concursal declara la impugnación de este acto de liberación. Tal medida concursal acarrea la consecuencia de reactivar la responsabilidad personal de los socios, pero ahora frente a la sociedad en concurso por un monto equivalente al que había sido liquidado al banco por motivos de la ejecución de la garantía hipotecaria. En otras palabras, se traspasa la responsabilidad personal de los socios frente al banco a favor de la sociedad en concurso. En la práctica, los socios que han concedido su afianzamiento personal no suelen contar con estas consecuencias cuando existen otras garantías de valor importante como las hipotecas.
