[value] => Ist eine in Spanien ansässige natürliche Person an einer in Deutschland gewerblich tätigen Personengesellschaft (z.B. als Kommanditist einer GmbH & Co. KG) beteiligt, so unterliegt deren Gewinnanteil aufgrund des in Deutschland geltenden sog. Transparenzprinzips sowie des Doppelbesteuerungsabkommens (vgl. hierzu unseren Beitrag zur Ausgabe September 2013 dieses Newsletters) im Jahr der Entstehung der Einkommensteuer nach Maßgabe des sich ergebenden progressiven Steuersatzes (zwischen 14 – 45 %) sowie dem Solidaritätszuschlag hierauf in Höhe von 5,5 %. Die von der Personengesellschaft selbst geschuldete Gewerbesteuer auf den sog. Gewerbeertrag (vgl. zur gewerbesteuerlichen Gewinnermittlung unseren Beitrag zur Ausgabe Mai 2012 dieses Newsletters), die in Abhängigkeit von den Gemeinden, in welchen diese geschäftsansässig bzw. -tätig ist, in der Regel zwischen 14 % und 17 % beträgt (zur Ausnahme für Immobilienunternehmen vgl. unseren Beitrag zur Ausgabe November 2013 dieses Newsletters), wird hierbei auf die Einkommensteuer und Solidaritätszuschlag des Gesellschafters anteilig im Rahmen bestimmter gesetzlicher Höchstbeträge angerechnet.
Nach einem jüngst veröffentlichten Urteil des Bundesfinanzhofs (BFH) vom 14.01.2016 (IV R 5/14) richtet sich der Anteil am sog. Gewerbesteuermessbetrag stets nach dem allgemein vereinbarten Gewinnverteilungsschlüssel der Gesellschafter. Im Fall eines unterjährigen Gesellschafterwechsels gilt dies nach Auffassung des BFH selbst dann, wenn sich der Veräußerer eines Gesellschaftsanteils zivilrechtlich zur Übernahme der auf den Veräußerungsgewinn entfallenden Gewerbesteuer verpflichtet hat. Entgegen anderslautender Verfügungen der Finanzverwaltung ist nach Auffassung des BFH der Anteil am Gewerbesteuermessbetrag verfahrensrechtlich nur für diejenigen Gesellschafter festzustellen, die zum Zeitpunkt der Entstehung der Gewerbesteuer Gesellschafter sind.

[value] => Cuando una persona física residente en España es socia en una sociedad de personas (por ej. comanditaria de una GmbH & Co. KG) que desarrolla una actividad económica en Alemania, tributa con su participación en los beneficios empresariales, que le son atribuidos en base del denominado “principio de transparencia fiscal” y el CDI (ver al respecto nuestra contribución en la edición de septiembre 2013 de este boletín informativo) en el año de su devengo, en el IRPF alemán en función de la tarifa progresiva aplicable (entre 14 – 45 %) con un Recargo de Solidaridad de 5,5 %. El IAE alemán a pagar por la sociedad de personas como sujeto pasivo (ver para la determinación de la base imponible en el IAE nuestra contribución en la edición de mayo 2012 de este boletín informativo), que asciende - en función de los ayuntamientos en que tiene su domicilio o su actividad económica - normalmente está entre el 14 % y 17 % (excepto para empresas inmobiliarias - ver nuestra contribución en la edición de noviembre 2013 de este boletín informativo), y es deducible proporcionalmente a su participación en los beneficios del IRPF alemán y del Recargo de Solidaridad a pagar por el socio hasta ciertos importes máximos definidos por ley.
Según una sentencia del Tribunal Federal Supremo de lo Fiscal alemán (BFH) recién publicada del 14/01/2016 (IV R 5/14), la participación en los beneficios empresariales sujeto al IAE se rige siempre por la participación en los beneficios empresariales que ha sido generalmente acordada por los socios. Según el BFH si hay cambio de socios durante un año calendario se debe aplicar la misma regla como en el caso de que un vendedor de una participación social se comprometa a asumir el IAE que grava la ganancia patrimonial derivada de la enajenación de la participación social. A diferencia de las circulares de la administración fiscal alemana se debe determinar la atribución en la base del IAE según el BFH por la administración fiscal alemana solamente para los socios que tienen una participación social en el momento del devengo del IAE.
