[value] => Dem Geschäftsführer einer GmbH wird mit seiner Bestellung eine Vielzahl von Pflichten übertragen. Die Übernahme einer Geschäftsführertätigkeit für eine GmbH bringt u.a. Haftungsrisiken gegenüber der Gesellschaft mit sich. Eine Haftung des Geschäftsführers gegenüber der Gesellschaft kommt z.B. bei Zahlungen nach Zahlungsunfähigkeit oder Überschuldung, bei Falschangaben bei der Gründung der Gesellschaft oder bei Untreuehandlungen in Betracht. Der Geschäftsführer hat die Sorgfalt eines „ordentlichen Geschäftsmannes“ anzuwenden. Auf das Fehlen individueller Fähigkeiten kann sich der Geschäftsführer nicht berufen. Der Umfang der Pflichten des Geschäftsführers richtet sich im Übrigen nach Größe, Art und Geschäftszweig des jeweiligen Unternehmens. Wird ein Schaden durch mehrere Geschäftsführer der Gesellschaft gemeinsam verursacht, haften diese gegenüber der Gesellschaft solidarisch. Für das Handeln dritter Personen kommt eine Haftung des Geschäftsführers nur bei einem Verschulden bei der Auswahl, Anleitung und Überwachung dieser Personen in Betracht.
Die Geltendmachung von Ansprüchen der Gesellschaft gegen den Geschäftsführer setzt einen Gesellschafterbeschluss voraus, wobei die Gesellschaft grundsätzlich das Vorliegen der Anspruchsvoraussetzungen zu beweisen hat. Für Einwendungen gegen den Anspruch trägt hingegen grundsätzlich der Geschäftsführer die Beweislast. Ansprüche gegen den Geschäftsführer aus einer Verletzung von Sorgfaltspflichten verjähren in fünf Jahren ab Anspruchsentstehung, d.h. mit Eintritt des Schadens. Auf die Kenntnis der Gesellschaft kommt es nicht an. Sonstige Ansprüche, z.B. aus unerlaubter Handlung, die neben eine Haftung aus Sorgfaltspflichtverletzung treten können, unterliegen einer eigenen Verjährung.

La asunción del cargo de administrador de una GmbH conlleva, entre otros, el riesgo de responsabilidad frente a la sociedad. La responsabilidad del administrador frente a la sociedad se puede dar p.ej. en el caso de realización de pagos durante una situación de insolvencia o de sobreendeudamiento, de declaraciones falsas en el momento de la constitución de la sociedad o de actuaciones fraudulentas. El administrador está obligado a actuar con la diligencia de un “ordenado hombre de negocios” y no puede alegar la falta de cualidades individuales. Por lo demás, la extensión de las obligaciones de un administrador se determinan en función del tamaño, del tipo y del sector de actividad de la empresa. Si varios administradores conjuntamente ocasionan un daño, entonces responderán solidariamente frente a la sociedad. El administrador solamente responderá por las actuaciones de un tercero en caso de incurrir en culpa en la selección, dirección y control de ese tercero.
El ejercicio de los derechos de la sociedad contra el administrador requiere un acuerdo de los socios y por regla general debe probar la sociedad el cumplimiento de los supuestos de hecho para la responsabilidad. Por el contrario, el administrador tiene la carga de la prueba de las objeciones alegadas contra la existencia de esa responsabilidad. Los derechos contra el administrador derivados de la vulneración de su deber de diligencia prescriben a los cinco años desde el nacimiento de esos derechos, es decir, desde la producción del daño, sin que sea relevante cuándo la sociedad ha tenido conocimiento del mismo. Otros derechos, p.ej. de responsabilidad por acto ilícito, que puedan concurrir junto con la responsabilidad derivada de la vulneración del deber de diligencia, prescribirán según las reglas propias de prescripción en casa caso.
