[value] => In dem jüngsten Urteil Nr. 736/2015 des spanischen Obersten Gerichtshofes vom 30.12.2015, das durch den unterzeichneten Rechtsanwalt erwirkt wurde, wird eine interessante Doktrin bezüglich der Klagen zur Kündigung von Bodenkaufverträgen für Bauprojekte eingeführt.
Im fraglichen Fall wurde ein Kündigungsanspruch für den Kaufvertrag über ein Grundstück wegen Verzugs bei der Fertigstellung der im Vertrag vorgesehenen Erschließungsarbeiten vorgesehen. Wenngleich keine be-stimmte Übergabe- und Fertigstellungsfrist für die Erschließungsarbeiten im Bauabschnitt vereinbart worden war, bestand sehr wohl eine Planung für die Fertigstellung zu einem bestimmten Termin, der später bei weitem überschritten wurde.
Der OGH versteht dies so, dass der Verzug einen ausreichenden Grund dafür darstellt, den Vertrag zu kündigen, selbst wenn die Erfüllung der Frist nicht als wesentlicher Bestandteil des Vertrages festgelegt worden war, denn solch eine Ausdehnung der Frist lässt die Erwartungen der Käuferseite bezüglich der Bauausführung und Baufinanzierung scheitern, wobei man außerdem Bezug auf wesentliche Wandlungen während dieser Zeit nimmt, die bezüglich des Firmenzwecks eingetreten sind (das Betreiben eines Bauprojektes).
Dies war eine allgemein sehr übliche Lage bei vielen Bauherren, die in den unmittelbar vor der Wirtschaftskrise liegenden Jahren Boden erworben hatten. Die Tatsache, dass unser Oberster Gerichtshof die Ansicht vertritt, ein Verzug der Erschließungsarbeiten von fünf Jahren stelle aufgrund der daraus während dieses Zeitraums folgenden Veränderung der finanziellen und geschäftlichen Erwartungen einen Grund für die Kündigung des Kaufvertrages dar, wird zweifelsohne für neue Sichtweisen bezüglich der zahlreichen anhängigen Verfahren infolge von Verträgen über den Grundstückserwerb für die Wahrnehmung der bauunternehmerischen Tätigkeit sorgen.

[value] => Una reciente sentencia de la Sala Civil del Tribunal Supremo, nº 736/2015, de 30/12/2015, obtenida por el letrado firmante, introduce una sugestiva doctrina en relación con las acciones resolutorias de contratos de compraventa de suelo para promoción de edificación.
El supuesto en cuestión preveía una acción de resolución de un contrato de compraventa de solar por retraso en la terminación de las obras de urbanización previstas en el contrato. Aunque no se pactó un plazo determinado de entrega y de finalización de las obras de urbanización del sector, existía una previsión de finalización en una fecha determinada que fue con posterioridad sobrepasada en exceso.
El Tribuanl Supremo entiende que este retraso es causa suficiente de resolución contractual, aun cuando su cumplimiento no se hubiese fijado como elemento esencial del contrato, pues dicha dilación frustra las expectativas de la compradora en relación con la ejecución y la financiación de las obras, aludiendo además las transformaciones sustanciales que durante ese tiempo se habrían producido dentro del objeto social (la promoción de un proyecto de construcción).
Esta fue una situación muy común en muchas promotoras que adquirieron suelo en los años inmediatamente anteriores al inicio de la crisis económica. El hecho de que nuestro alto tribunal aprecie que un retraso de cinco años en la terminación de unas obras de urbanización, dada la modificación producida en ese tiempo de las expectativas financieras y comerciales, constituye causa de resolución del contrato de compraventa, va a introducir sin duda nuevas perspectivas en los numerosos contenciosos derivados de compraventas de suelo para ejecución de actividad promotora. Además de una muy sugestiva referencia a la modificación sustancial de las condiciones contractuales en relación con las causas de resolución contractual.
