[value] => Das Transatlantische Freihandelsabkommen TTIP ist in aller Munde – das unter anderem, weil es Schiedsverfahren für Investoren vorsieht. Dieser sog. Investorenschutz bedeutet, dass Unternehmen, die in einem anderen Mitgliedsstaat des Abkommens investieren, bei Streitigkeiten mit jenem Staat ein nichtstaatliches Schiedsgericht anrufen können, anstatt eine Klage in dem jeweiligen Land vor den staatlichen Gerichten anhängig machen zu müssen. Hintergrund ist, dass Unternehmen häufig die Unwägbarkeiten einer fremden (Zivilprozess-) Rechtsordnung scheuen und deshalb private Schiedsgerichte bevorzugen. Solche Schiedsvereinbarungen in Staatsverträgen sind allerdings höchst umstritten. Der Deutsche Richterbund beispielsweise hat verlautbart, dass er entsprechende Schiedsklauseln als Bruch der deutschen Verfassung sieht.
In diesem Zusammenhang ist ein Verfahren vor dem I. Zivilsenat des Bundesgerichtshofs (BGH) interessant. Dieser hat einen anhängigen Rechtsstreit zwischen der Slowakischen Republik und einer niederländischen Versicherungsgruppe dem Europäischen Gerichtshof (EuGH) zur Entscheidung vorgelegt. Hintergrund ist folgender: Die Tschechoslowakei als Rechtsvorgänger der Slowakei hatte im Jahre 1992 ein Abkommen mit den Niederlanden zum Schutz von Investitionen geschlossen. Darin war auch die Möglichkeit für Unternehmen vorgesehen, den jeweils anderen Vertragsstaat vor einem Schiedsgericht auf Schadensersatz in Anspruch zu nehmen. Das niederländische Versicherungsunternehmen hatte dies vor einem Schiedsgericht in Frankfurt getan, als die Slowakei durch einen Umschwung zu stärker regulierender Gesetzgebung für einen Schaden bei dem Unternehmen gesorgt hatte. Es kam zum Schiedsverfahren, das das Unternehmen gewann. Die Slowakei versuchte, den für sie negativen Schiedsspruch aufheben zu lassen, weshalb sich nun – auf Vorlage des BGH – der EuGH mit einem möglichen Verstoß solcher Schiedsklausel gegen Europarecht befasst.

[value] => El Tratado Transatlántico de Libre Comercio TTIP está en boca de todos - entre otras cosas, porque prevé un proceso de arbitraje para inversores. Esta protección a inversores significa que las empresas que invierten en otros Estados contratantes del Tratado, en el supuesto de conflicto con dicho Estado, pueden acudir a un Tribunal arbitral no estatal en lugar de tener que depender de una demanda interpuesta ante un Tribunal estatal en el país respectivo.
El motivo de esto es porque muchas empresas a menudo huyen de las circunstancias imprevisibles de un ordenamiento jurídico extranjero y sus respectivos procesos civiles. Por ello prefieren Tribunales arbitrales privados. Tales cláusulas de arbitraje son, sin embargo, muy discutidas en los Tratados Internacionales. La Asociación alemana de Jueces, por ejemplo, ha hecho público que considera que estas cláusulas de arbitraje vulneran la Constitución alemana.
En este contexto hay un proceso muy interesante de la Sala primera de lo Civil del Tribunal Federal Supremo alemán (BGH). En este proceso se presentó una causa pendiente entre la República Eslovaca y un grupo de compañías de seguros holandesas ante el TJUE para que éste decidiera. El trasfondo era el siguiente: Checoslovaquia, como predecesora jurídica de Eslovaquia, celebró en 1992 un Convenio con los Países Bajos para la protección de inversores. En él también se preveía la posibilidad para empresas de demandar por daños y perjuicios a otros Estados miembros ante un Tribunal de arbitraje.
La compañía de seguros holandesa así lo hizo ante un Tribunal de arbitraje en Frankfurt cuando Eslovaquia dio un giro hacia una legislación fuertemente reguladora, causando daños a la compañía. Llegó el arbitraje y la compañía ganó. Eslovaquia intentó invalidar el laudo arbitral negativo para ella, razón por la cual – siguiendo la planteada consulta del BGH – el TJUE tiene que examinar ahora una posible violación del Derecho Europeo por la cláusula de arbitraje.
