[value] => Gegenstand des insolvenzrechtlichen Newsletters im April 2016 war die Rangrücktrittsvereinbarung als Mittel zur Beseitigung des Insolvenzgrundes der Überschuldung einer GmbH. Ein weiteres rechtliches Instrument in diesem Sinne ist die sog. Patronatserklärung. In der Praxis wird zwischen einer „weichen“ und einer „harten“ Patronatserklärung unterschieden.
Die Erklärung einer Muttergesellschaft gegenüber ihrer Tochter, es entspreche ihrer Geschäftspolitik, die Kreditwürdigkeit der Tochtergesellschaft zu erhalten, ist ein Fall der weichen Patronatserklärung. Sie begründet keine selbstständigen Pflichten der Muttergesellschaft als Patron. Aufgrund ihres vagen Erklärungsinhalts ist sie nicht geeignet, die Überschuldung einer GmbH zu vermeiden. Ist jedoch die Patronatserklärung in der Form ausgestaltet, dass sie der Tochtergesellschaft einen eigenen durchsetzbaren Anspruch gegen die Mutter einräumt, so liegt eine harte Patronatserklärung vor. Dies ist beispielsweise dann der Fall, wenn die Muttergesellschaft gegenüber den Gläubigern der Tochter die uneingeschränkte Verpflichtung übernimmt dafür zu sorgen, dass diese in der Weise geleitet und finanziell ausgestattet wird, dass sie stets in der Lage ist, alle ihre Verbindlichkeiten fristgemäß zu bedienen. Es handelt sich also um ein Versprechen zum unbedingten Verlustausgleich zugunsten sämtlicher Gläubiger des Unternehmens. Ist darüber hinaus gewährleistet, dass die Leistungen der Muttergesellschaft aufgrund der Patronatserklärung bei der Tochtergesellschaft endgültig verbleiben, so beseitigt diese nach der höchstrichterlichen Rechtsprechung die bilanzielle Überschuldung der Tochter. Es darf sich also nicht etwa um ein in der Krise zu gewährendes Darlehen handeln. Maßgeblich ist also auch hier – wie schon bei der Rangrücktrittsvereinbarung – eine den Anforderungen der Rechtsprechung entsprechende inhaltliche Ausgestaltung der Patronatserklärung.

[value] => En abril se ocupaba el artículo sobre el derecho concursal de este Newsletter del mecanismo de la renuncia al rango para evitar que un sobreendeudamiento pueda provocar el inicio forzoso de un procedimiento concursal de la sociedad limitada alemana (GmbH). Ahora bien, existe otro instrumento jurídico aplicable para lograr el mismo fin: la denominada carta de garantía o carta de patrocinio. En la práctica, se distingue entre las cartas “suaves” y las “fuertes”.
La declaración que pueda emitir una matriz respecto de su filial puede caer dentro de la categoría de las cartas “suaves”, cuando en ella enuncia la matriz su confianza en la solvencia de la filial (como parte de su política empresarial). Mediante este tipo de carta no se reconoce la creación de obligaciones de patrocinio propias de la matriz a favor de la filial. Por su redacción vaga e imprecisa no puede usarse una carta de este tipo para evitar el sobreendeudamiento de una GmbH. En cambio, nos encontramos frente a una declaración del tipo “fuerte” cuando ésta concede a la filial el derecho de interponer una reclamación propia frente a la matriz. A modo de ejemplo, nos encontramos ante este tipo de carta cuando la matriz asume frente a los acreedores de la filial la obligación ilimitada de garantizar que la misma está prevista de la administración adecuada y de los fondos económicos necesarios para que en todo momento pueda afrontar y liquidar la totalidad de sus deudas exigibles dentro de los plazos previstos. Se trata, en suma, de un compromiso de compensación incondicional de cualesquiera pérdidas que puedan sufrir los acreedores de la filial. Si además existe la garantía de que gracias al patrocinio responderá la matriz por la filial con carácter definitivo, entonces queda reconocido en la jurisprudencia alemana que la matriz evita así el sobreendeudamiento contable de la filial. El elemento determinante – como en el caso del acuerdo de la renuncia al rango – es de nuevo que la redacción de la carta de garantía se ajuste a los requisitos previstos por la jurisprudencia aplicable.
