[value] => Miet- und Leasingverträge können umsatzsteuerlich entweder als Lieferung oder als sonstige Leistung zu beurteilen sein. Eine Lieferung liegt vor, wenn die Verfügungsmacht an einem körperlichen Gegenstand, an Sachgesamtheiten und Wirtschaftsgütern verschafft wird, die im Wirtschaftsverkehr wie körperliche Sachen behandelt werden. Sonstige Leistungen sind Leistungen, die keine Lieferungen sind, also insbesondere die Überlassung des Gebrauchs und der Nutzung von Gegenständen auf Zeit oder die Einräumung, Übertragung und Wahrnehmung von Rechten und immateriellen Wirtschaftsgütern (wie z.B. Kundenstamm).
Der Europäische Gerichtshof (EuGH) hatte mit Urteil v. 4.10.2017 (C-164/16, Mercedes-Benz Financial Services UK Ltd) entschieden, dass die in Art. 14 Abs. 2 Buchst. b MwStSystRL verwendete Formulierung „Mietvertrag, der die Klausel enthält, dass das Eigentum unter normalen Umständen spätestens mit Zahlung der letzten fälligen Rate erworben wird“ dahin auszulegen ist, dass für die Annahme einer Lieferung zwei Voraussetzungen erfüllt sein müssen. Zum einen muss der Vertrag, aufgrund dessen die Übergabe des Gegenstands erfolgt, ausdrücklich eine Klausel zum Übergang des Eigentums an diesem Gegenstand vom Leasinggeber auf den Leasingnehmer enthalten. Diese Voraussetzung sieht der EuGH als erfüllt an, wenn der Vertrag eine Kaufoption für den Leasinggegenstand vorsieht. Zum anderen muss aus den – zum Zeitpunkt der Vertragsunterzeichnung und objektiv zu beurteilenden – Vertragsbedingungen deutlich hervorgehen, dass das Eigentum am Gegenstand automatisch auf den Leasingnehmer übergehen soll, wenn der Vertrag bis zum Vertragsablauf planmäßig ausgeführt wird. Der Vertrag darf dem Leasingnehmer keine echte wirtschaftliche Alternative in dem Sinne bieten, dass er zu dem Zeitpunkt, an dem er eine Wahl zu treffen hat, je nach Interessenlage den Gegenstand erwerben, zurückgeben oder weiter mieten kann. Bei einer im Vertrag enthaltenen – formal zwar völlig unverbindlichen – Kaufoption ist diese Voraussetzung erfüllt, wenn angesichts der finanziellen Vertragsbedingungen die Optionsausübung zum gegebenen Zeitpunkt in Wirklichkeit als einzig wirtschaftlich rationale Möglichkeit für den Leasingnehmer erscheint.
Die bisherige umsatzsteuerliche Beurteilung von Leasing- und Mietverträgen im sog. Umsatzsteueränderungserlass (UStAE) stand teilweise nicht im Einklang mit der EuGH-Entscheidung. In einem Schreiben v. 18.3.2020 (BMF III C 2 -S 7100/19/10008 :003, DOK 2020/0256754) hat das Bundesfinanzministerium diese Regelungen nun an die Rechtsprechung des EuGH angepasst, die in allen offenen Fällen anzuwenden sind. Sonderregelungen gelten für das sog. Cross-Border-Leasing, soweit sich dieses nach dem Recht eines anderen EU-Mitgliedstaates richtet. Für vor 18.3.2020 abgeschlossene Leasing- und Mietverträge wird es jedoch – auch für Zwecke des Vorsteuerabzugs – nicht beanstandet, wenn die Beteiligten übereinstimmend die bisher geltenden Regelungen des UStAE anwenden.

[value] => Los contratos de alquiler y arrendamiento financiero pueden calificarse como entrega o bien como prestación de servicio a efectos del IVA. Se califica una operación como entrega cuando se traspasa la facultad de disposición de un objeto físico, un conjunto de partes materiales y otras mercancías que en el tráfico comercial se consideran como bienes materiales. Servicios son operaciones que no son entregas, como en particular la cesión del uso y disfrute de bienes por tiempo definido o la concesión, el traspaso y la ejecución de derechos como de activos inmateriales (por ej. la cartera de clientes).
En la sentencia del 4/10/2017 (C-164/16, Mercedes-Benz Financial Services UK Ltd) el Tribunal de la Justicia de la UE (TJUE) decidió que en el art. 14 (2) letra b de la Directiva de la UE en materia de IVA el término “contrato de arrendamiento que contiene la cláusula que se entrega la propiedad en una situación normal a más tardar con el pago de la última cuota adeudada” implica que para la aceptación de la entrega se deben cumplir dos condiciones. En primer lugar, en el contrato debe especificarse expresamente una cláusula relativa a la trasmisión de la propiedad del bien del arrendador al arrendatario. El TJUE acepta esta primera condición al ofrecerse la posibilidad de compra del objeto de arrendamiento. Como segunda condición —ya desde el momento de firmarse el contrato debe ser establecida objetivamente— contractual a destacar es que la propiedad del objeto automáticamente se trasmite al arrendatario si el contrato ha sido cumplido como estipulado hasta su vencimiento. Este contrato no puede ofrecer al arrendatario alternativas económicas verdaderas en el sentido de que, hasta que sea tomada la decisión y según la momentánea situación, pueda según sus intereses optar por adquirir el bien, devolverlo o seguir alquilando. Si se estipula la opción de compra —formalmente de manera no vinculante— se cumple con dicha condición si en vista de las condiciones financieras del contrato fuese el ejercicio de la opción en ese momento específico, la única y real opción económicamente racional para el arrendatario.
El actual tratamiento del IVA en cuanto a contratos de alquiler y de arrendamiento financiero en el Reglamento Administrativo para la Aplicación del IVA (UStAE) no coincidía en algunos puntos con la sentencia del TJUE. En una circular del 18/3/2020 el Ministerio Federal de Finanzas (BMF III C 2 -S 7100/19/10008 :003, DOK 2020/0256754) ajustó con regulaciones lo determinado por el TJUE, y se deberán aplicar a todos los casos abiertos. En un contexto transfronterizo, por ej. en el llamado Cross-Border-Leasing, en la medida que se rige por la legislación de otro Estado miembro de la UE, se aplican reglas especiales. Contratos de alquiler y de arrendamiento financiero con opción de compra concluidas antes al 18/3/2020 pueden ser tratados —también a efectos del IVA soportado— según las disposiciones del UStAE anteriores.
