Oktober erteilte ein Gericht als einstweilige Verfügung die Aussetzung der Beschlüsse der Generalversammlung von Mediaset España („Mediaset“), die die grenzüberschreitende Verschmelzung genehmigten, durch die das niederländische Unternehmen Mediaset Investment („MFE“) die Unternehmen Mediaset und Mediaset Italia übernehmen würde.
Die einstweilige Verfügung wurde von dem Minderheitsaktionär Vivendi beantragt, wobei die Annahmen des mit der Anhängigkeit eines Rechtsstreits verbundenen Risikos auf folgende Argumente gestützt wurden:
Erstens legt das spanische UmwG fest, dass keine Fusion nach ihrer Eintragung angefochten werden kann. Dadurch erhöht sich das Risiko der Irreversibilität der Fusion nach Ablauf der gesetzlichen Einspruchsfrist erheblich, was Mediaset die Möglichkeit gibt, die Fusion einzutragen sowie die Beendigung des Verfahrens zu beatragen wodurch das Recht von Vivendi auf einen wirksamen Rechtsschutz beeinträchtigt würde.
Zweitens legt das UmwG fest, dass nach der Verschmelzung das Handelsregisterblatt der aufgelösten Gesellschaft gelöscht wird, was es in der Praxis unmöglich macht, ein aufgelöstes Unternehmen zu reaktivieren.
Schließlich gäbe es Verpflichtungen, die sich aus der Fusion ergeben, die aufgrund des begrenzten Umfangs eines Urteils niemals aufgehoben werden könnten.
Hingegen argumentierte Mediaset unter anderem, dass eine konkrete und reale Gefahr für Vivendi nicht bewiesen sei und dass, falls das Urteil aufrechterhalten würde, die Fusion durch eine Abspaltung zur Wiederherstellung der früheren Situation vollkommen umkehrbar wäre.
Unter Berücksichtigung des oben Gesagten beschloss das Gericht, die einstweilige Verfügung zu gewähren und daher die Fusion auszusetzen. Somit wurde das Risiko der Irreversibilität der Fusion bestätigt, die zunächst hypothetische Notwendigkeit der Durchführung der Fusion durch Mediaset beurteilt und Vivendi eine Garantie auferlegt.
Darüber hinaus ist bei der Beurteilung des Verfügungsgrunds von Vivendi zu beachten, dass das Gericht unter anderem die aus der Fusion resultierende Satzungen nach niederländischem Recht sowie das Ausmaß der Verletzung des Minderheitsaktionärs zu bewerten hat:
Was die Vorteile betrifft, die der Mehrheitsaktionär zum Nachteil von Vivendi in der neuen Satzung von MFE erhält, identifiziert das Gericht Folgende: i) die Unilateralität des Verwaltungsrates ii) der erhebliche Verlust an politischen Rechten seitens Vivendi, iii) die Befugnis des Verwaltungsrats, Vivendi Rechte als Aktionär zu begrenzen aufgrund dessen Rechtsstreitigkeiten, iv) die Ausgestaltung der Treueaktien, die eine potenzielle Verwässerung für Vivendi implizieren, und v) die Ausgestaltung der Verpflichtung zur Formulierung eines obligatorischen Übernahmeangebots, das für Vivendi konzipiert zu sein scheint, während der Mehrheitsaktionär dieses vermeidet. Daher bestätigte das Gericht den Verfügungsgrund und erklärte die einstweilige Verfügung.

[value] => El pasado 10 de octubre, mediante auto judicial, un Juzgado acordó la suspensión cautelar de los acuerdos aprobados en la Junta General de Mediaset España (“Mediaset”), que aprobaban la fusión transfronteriza, a través de la cual la neerlandesa Mediaset Investment (“MFE”) absorbería a las sociedades Mediaset y Mediaset Italia.
La suspensión cautelar fue solicitada por el accionista minoritario Vivendi, basando los supuestos del riesgo propio a la pendencia de un litigio en los siguientes argumentos:
En primer lugar, la Ley de Modificaciones Estructurales (LME) establece que ninguna fusión podrá ser impugnada tras su inscripción. Esto aumenta considerablemente el riesgo de irreversibilidad de la fusión una vez transcurrido el plazo de oposición legal, que permitiría a Mediaset inscribir la fusión, solicitando la terminación del procedimiento y perjudicando el derecho a la tutela judicial efectiva de Vivendi.
En segundo lugar, la LME establece que, una vez inscrita la fusión, se cancelarán los asientos registrales de las sociedades extinguidas por lo que Mediaset desaparecería, siendo en la práctica muy difícil reactivar una sociedad ya disuelta.
Por último, argumenta que existen obligaciones derivadas de la fusión que jamás podrían cancelarse debido al alcance limitado de una sentencia estimatoria.
En este sentido, los argumentos de Mediaset en contra de la impugnación fueron, entre otros, que no se había probado un peligro concreto y real para Vivendi, así como que, si la sentencia fuera estimatoria, la fusión sería perfectamente reversible llevando a cabo una escisión para restablecer la situación anterior.
Teniendo en cuenta lo anterior, el Juzgado decidió otorgar las medidas cautelares y, por lo tanto, suspender la fusión, afirmando el riesgo de la irreversibilidad de la fusión, valorando a priori la hipotética necesidad de Mediaset de llevar a cabo la fusión e imponiendo una caución a Vivendi.
Asimismo, a la hora de valorar la apariencia de buen derecho de Vivendi, cabe destacar que el Juzgado entra a valorar, entre otros, los estatutos resultantes conforme a derecho neerlandés, así como hasta qué punto vulneran al socio minoritario:
En cuanto a los beneficios obtenidos por el socio mayoritario en detrimento de Vivendi, los beneficios particulares para el accionista mayoritario en los nuevos estatutos sociales de MFE serían i) el blindaje del Consejo de Administración ii) la sustancial pérdida de derechos políticos por parte de Vivendi cuando se compara el actual régimen con el futuro, iii) la facultad del Consejo de Administración de privar a Vivendi de sus derechos como accionista en base a sus controversias y litigios particulares, iv) el diseño de las acciones de lealtad implicando la potencial dilución para Vivendi y v) el diseño de la obligación de formular una OPA obligatoria que parece estar diseñado para Vivendi mientras que el accionista mayoritario elude la misma. Por ello el Juzgado confirmó la apariencia de buen derecho estimando las medidas cautelares.
