[value] => Wenn das Verwaltungsorgan eines Unternehmens ein Verwaltungsrat ist, ist es üblich, dass der Verwaltungsrat eine aussenstehende Person zum Sekretär des Verwaltungsrats ernennt, d.h. jemanden, der nicht auch Verwaltungsratsmitglied ist.
Die Figur des Sekretärs, der nicht gleichzeitig Mitglied des Verwaltungsrats ist, ist in Par. 528octies des Gesetzes über Kapitalgesellschaften vorgesehen, der sich zwar auf börsennotierte Gesellschaften bezieht, dessen Regelung aber auf alle Kapitalgesellschaften anwendbar ist. In diesem Sinne ist im Beschluss der Generaldirektion für Register und Notare vom 7.11.2016 zu lesen:
“Das Amt des Sekretärs des Verwaltungsrates einer Gesellschaft mit beschränkter Haftung -und eigentlich jeder Kapitalgesellschaft- kann von einer Person bekleidet werden, die nicht Mitglied des Verwaltungsrats ist. Par. 109.1.a der Handelsregisterordnung verleiht dem Sekretär des kollegialen Verwaltungsorgans Bescheinigungsbefugnisse, unabhängig davon, ob er Mitglied des Verwaltungsrats ist oder nicht. Es gibt keine Bestimmung, die verlangt, dass der Sekretär des Verwaltungsrats gleichzeitig Mitglied des Verwaltungsrats ist.“
Dass der Sekretär nicht Mitglied des Verwaltungsrats sein muss ist praktisch, wenn man bedenkt, dass die Verwaltungsräte eine wichtige Verantwortung im Hinblick auf die Einhaltung der Gesetze in Bezug auf die von ihnen verabschiedeten Beschlüsse haben, da so die Möglichkeit gegeben ist, dass das Amt des Sekretärs von einem Anwalt mit Erfahrung und Kenntnissen im Handels- und Gesellschaftsrecht besetzt werden kann, der dafür sorgen kann, dass die angenommenen Beschlüsse mit dem Gesetz in Einklang stehen und die für ihre Gültigkeit erforderlichen formalen Anforderungen erfüllt werden, z.B. in Bezug auf die erforderlichen Mehrheiten, die Überwachung und Auszählung der Stimmen, die Berücksichtigung von abweichenden Stimmen, usw.
Ebenso ist eine korrekte Formulierung der angenommenen Beschlüsse und Entscheidungen äußerst wichtig (insbesondere, wenn es Verwaltungsrats-mitglieder mit unterschiedlichen Meinungen gibt). Sie muss die Diskussionen, die in der Sitzung geäußerten Standpunkte sowie den spezifischen Inhalt des angenommenen Beschlusses oder der Entscheidung getreu wiedergeben. Korrekt verfasste Protokolle sind die beste Garantie, um Probleme bei der Auslegung oder Umsetzung der vom Verwaltungsrat gefassten Beschlüsse zu vermeiden.
Der Sekretär, der nicht Mitglied des Verwaltungsrats ist, wird vom Verwaltungsrat selbst ernannt. Nach seiner/ihrer Ernennung wird er/sie das Amt für die Dauer der Amtszeit ausüben, ohne dass er/sie zu Beginn einer jeden Sitzung neu ernannt werden müsste. Ebenso kann der Sekretär jederzeit vom Verwaltungsrat mit einfacher Mehrheit abberufen werden.
Kurz gesagt, die Ernennung eines Anwalts zum Sekretär des Verwaltungsrats trägt sicherlich dazu bei, die von den Verwaltungsratsmitgliedern bei der Ausübung ihrer Funktionen eingegangenen Risiken zu reduzieren und sorgt für Sicherheit und Ordnung im Verwaltungsrat.

[value] => Cuando el órgano de administración de una sociedad es un Consejo de Administración es muy habitual contar con un Secretario no Consejero, es decir, una persona que asume dicha función pero que no tiene la condición de Consejero de la sociedad.
La figura del Secretario No Consejero viene prevista en el artículo 528octies de la Ley de Sociedades de Capital, que si bien se refiere a las sociedades cotizadas, su regulación se extiende a todas las sociedades de capital, como señala la resolución de la Dirección General de los Registros y del Notariado de 7 de noviembre de 2016:
“El cargo de secretario del consejo de administración de una sociedad limitada -en realidad, de toda sociedad de capital- puede ostentarlo una persona que no sea consejero [artículo 109.1.a) del Reglamento del Registro Mercantil], que atribuye facultades certificantes al secretario del órgano colegiado de administración, sea o no consejero. No hay ningún precepto que exija que el secretario del consejo, cuando sea éste el órgano de administración, sea además consejero.”
Contar con un Secretario No Consejero es conveniente, ya que los Consejos de Administración tienen una importante responsabilidad desde el punto de vista del cumplimiento de la legalidad en relación con los acuerdos que adoptan. Es, por lo tanto, importante, que el cargo de Secretario No Consejero lo ocupe un Letrado con experiencia y conocimientos en materia de Derecho Mercantil y Societario, ya que velará por que los acuerdos que se adopten sean conformes a Derecho y respeten los requisitos formales necesarios para su validez, p.ej. en relación con las mayorías necesarias, seguimiento y recuento de las votaciones, expresión de los votos discrepantes (en su caso).
Así mismo, una correcta redacción de los acuerdos y decisiones adoptadas es sumamente importante (más aún cuando haya Consejeros con disparidad de opiniones) y debe recoger fielmente las discusiones, puntos de vista expresados en la reunión, así como el concreto contenido del acuerdo o decisión adoptada. Una correcta redacción del Acta es la mejor garantía para evitar problemas a la hora de interpretar o ejecutar las decisiones adoptadas por el Consejo.
El Secretario debe también certificar el contenido de los acuerdos adoptados por el Consejo, para lo que, una vez más, resulta muy relevante tener una buena capacidad de organización y ordenación.
El Secretario No Consejero es designado por el propio Consejo, no por la Junta General de socios. Una vez elegido, ejercerá su cargo de forma permanente mientras esté vigente su cargo, sin que sea necesario que se designe nuevamente al inicio de cada reunión. Igualmente, puede ser cesado en cualquier momento por el Consejo, bastando la mayoría simple para ello.
En definitiva, designar Secretario No Consejero a un Letrado contribuye, a buen seguro, a reducir los riesgos que asumen los Consejeros en el ejercicio de sus funciones y a dar seguridad y orden al Consejo de Administración.
