März 2019 ist das Gesetz 1/2019 über Geschäftsgeheimnisse in Kraft getreten, welches die Richtlinie (EU) 2016/943 über den Schutz vertraulicher Know-hows und vertraulicher Geschäftsinformationen (Geschäftsgeheimnisse) vor rechtswidrigem Erwerb sowie rechtswidriger Nutzung und Offenlegung umsetzt.
Aus der Lektüre der Erwägungsgründe der europäischen Richtlinie ergibt sich, dass der europäische Gesetzgeber hauptsächlich das Ziel verfolgt, das Know-how von Unternehmen und europäischen Forschungseinrichtungen, auf dem ihre Wettbewerbsfähigkeit basiert, zu schützen.
Das Gesetz definiert das Geschäftsgeheimnis als „Informationen oder Kenntnisse, einschließlich technologischer, wissenschaftlicher, kommerzieller, organisatorischer oder finanzieller Art“, sofern sie nachstehende Kriterien erfüllen: Die Informationen müssen geheim sein, d.h. sie sind für diejenigen Personen in den Kreisen, die üblicherweise mit dieser Art Informationen oder Kenntnissen umgehen, weder allgemein bekannt, noch ohne weiteres zugänglich.
- Die Informationen müssen einen reellen oder potentiellen, kommerziellen Wert haben, weil sie geheim sind, und
- Der rechtmäßige Inhaber der Informationen muss angemessene Maßnahmen zu ihrer Geheimhaltung ergriffen haben.
- Die letzterwähnte Bedingung ist von großer Bedeutung, da das Unternehmen
Protokolle oder Schutzpläne, sowohl technischer wie auch rechtlicher Art einführen muss, um die Geheimhaltung zu gewährleisten, wobei der Rechtsberater für die Entwicklung oder Anpassung der entsprechenden Schutzmaßnahmen von großer Hilfe sein kann.
Das Gesetz führt ferner prozessrechtliche Vorschriften ein, die es dem Richter erlauben, Maßnahmen zu ergreifen, um die Vertraulichkeit eines Geschäftsgeheimnisses im Rahmen eines Verfahrens zu wahren, wie z.B. die Beschränkung des Zugangs zu bestimmten Dokumenten auf bestimmte Personen, die Beschränkung der Anwesenheit bei Gerichtsverhandlungen auf bestimmte Personen, usw.

[value] => El pasado 13 de marzo de 2019 entró en vigor la Ley 1/2019, de Secretos Empresariales, que incorpora al Derecho español el contenido de la Directiva (UE) 2016/943, relativa a la protección de los conocimientos técnicos y la información empresarial no divulgados (secretos comerciales) contra su obtención, utilización y revelación ilícitas.
De la lectura de los considerandos de la Directiva europea se desprende que el interés principal que persigue el legislador comunitario es garantizar el know how de las empresas y de los organismos de investigación europeos, en el que se basa su competitividad.
La ley define el secreto empresarial como “cualquier información o conocimiento, incluido el tecnológico, científico, industrial, comercial, organizativo o financiero”, siempre que se den las siguientes condiciones respecto del mismo:
- La información debe ser secreta, entendiendo como tal la que no es generalmente conocida por las personas pertenecientes a los círculos en que normalmente se utilice el tipo de información o conocimiento en cuestión, ni fácilmente accesible para ellas,
- la información debe tener un valor empresarial, ya sea real o potencial, precisamente por ser secreta, y
- debe haber sido objeto de medidas razonables por parte de su titular para mantenerlo en secreto.
El último de los elementos resulta de gran importancia, ya que la empresa deberá implantar protocolos o planes de protección, tanto técnicos como jurídicos con el fin de proteger el secreto de la información, para lo cual el profesional del derecho puede ser de gran utilidad a la hora de diseñar o adecuar dichos planes de protección.
La ley introduce también normas procesales que permiten que los jueces adopten medidas para que el propio procedimiento no suponga una revelación del secreto, como p.ej. restringir las personas con acceso a un documento, restringir los asistentes a las vistas, etc.
