[value] => Das spanische Kapitalgesellschaftsgesetz bestimmt, dass die Einberufung der Hauptversammlung durch eine Anzeige auf der Internetseite der Gesellschaft -nach den gesetzlichen Bestimmungen erstellt, eingetragen und veröffentlicht- erfolgen muss, oder falls die Gesellschaft keine Internetseite hat, durch die Veröffentlichung der Einberufung im Handelsregisterblatt und in einer der Zeitungen mit der größten Verbreitung in der Provinz, in der sich der Sitz befindet.
Das Gesetz sieht auch die Möglichkeit vor, diese Form der Einberufung durch eine Regelung in der Gesellschaftssatzung durch ein beliebiges Verfahren individueller und schriftlicher Kommunikation zu ersetzen, welches den Erhalt der Einberufung durch alle Gesellschafter an der Adresse gewährleistet.
Im Juli hat die Generaldirektion der Register und Notare einen Beschluss gefasst, in dem sie eine Satzungsklausel für gültig hielt, die den Versand einer E-Mail als Mittel zur Einberufung der Hauptversammlung vorsieht, ohne dass eine entsprechende Bestätigung der Lesung durch die Gesellschafter erforderlich ist, sofern sie nicht vom System zurückgewiesen wurde.
Dieser Beschluss stellt eine wichtige Wende in Bezug auf die Anforderungen an die E-Mail-Einberufung der Hauptversammlung dar, da er mit anderen früheren Beschlüssen, die solche Satzungsklauseln abgelehnt hatten, bricht, weil sie der Ansicht waren, dass sie den Erhalt der Einberufung durch das Mitglied nicht angemessen sicherstellen konnten.
Die Generaldirektion nimmt eine teleologische Auslegung des Gesetzes vor und argumentiert, dass das Ziel der Norm darin besteht, sicherzustellen, dass die Gesellschafter die Themen, über die sie in der Sitzung beraten und abstimmen werden, rechtzeitig im Voraus kennen, was durch eine Einberufung per E-Mail erreicht wird. Was die Sicherheit beim Empfang der Ankündigung betrifft, so würde dies durch die Anforderung einer Bestätigung des Lesens der E-Mail erreicht.

[value] => La Ley de Sociedades de Capital establece que la Junta General debe ser convocada mediante anuncio publicado en la página web de la sociedad, creada, inscrita y publicada conforme a lo previsto en la ley, o, en el caso de que la sociedad no disponga de ésta, mediante la publicación de la convocatoria en el Boletín Oficial del Registro Mercantil y en uno de los diarios de mayor circulación en la provincia donde esté situado el domicilio social.
Además, la ley prevé la posibilidad de sustituir la forma de convocatoria anterior mediante la regulación en los estatutos sociales de la sociedad de una forma de convocatoria por cualquier procedimiento de comunicación individual y escrita, que asegure la recepción del anuncio por todos los socios.
El pasado julio, la Dirección General de los Registros y del Notariado emitió una resolución en la que daba por válida una cláusula estatutaria que preveía el envío de un correo electrónico como medio de convocatoria a la Junta General, sin ser necesaria la recepción de la correspondiente confirmación de su lectura por los socios, siempre y cuando el correo no fuera devuelto por el sistema.
Esta resolución supone un importante giro en lo que a los requisitos de la convocatoria por correo electrónico de la Junta General se refiere, ya que rompe con otras resoluciones anteriores que venían rechazando las cláusulas estatutarias de ese tipo por considerar que no aseguraban razonablemente la recepción del anuncio por el socio.
La Dirección General hace una interpretación teleológica de la ley, argumentando que el objetivo de la norma es asegurar que los socios conocen, con antelación suficiente, las cuestiones sobre las que van a debatir y votar en la Junta, lo que se consigue mediante una convocatoria enviada por correo electrónico. En cuanto a la seguridad sobre la recepción del anuncio, esta se lograría solicitando la confirmación de lectura del correo, con independencia de que cada socio remita dicha confirmación o no.
