[value] => Der Begriff Due Diligence-Prüfung kommt grundsätzlich im Bereich des Unternehmenserwerbs und der -übertragung vor und bezieht sich auf das Informationsverfahren, das für den Käufer vor dem Erwerb relevant ist, um einen objektiven, finalen Kaufpreis, die Abwicklungsmodalitäten und die zu fordernden Garantien abschätzen und festlegen zu können.
Es können zwei verschiedene Analysearten auftreten:
Die wirtschaftlich-finanzielle Analyse: Analyse der Finanzlage und eine Auswertung der materiellen und immateriellen Vermögenswerte. Dabei erhält der Käufer nicht nur eine Beschreibung des Unternehmens, dessen Tätigkeitsbereiche und Geschäftsstrategien, sondern auch Einzelheiten zur finanziellen Situation, Organisation und Personalsituation.
• Die finanzielle Due Diligence-Prüfung: Bewertung der Finanzlage eines Unternehmens.
• Die Due Diligence-Handelsprüfung: Analyse des Wettbewerbs, um die Handelsdynamik des Sektors sowie den Marktanteil und die strategischen Leitlinien des Unternehmens kennenzulernen.
Die rechtliche Analyse: Überarbeitung und Auswertung von Verträgen, sozialer Probleme und etwaiger Streitigkeiten. Die Analyse umfasst auch steuerliche Aspekte und Arbeitsmarktfragen.
• Die rechtliche Due Diligence-Prüfung: Feststellung der Unternehmensstruktur, der vertraglichen und verwaltungsrechtlichen Situation. Außerdem werden Patente, Marken, Handelsnamen sowie Streitigkeiten und Gerichtsverfahren untersucht.
• Die steuerliche Due Diligence-Prüfung: Prüfung der wichtigsten Steuern, zu deren Abgabe das Unternehmen verpflichtet ist. Diese ermöglicht es, eine Vorstudie über die Steuernachhaltigkeit der Transaktion auszuarbeiten, die Auswirkung der steuerlichen Belastung auf die Finanzierungspläne zu bewerten oder die Steueransprüche und Schulden festzustellen.
Um schlussendlich den Erfolg der Unternehmensübertragung garantieren zu können, ist es wichtig das Due Diligence-Verfahren in Hände von Spezialisten zu legen.

[value] => El término due diligence se usa principalmente en el ámbito de la adquisición y transmisión de empresas. Se refiere al procedimiento de búsqueda de información que ha de llevar a cabo el comprador de forma previa a la adquisición de una empresa, con el propósito de valorar y fijar de forma objetiva el precio final de la operación, la modalidad de la transacción o las garantías a exigir.
Destacan dos tipos de análisis:
Análisis económico-financiero: estudio de la situación financiera y la evaluación de los activos materiales e inmateriales. A través de este análisis el comprador obtiene no sólo una descripción de la empresa, de su sector de actividad y estrategia, sino también un detalle de su situación financiera, organización y recursos humanos, entre otros.
- Due diligence financiera: evalúa la situación financiera de la empresa
- Due diligence comercial: analiza la competencia, el volumen del mercado y las líneas estratégicas de la empresa
": revisión y estudio de los contratos, las problemáticas sociales y los eventuales litigios, abarcando también los aspectos fiscales y las cuestiones laborales.
- Due diligence legal: establece la estructura de la empresa, la situación contractual y administrativa. También analiza las patentes, marcas y nombres comerciales, así como litigios y juicios.
- Due diligence fiscal: examina los principales impuestos a que está obligada la empresa. Permite elaborar un estudio preliminar sobre la viabilidad fiscal de la operación, valorar el impacto de la carga de los impuestos sobre los planes financieros o averiguar los activos y pasivos fiscales, entre otros.
Por último, cabe recordar la importancia de poner en manos de especialistas el procedimiento de due diligence para garantizar el éxito de la transmisión empresarial.
