[value] => Inzwischen deutet vieles darauf hin, dass es zu einem ungeregelten BREXIT kommen wird. Die Frage ist, wie sich ein harter BREXIT auf bestehende Vertragsbeziehungen auswirken wird.
Häufig wird sich eine der Vertragsparteien die Frage stellen, ob sie das Vertragsverhältnis vorzeitig beenden kann unter Berufung auf die veränderten Gegebenheiten aufgrund des BREXIT. Anlass hierfür kann beispielsweise der Umstand sein, dass in Lieferbeziehungen zwischen den verbleibenden 27 Ländern der EU und dem Vereinigten Königreich Umsatzsteuer ausgewiesen werden muss, was bisher nicht der Fall war. Waren müssen bei der Einfuhr in das Vereinigte Königreich (und umgekehrt in die EU) verzollt werden. Vereinbarte INCOTERMS werden möglicherweise nicht mehr passen.
Aus der deutschen Sicht gilt der Grundsatz, dass eingegangene Verträge bis zum Ende der Laufzeit zu erfüllen sind („pacta sunt servanda“). Wenn es keine vertraglich vereinbarten kurzfristigen Kündigungsmöglichkeiten gibt, wird die durch den BREXIT benachteiligte Vertragspartei versuchen, sich auf den Eintritt höherer Gewalt oder möglicherweise den Wegfall der Geschäftsgrundlage zu berufen. Bei beiden Rechtsinstituten ist aber alles andere als sicher, dass sie wirklich eine Beendigungsmöglichkeit geben werden, wenn es darauf ankommt. Mit einiger Sicherheit kann heute schon gesagt werden, dass eine Berufung auf den Wegfall der Geschäftsgrundlage dann nicht in Betracht kommt, wenn der Vertrag erst nach dem Zeitpunkt abgeschlossen worden ist, als die Beteiligten die Möglichkeit eines BREXIT kennen konnten und insoweit wird regelmäßig das Datum der Volksabstimmung über den BREXIT (23.06.2016) bzw. ein noch früherer Zeitpunkt, nämlich die Ankündigung des Referendums, genannt.
Heute kann man immer noch versuchen, ordentliche Kündigungsmöglichkeiten im Vertrag auszuschöpfen, um möglicherweise unliebsame Rechtsfolgen eines harten BREXITS zu vermeiden. Es lohnt sich also, entsprechend Verträge noch einmal genauer daraufhin anzusehen.

[value] => Ahora todo parece indicar que habrá un BREXIT no regulado. La cuestión es cómo afectará un Brexit duro a las relaciones contractuales existentes.
A menudo, una de las partes contratantes se pregunta si puede rescindir anticipadamente la relación contractual con arreglo a las nuevas circunstancias como consecuencia del BREXIT. Esto puede deberse, p. ej., al hecho de que el impuesto sobre el valor añadido deberá declararse en las relaciones de suministro entre los 27 países restantes de la UE y el Reino Unido, lo que hasta ahora no era el caso. Las mercancías deberán ser despachadas en aduanas en el momento de su importación al Reino Unido (y viceversa en la UE). Es posible que los INCOTERMS acordados ya no sean adecuados.
Desde el punto de vista alemán, se aplica el principio de que los contratos celebrados deben cumplirse hasta el final de su vigencia (“pacta sunt servanda”). Si no se han previsto contractualmente supuestos de rescisión a corto a plazo, la parte contratante perjudicada por el BREXIT intentará invocar la ocurrencia de un caso de fuerza mayor o la posible pérdida de la causa que motivó el contrato. No obstante, a la hora de la verdad, no se garantiza que ambas figuras jurídicas puedan dar lugar a la terminación del contrato. Hoy se puede afirmar con cierta seguridad que no se puede alegar la pérdida de la causa que motivó el contrato en aquellos supuestos en los que las partes conocían en el momento de la celebración del contrato la posibilidad de que se produjera el BREXIT y a este respecto se menciona la fecha del referéndum sobre el BREXIT (26.06.2016) o incluso una fecha anterior, el anuncio del referéndum.
Hoy en día, todavía se puede intentar aprovechar al máximo las posibilidades de rescisión del contrato para evitar las consecuencias jurídicas desfavo-rables de un BREXIT duro. Por tanto, merece la pena examinar más de cerca los contratos.
