[value] => Eine nach deutschem Recht gegründete Kapitalgesellschaft, die ihren statutarischen Sitz in Deutschland hat (z.B. eine deutsche GmbH), als auch eine nach ausländischem Recht gegründete Gesellschaft, die nach ihren Statuten ihren sog. Verwaltungssitz in Deutschland hat, unterliegen nach innerstaatlichem deutschen Steuerrecht in Deutschland stets der persönlich unbeschränkten Steuerpflicht mit ihrem Welteinkommen, unabhängig davon, von wo aus tatsächlich die Geschäfte geführt werden. Gleiches gilt - unabhängig von der Regelung in den Statuten der Gesellschaft - wenn sich rein tatsächlich der Ort der Geschäftsleitung, also der Mittelpunkt der geschäftlichen Oberleitung, in Deutschland befindet.
Hat eine Gesellschaft (z.B. eine spanische S.L.) ihren rechtlichen Sitz in einem Land (im Beispiel: Spanien), werden jedoch die wesentlichen Entscheidungen im Tagesgeschäft der Gesellschaft in Deutschland gefasst, so kommt es für Frage, welcher Staat nach dem Doppelbesteuerungsabkommen (DBA) als sog. Ansässigkeitsstaat das unbeschränkte Besteuerungsrecht hat, bzw. welcher als sog. Quellenstaat lediglich ein Besteuerungsrecht hat, welches sich auf bestimmte in seinem Hoheitsgebiet erwirtschaftete Einkünfte beschränkt, auf den sog. Ort der effektiven Geschäftsleitung an (vgl. Art. 4 Abs. 3 DBA Spanien).
In der Ausgabe Oktober 2016 dieses Newsletters hatten wir bereits darüber berichtet, dass sich der Ort der effektiven Geschäftsleitung gegebenenfalls auch dann in Deutschland befinden kann, wenn der Geschäftsführer lediglich von einem privaten Wohnsitz in Deutschland aus tätig wird (vgl. hierzu zuletzt etwa FG Sachsen vom 7.11.2017, 3 K 61/15 für einen Fall im Verhältnis Spanien – Deutschland). Ob der Geschäftsführer einer ausländischen Gesellschaft in Deutschland gleichzeitig lediglich als sog. ständiger Vertreter anzusehen sein kann, der der ausländischen Gesellschaft in Deutschland nur eine beschränkt steuerpflichtige Betriebstätte vermittelt (vgl. Art. 5 Abs. 4 DBA), wird vom Bundesfinanzhof voraussichtlich in diesem Jahr zu klären sein (BFH I R 54/16).

[value] => Una sociedad de capital creada según la ley alemana y con sede social en Alemania (ej. una GmbH alemana), como también, una sociedad creada bajo una ley extranjera cuyos estatutos indican una sede de gestión administrativa en Alemania, se someten a los impuestos sobre la renta en Alemania en relación a la obtenida a nivel mundial por obligación personal, sin depender del lugar donde se hayan realizado sus operaciones. Igualmente sería – sin importar lo que los estatutos regulen, en el caso que el lugar donde se encuentren los directivos fuese en Alemania, es decir, donde se centraliza la actividad de dirección de los negocios.
Si una empresa (ej. una S.L. española) tiene su sede social por ej. en España, pero sus decisiones relevantes para el negocio diario provienen de Alemania, la cuestión de cuál de los dos estados tendría según el Convenio de Doble Imposición (CDI) la potestad de gravar toda la renta como estado de residencia y cuál sería calificado como estado de fuente, que tiene el derecho de gravar solamente la renta obtenida en su propia jurisdicción, se resuelve aplicando el concepto de sede de dirección efectiva (art. 4 (3) CDI). En nuestra edición de este boletín de octubre 2016 tratamos si un administrador realiza la gestión empresarial desde su vivienda privada en Alemania entonces puede ser esta dirección considerada como sede de dirección efectiva (véase además la última sentencia en cuanto a la relación España–Alemania del Tribunal de lo Fiscal de Sajonia con fecha 7/11/2017, 3 K 61/15).
Además, en este año, decidirá el Tribunal Federal Supremo de lo Fiscal (BFH I R 54/16) con respecto a un administrador de una sociedad extranjera en Alemania si se le podría considerar paralelamente como agente dependiente en Alemania y calificarlo como establecimiento permanente de la sociedad extranjera en Alemania, lo que implicaría una imposición limitada por obligación real sobre la renta de fuente alemana (veáse art. 5 (4) DBA).
