[value] => Aufgrund der großen praktischen Bedeutung hatten wir in diesem Newsletter wiederholt (zuletzt im Oktober 2018) über die Fortentwicklung der Rechtsprechung zu Fragen des Vorsteuerabzugs bei Holdinggesellschaften berichtet, der die tatsächliche bzw. zumindest nachweislich geplante Erbringung von umsatzsteuerbaren Leistungen gegenüber Tochtergesellschaften voraussetzt.
Das Finanzgericht Berlin-Brandenburg (FG) hatte in diesem Zusammenhang in einem jüngst veröffentlichten Urteil vom 13.06.2018 (7 K 7227/15) über einen Fall der sog. Dienstleistungskommission zu entscheiden. Eine solche liegt nach § 3 Abs. 11 UStG vor, wenn ein Unternehmer in die Erbringung einer sonstigen Leistung eingeschaltet wird und er dabei im eigenen Namen, jedoch für fremde Rechnung, handelt. Ist dies der Fall, so gilt diese Leistung als an ihn und von ihm erbracht, sodass im Ergebnis zwei Leistungen vorliegen. Dem entschiedenen Fall lag der beim Erwerb von Unternehmensbeteiligungen typische Fall der Beauftragung von externen Kanzleien zur Entwicklung einer optimalen Akquisitionsstruktur und zur rechtlichen, steuerlichen und finanziellen Überprüfung des Erwerbs von Unternehmen (sog. Due Diligence) zugrunde. Im Streitfall wurden die Beraterverträge nach der Investitionsentscheidung im Wege der Vertragsübernahme auf ein – aus nachvollziehbaren wirtschaftlichen Gründen eigens zum Erwerb der Unternehmen gegründetes – sog. Akquisitionsvehikel (Zwischengesellschaft) überführt. Nach Auffassung des FG stellt auch die bloße Weiterberechnung von Kosten (ohne einen Gemeinkosten- bzw. Gewinnaufschlag) für die Inanspruchnahme solcher Beratungsleistungen an die erworbenen Tochtergesellschaften nach einem wirtschaftlich plausiblen Schlüssel eine unternehmerische Tätigkeit im Sinne des Umsatzsteuerrechts dar. Auch nach Leistungsbeginn sei eine Auswechselung des Leistungsempfängers möglich, wenn die vertragliche Leistung im Zeitpunkt des Wechsels des Vertragspartners noch nicht vollständig erbracht war. Abzuwarten bleibt, ob sich der Bundesfinanzhof dieser Ansicht anschließt (BFH XI R 24/18).

[value] => En razón de su gran importancia práctica retomamos en este boletín (en octubre 2018) la evolución de la jurisprudencia sobre la deducción del IVA soportado en manos de empresas holding, basada en operaciones efectuadas, o bien por lo menos con evidencias demostrables de haber sido planeadas, de servicios no exentos de IVA destinadas a sus filiales.
El Tribunal de lo Fiscal (FG) de Berlín-Brandenburgo dictó una sentencia el 13/06/2018 (7 K 7227/15) recién publicada relacionada con la llamada comisión de servicios. Esta se define por el § 3 (11) UStG (Ley alemana del IVA) siendo el encargo de servicios a una empresa, la cual actúa en su propio nombre pero por cuenta ajena. Así se considera este servicio tanto realizado como recibido por la misma empresa dando por resultado el registro de dos prestaciones. El caso trata de la adquisición de participaciones sociales como un encargo típico a bufetes externos, quienes deben desarrollar una estructura apropiada para implementarla como la revisión legal, fiscal y financiera respectiva (Due Diligence). Aquí se transfirieron los contratos de los asesores firmados por el inversor a una sociedad intermediaria creada con el propósito especial de ser una compañía de soporte de la adquisición, luego de haber tomado la decisión de invertir, cuya entendible fundamentación eran motivos económicos válidos y razones empresariales sustantivas. El Tribunal sostiene que la mera refacturación de costos (sin margen sobre los gastos fijos, o bien sin margen de beneficios) a la filial se debe considerar como una prestación sujeta al IVA. También, luego de haber comenzado el servicio, sería posible un cambio del destinatario del mismo servicio si lo estipulado contractualmente al momento del traspaso no había sido entregado totalmente. En consecuencia, queda por verse si el Tribunal Federal Supremo de lo Fiscal lo clasifica de igual manera (BFH XI R 24/18).
