[value] => Das Aktiengesetz enthält zur Einberufung einer Hauptversammlung durch den Vorstand eine klare Regelung. § 121 Abs. 2 Satz 2 AktG sieht vor, dass eine Person, die in das Handelsregister als Vorstand eingetragen ist, zur Einberufung einer Hauptversammlung als befugt gilt. Darin ist eine gesetzliche, unwiderlegbare Vermutung zu sehen, die der Rechtssicherheit zum Schutze der Aktionäre einer AG dient. Der Aktionär ist dadurch in der Lage, die Einberufungsbefugnis eines Vorstandes durch einen „simplen“ Blick ins Handelsregister zu klären.
Im Gegensatz zum Aktiengesetz sieht das GmbH-Gesetz keine Regelung hierzu vor. Deshalb ist es in der Rechtsprechung und Literatur umstritten, ob auch Geschäftsführer, die bereits abberufen worden sind, jedoch noch im Handelsregister als solche eingetragen sind, zur Einberufung einer GmbH-Gesellschafterversammlung berechtigt sind. Mit Blick auf die vorstehende Regelung im Aktiengesetz und der damit verfolgten Rechtssicherheit wird die Meinung vertreten, dass bei der GmbH nichts anderes gelten solle als bei der AG. Hierzu hat der BGH in seinem Urteil vom 08.11.2016 – II ZR 304/15 – entschieden, dass die Regelung zur AG nicht auf die GmbH übertragbar sei. Als Hauptargument führt der BGH die Strukturunterschiede in beiden Gesellschaften an. Bei der AG seien die Aktionäre in die Bestellung und Abberufung von Vorstandsmitgliedern regelmäßig nicht eingebunden; die gesellschaftsrechtliche Befugnis hierfür liege beim Aufsichtsrat. Sie sollten darauf vertrauen können, dass die Einberufung wirksam ist, wenn eingetragene Vorstandsmitglieder daran mitgewirkt haben. Bei der GmbH hingegen, seien die Gesellschafter selbst für die Bestellung und Abberufung der Geschäftsführer zuständig. Folglich bedürfe es bei der GmbH keiner Regelung wie im Aktienrecht, wonach im Interesse der Rechtssicherheit die Vorstandseigenschaft fingiert werde. Die Rechtssicherheit sei vielmehr dadurch gegeben, dass die Gesellschafter selbst an der Bestellung und Abberufung des Geschäftsführungsorgans der GmbH mitwirkten und deren Identität ihnen daher bekannt sei.

[value] => La legislación alemana para las sociedades anónimas contiene disposiciones muy claras en su artículo 121 relativas a la convocatoria de una junta general por los consejeros. En efecto, toda persona que aparezca en el Registro Mercantil como miembro del consejo de administración tendrá facultad para convocar una junta general. Tal disposición ofrece una presunción legal en aras a proteger los intereses de los accionistas. A éstos les basta así con “echar un vistazo” en el Registro Mercantil para asegurarse de que la persona en cuestión sí tiene facultad para la convocatoria.
En contraste, la ley alemana sobre las sociedades de responsabilidad limitada (GmbH) carece de un reglamento similar. Por ello abunda controversia en la literatura y la jurisprudencia acerca de la facultad que pueda o no tener un administrador que ya haya sido separado de su cargo, pero cuyo cese aún no haya sido publicado en el Registro Mercantil, para convocar una junta general en una GmbH. En el contexto de las disposiciones de la sociedad anónima arriba expuestas, se argumenta que lo mismo debería aplicarse para la GmbH. A este respecto dictó el Tribunal Supremo alemán (BGH) sentencia el 08.11.2016 (II ZR 304/15) en el sentido de que no puede aplicarse la normativa de la AG a la GmbH. Como argumento principal se apoyó el BGH en la divergencia de estructuras que imperan en cada tipo de sociedad. Efectivamente, la AG no prevé por lo general la participación de los accionistas a la hora de nombrar y/o cesar a miembros del consejo de administración, siendo el consejo de vigilancia (Aufsichtsrat) el órgano competente para estas tareas. En el caso de la GmbH, en cambio, son los propios socios los que se han de ocupar de nombrar o cesar a los administradores. Por ello, es innecesario para la GmbH las reglas aplicables a la AG, ya que aquella ve su seguridad jurídica garantizada por la participación de sus socios en el nombramiento y cese del órgano de administración, estando así inevitablemente en todo momento al tanto de quiénes son los integrantes del mismo.
