[value] => Im Beschluss vom 11. Juli 2019 entschied die Generaldirektion für Register und Notariat (DGRN), dass bei einer S.A. im Falle einer Einpersonen-gesellschaft der Aktionär nicht davon entbunden ist, den Bericht eines unabhängigen Sachverständigen über Sachleistungen vorzulegen. Dieser Beschluss bezieht sich auf die im Kapitalgesellschaftsgesetz festgelegten Grenzen, wonach Aktionäre nur in den gesetzlich vorgesehenen Fällen von der Vorlage eines unabhängigen Gutachtens über die als Gegenleistung für das gezeichnete Kapital geleisteten Sacheinlagen befreit wären.
In einigen Fällen kann dieser Bericht durch einen Geschäftsführerbericht ersetzt werden. Der Beschluss befürwortet die Entscheidung des Handelsregisters, das die Eintragung abgelehnt hatte, da der alleinige Aktionär das unabhängige Gutachten nicht vorgelegt hatte. Der Alleinaktionär verstand, dass es ausreicht, einen Ersatzbericht der Geschäftsführer der Gesellschaft vorzulegen, obwohl keiner der Ausnahmefälle zutraf. Gegen den negativen Handelsregisterbeschluss legte der Alleinaktionär Beschwerde ein, in der er behauptete, dass diese Regel zum Schutz der Interessen der Aktionäre geschaffen worden sei und dass daher in seinem Fall dieses Interesse ausreichend geschützt sei, da das Fehlen des Berichts die Interessen der übrigen Aktionäre nicht beeinträchtigen könne.
Die DGRN lehnt jedoch im Einklang mit dem Register die Eintragung ab und interpretiert, dass die Bewertung der Sachleistungen durch einen unabhängigen Sachverständigen darauf abzielt, die korrekte quantitative Zusammensetzung des Grundkapitals zu gewährleisten und zu verhindern, dass fiktive oder überbewertete Leistungen als Deckung für letztere dienen, in dem endgültigen Verständnis, dass das Ziel der Regel nichts anderes ist, als den Grundsatz der Integrität des Grundkapitals zu gewährleisten, weshalb sie eine notwendige Verpflichtung zum Schutz der Interessen der Gläubiger von Unternehmen darstellt.

Esta decisión se refiere a los límites que ya fijó en su momento la LSC estableciendo que sólo en los supuestos estipulados por la ley, los accionistas de una sociedad estarían exentos de presentar un informe de experto independiente sobre las aportaciones no dinerarias realizadas como contraprestación al capital suscrito. En esos casos, dicho informe se puede sustituir por el informe de administradores al que se refiere la misma ley.
La resolución se pronuncia a favor de la decisión tomada por el registrador mercantil que rechazó la inscripción al no haber aportado el accionista único el mencionado informe de experto independiente. El accionista único entendió que era suficiente con presentar un informe sustitutivo de los administradores de la sociedad, a pesar de no estar incurso en ninguno de los supuestos excepcionales. Contra la calificación negativa, el accionista único interpuso recurso, alegando que la LSC había creado esa norma para proteger el interés de los accionistas, y que, por ello, en su caso, este interés estaba suficientemente protegido ya que la falta del informe no podría causar daño a los intereses del resto de accionistas.
No obstante, la DGRN, en la línea del registrador que procedió a la calificación negativa, rechaza la inscripción, interpretando que la valoración de las aportaciones no dinerarias por un experto independiente tiene la finalidad de asegurar la correcta composición cuantitativa del capital social y evitar que sirvan de cobertura a éste prestaciones ficticias o valoradas en exceso, entendiendo en definitiva que el objetivo de la norma no es otro que el de garantizar el principio de integridad del capital social, y que presenta un requisito necesario para proteger el interés de los acreedores sociales.
