[value] => In der Juni-Ausgabe des Newsletters erläuterten wir allgemeine Grundregeln zur Gestaltung der Satzung einer GmbH, um Gesellschafterstreitigkeiten vorzubeugen. Nachfolgend adressieren wir beispielhaft Regelungsbereiche, um diese Grundsätze in die Gesellschaftspraxis umzusetzen. Für die richtige Lösung kommt es stets auf die Gesellschafterkonstellation im Einzelfall an. In paritätisch besetzten Gesellschaftersituationen kommt es oftmals zu Entscheidungslähmungen, indem sich die Gesellschafter aufgrund ihrer gleich hohen Beteiligungen gegenseitig blockieren.
Die Instrumentarien zur Vermeidung solcher Entscheidungslähmungen sind vielfältig. Zunächst kann es sinnvoll sein, jedem Gesellschafterstamm ein Entsende-oder zumindest ein Repräsentationsrecht für einen Geschäftsführer einzuräumen. Zu überlegen ist auch, ob den Geschäftsführern Einzel- oder Gesamtvertretungsbefugnis erteilt wird. Ferner kann die Gesellschafterversammlung wichtige Geschäfte durch einen Katalog zustimmungspflichtiger Geschäfte steuern. Für solche Kataloggeschäfte muss der Geschäftsführer dann die vorherige Zustimmung der Gesellschafterversammlung einholen. Die Auflösung von Pattsituationen kann zudem durch andere Gesellschaftsorgane erfolgen. Dies kann z.B. durch einen fakultativen Aufsichtsrat oder Beirat, der mit entsprechender Sach- und Fachkunde ausgestattet ist, geschehen.
Als weitere Möglichkeit zur Pattauflösung kommt ein Stichentscheid durch einen Gesellschafter in Betracht. Eine solche Regelung ist in der GmbH-Satzung rechtlich nicht zu beanstanden. Zulässig ist beispielsweise, nach einem Pattentscheid einen zweiten Wahlgang vorzusehen, in dem einem der Gesellschafter ein stärkeres Stimmengewicht zusteht. Ferner kann die Überwindung einer Pattsituation durch ein Schiedsgericht oder einen Schiedsgutachter bewerkstelligt werden. Eine Meinungskanalisation kann schließlich durch Stimmbindungsvereinbarungen erreicht werden. Die Zulässigkeit solcher Vereinbarungen ist höchstrichterlich anerkannt.

A continuación, abordaremos ejemplos de áreas regulatorias con el fin de traducir estos príncipios en la práctica empresarial. La solución correcta siempre depende de la constelación de socios en cada caso. En situaciones de socios con participaciones iguales, a menudo se produce una paralización en la toma de decisiones, en la que los socios se bloquean mutuamente, debido a su participación equitativa.
Los instrumentos para evitar tal paralización son múltiples. En primer lugar, puede ser útil otorgar a cada grupo de socios un derecho de delegación o, al menos, un derecho de representación para un administrador. También es necesario considerar si los administradores tienen autoridad de representación mancomunada o solidaria. Además, la junta general de socios puede controlar negocios importantes a través de un catálogo de transacciones que requieren aprobación previa por la junta general de la GmbH. Las situaciones de bloqueo en la GmbH pueden ser resueltas también por otros órganos corporativos.
Esto puede realizar, por ejemplo, un consejo de vigilancia o de asesoramiento que cuente con la experiencia y los conocimientos adecuados. Otra posiblidad para resolver el bloqueo es el voto decisivo de un socio. Tal regulación está jurídicamente admitida en los estatutos de la GmbH. Está permitido, por ejemplo, prever una segunda votación tras una decisión en punto muerto, en la que uno de los socios tiene un poder de voto decisivo. Asimismo, el bloqueo puede ser ejecutado por un tribunal arbitral o un árbitro. Finalmente, una concentración de votos puede lograrse mediante acuerdos de votación. La admisibilidad de tales acuerdos es reconocida por el Tribunal Supremo alemán.
