[value] => Ein Urteil des Obersten Gerichtshofs vom Januar klärt eine Rechtssache bezüglich der Beschlussfassung bei einem unvollständigen Verwaltungsrat. Dieser bestand ursprünglich aus drei Verwaltungsratsmitgliedern, aber zum Zeitpunkt der Beschlussfassung kam die Kündigung von einem, der außerdem noch Vorsitzender war. Der vom Verwaltungsrat angenommene Beschluss war die Einberufung der Gesellschafterversammlung, um über verschiedene Punkte zu entscheiden, u.a. die Genehmigung der Jahresabschlüsse, die Gewinnverwendung, die Genehmigung des Sozialmanagements und die Ernennung des neuen Verwaltungsratsmitglieds, um die freie Stelle zu besetzen.
Gemäß Artikel 247 des spanischen Kapitalgesellschaftsgesetzes muss für die Gültigkeit der Versammlung des Verwaltungsrates die Mehrheit der Verwaltungsratsmitglieder anwesend bzw. vertreten sein. Andererseits sieht Artikel 171 des Kapitalgesellschaftsgesetzes im Todesfalle oder bei Ausscheidung der Mehrheit der Verwaltungsratsmitglieder ohne existierende Stellvertreter vor, dass eine Gesellschafterversammlung mit dem einzigen Ziel, die freien Stellen zu besetzen, von jedem Geschäftsführer, der in seinem Amt verbleibt, einberufen werden kann.
Der Oberste Gerichtshof bestätigt in seinem Urteil, dass Artikel 171 in diesem Fall keine Anwedung findet, da nur einer der Verwaltungsratsmitglieder gekündigt hatte. Da es sich nicht um einen defizitären Verwaltungsrat handelt, der aufgrund von Kündigung der Mehrheit der Verwaltungsratsmitglieder nicht fähig zu agieren ist, ist dieser funktionsfähig während die Besetzung der freien Stelle durchgeführt wird.
Demzufolge ist ein Verwaltungsrat, der ursprünglich aus drei Verwaltungsratsmitgliedern bestand, bei nur zwei anwesenden Mitgliedern gültig, und ist in der Lage die Gesellschafterversammlung einzuberufen und die Tagesordnung festzulegen. Hervorzuheben ist, dass die Zusammensetzung des Verwaltungsrats nicht nur für die Einberufung der Gesellschafterversammlung sondern auch für jede in seinem Kompetenzbereich vorgenommene Handlung weiterhin gültig bleibt.

[value] => El Tribunal Supremo resuelve en una sentencia de enero de 2019 un asunto relativo a la adopción de acuerdos por un consejo incompleto. El referido consejo de administración estaba compuesto inicialmente por tres miembros, pero en el momento de adoptarse el acuerdo se había producido ya la dimisión de uno de ellos, que además era el presidente.
El acuerdo adoptado por el consejo era el de la convocatoria de la junta general para decidir sobre varios puntos, entre ellos, la aprobación de las cuentas anuales, la aplicación del resultado, la aprobación de la gestión social y el nombramiento de un nuevo consejero para cubrir la vacante existente.
Conforme al artículo 247 de la Ley de Sociedades de Capital, para la válida constitución de un consejo de administración de una sociedad anónima es preciso que concurran a la reunión, presentes o representados, la mayoría de los vocales. Por otra parte, el artículo 171 de la misma ley establece que en caso de muerte o cese de la mayoría de los miembros del consejo de administración sin que existan suplentes, cualquier administrador que permanezca en el cargo podrá convocar la junta general con el único objeto de cubrir las vacantes existentes.
El Tribunal Supremo confirma en su sentencia que el artículo 171 no resulta de aplicación a este supuesto ya que solo uno de los miembros del consejo había cesado en su cargo. Por tanto, al no tratarse de un consejo deficitario que queda paralizado por el cese de la mayoría de sus miembros, éste puede seguir funcionando mientras se lleva a cabo la cobertura de la vacante.
Consecuentemente, un consejo de administración inicialmente compuesto por tres miembros quedaría válidamente constituido por dos de ellos, teniendo competencia plena para convocar la junta general y para fijar el orden del día.
Cabe destacar que el consejo quedaría válidamente constituido no sólo para convocar la junta general, sino también para realizar todos los actos de su competencia.
