[value] => Der Bundesgerichtshof (BGH) hatte in seinem Urteil vom 26.9.2018 – VIII ZR 187/17 – über folgenden Sachverhalt zu entscheiden:
Der Kläger war ursprünglich zu 50% an der X-GmbH beteiligt.Einziger weiterer Gesellschafter war der Beklagte. Der Kläger kaufte vom Beklagten seine hälftige Beteiligung an der X-GmbH. Der notarielle Kaufvertrag enthielt Garantieabreden zum rechtswirksamen Bestehen der Geschäftsanteile, zum Fehlen von Belastungen mit Rechten Dritter, zur Inhaberstellung des Verkäufers und zur Einzahlung der Einlagen. Gesetzliche Gewährleistungsansprüche wurden „soweit rechtlich möglich“ ausgeschlossen.
Der Kläger behauptet, dass der für die Kaufpreisfindung maßgebliche Jahresabschluss auf später entdeckten massiven Fehlern beruhe. Tatsächlich habe eine Unterbilanz bestanden, bei deren Kenntnis die Parteien einen Kaufpreis von allenfalls null Euro vereinbart hätten.
Der BGH bejaht die Möglichkeit eines Anspruchs aufgrund einer Vertragsanpassung wegen einer Störung der Geschäftsgrundlage, deren Anwendung trotz der vertraglichen Regelung nicht ausgeschlossen sei. Eine Vertrags- bzw. Kaufpreisanpassung sei nur dann ausgeschlossen, wenn das vorrangige Sach- oder Rechtsmängelgewährleistungsrecht zur Anwendung kommt. Der Kauf von GmbH-Geschäftsanteilen sei als Rechtskauf zu qualifizieren. Das Sachmängelgewährleistungsrecht wegen Mängeln des Unternehmens der Gesellschaft ist nur anwendbar, wenn der Kauf des ganzen Unternehmens vorliegt. Dies ist der Fall, wenn alle oder nahezu alle Geschäftsanteile erworben werden. Der Kauf einer hälftigen Beteiligung genügt hierfür nicht. Beim Rechtskauf von Geschäftsanteilen besteht eine Gewährleistung nur für das Bestehen des Rechts und nicht für die Güte des Gegenstandes auf welche sich das Recht bezieht. Eine Überschuldung oder Insolvenzreife stellt beim Anteilskauf keinen Rechtsmangel dar. Folglich greift keine Mängelgewährleistung, weshalb der Anspruch des Klägers auf Kaufpreisanpassung zu bejahen ist. Der Fall zeigt deutlich, dass bei der Abfassung des GmbH-Anteilskauvertrages Vorsicht geboten ist.

[value] => El Tribunal Supremo alemán (BGH) se ocupó con ocasión de su sentencia de 26.9.2018 (VIII ZR 187/17) con el siguiente caso:
La parte demandante ostentaba una participación del 50 % en una GmbH alemana. El único otro socio lo constituía la parte demandada, la cual vendió a la demandante su participación en la sociedad. La escritura notarial incluía garantías en cuanto a la existencia de las participaciones sociales, la titularidad de las mismas, la inexistencia de gravámenes u otros derechos a favor de terceros, y el debido ingreso de las aportaciones al capital social. Cualesquiera otras reclamaciones de garantías fueron “en la medida de lo posible” excluidas.
El demandante mantiene que se descubrieron posteriormente fallos en las cuentas anuales de la sociedad, sobre la base de las cuales se había definido justamente el precio de compraventa. De hecho, había un patrimonio neto negativo, con lo que las partes debían haber acordado un precio de compraventa de cero euros.
El BGH acepta la reclamación sobre la base de la necesidad de una adaptación contractual por haber existido fallos en los fundamentos del negocio llevado a cabo y cuya aplicación no quedó excluida a pesar de las disposiciones contractuales. Solo puede excluirse el recurso a una adaptación del contrato y del precio de compraventa cuando es aplicable el derecho primario a reclamación por defectos. La compra de participaciones en una GmbH se considera como la compra de un derecho. Reclamar saneamiento por defectos de la propia empresa sólo cabe cuando se trata de una compraventa de la sociedad, es decir, de sus participaciones en su totalidad.
En el caso de la compra de solo 50 % de las participaciones sociales existe garantía únicamente respecto de la debida existencia de las mismas, sin embargo, un patrimonio neto negativo no afecta a la existencia jurídica de estas participaciones. En consecuencia, no se aplica el derecho primario a reclamación por defectos y se debe conceder el derecho a la adaptación del precio de compraventa, tal y como solicitaba la demandante.
