[value] => Immer wieder stellen Vertragsparteien aus verschiedenen Ländern der Europäischen Union fest, wie wichtig es ist, für den Streitfall Regelungen zum anwendbaren Recht und zum Gerichtsstand zu treffen. Es ist keine Schwierigkeit, entsprechende vertragliche Regelungen vorzusehen. Dafür gibt es auch feststehende Rechtsvorschriften innerhalb der EU (vor allem die sogenannte Brüssel Ia-Verordnung).
Allerdings ist keine Partei gehindert, trotz einer wirksamen Gerichtsstand-vereinbarung zu versuchen, an dem eigentlich unzuständigen Gericht eine Klage anhängig zu machen (z.B. weil sie sich hieraus einen gewissen „Heimvorteil“ verspricht). Es gibt Konstellationen, in denen dies sogar gelingen kann, denn auch eine Gerichtsstandvereinbarung kann dadurch ausgehebelt werden, dass die Vertragspartei, die vor einem an sich unzuständigen Gericht verklagt wird, nicht ordnungsgemäß die Rüge der internationalen Unzuständigkeit erhebt. Hierauf zu setzen, ist für die klagende Seite naturgemäß riskant, denn eine gutberatene Gegenpartei wird alle Möglichkeiten, sich zu verteidigen und den vereinbarten Gerichtsstand durchzusetzen, ausschöpfen. Praxisfälle zeigen aber, dass es durchaus vorkommt, auf die genannte Methode wirksame Gerichtsstandvereinbarungen zu umgehen.
Vor diesem Hintergrund ist es häufig ratsam erwähnenswert, bei grenzüberschreitenden Vertragsangelegenheiten statt der staatlichen Gerichte die Zuständigkeit eines Schiedsgerichts nach einer internationalen Schiedsordnung zu vereinbaren, das an einem „neutralen Ort“ stattfindet und Gewähr dafür bietet, dass die Vereinbarung nicht nachträglich de facto außer Kraft gesetzt werden kann.

No presenta ninguna dificultad establecer disposiciones contractuales adecuadas. Para ello se ha establecido también una legislación dentro de la UE (en particular, el llamado Reglamento “Bruselas I bis”).
Sin embargo, a pesar de la existencia de un acuerdo de jurisdicción efectivo, no se impide a ninguna de las partes intentar plantear una acción ante un tribunal que no sea realmente competente (p. ej. porque se espere una cierta “ventaja local” de ello). Hay constelaciones en las que esto puede incluso tener éxito, pues un acuerdo sobre jurisdicción también puede ser invalidado por el hecho de que la parte contratante demandada ante un tribunal que no es competente en sí mismo no plantee adecuadamente la objeción de falta de jurisdicción internacional. Confiar en esto es naturalmente arriesgado para el demandante, ya que una contraparte bien asesorada agotará todas las posibilidades de defensa y de hacer valer el lugar de jurisdicción acordado. No obstante, la práctica muestra que es posible eludir los acuerdos de jurisdicción en base al método mencionado.
En este contexto, a menudo es conveniente mencionar que en asuntos contractuales transfronterizos, en lugar de los tribunales nacionales, debería acordarse un tribunal arbitral con arreglo a las normas internacionales de arbitraje en un “lugar neutral” para garantizar que el acuerdo no pueda quedar posteriormente invalidado de facto.
