[value] => Am 16. Juli 2019 genehmigte der Senat der Vereinigten Staaten das Änderungsprotokoll des Doppelbesteuerungsabkommens (DBA) zwischen den USA und Spanien, das am 14. Januar 2013 unterzeichnet worden war. Das neue DBA tritt am kommenden 27. November in Kraft. Hervorzuheben ist die vorteilhafte Behandlung von Dividenden, die von einer amerikanischen Tochtergesellschaft an spanische Unternehmen ausgeschüttet werden, u.a. sofern letztere – direkt oder indirekt – mindestens 80% der Beteiligungen an der amerikanischen Tochter hält. Dadurch können amerikanische Töchter Dividenden ohne Kosten an spanische Unternehmen ausschütten.
Im Allgemeinen werden auch Steuerbefreiungen für Zinsen und Lizenz-gebühren aus den USA festgelegt, wenngleich mit einigen Besonderheiten. Kapitalgewinne aus Immobilien und Immobiliengesellschaften werden mit wenigen Ausnahmen nicht in ihrem Ursprungsland versteuert. Das neue Protokoll bringt eine Modernisierung des bestehenden DBA mit sich und verbessert die Position Spaniens für Direktinvestitionen aus den USA. Allerdings darf die komplexe Klausel nicht unberücksichtigt bleiben, die einschränkt, welche Gesellschaften die Vorteile des DBA nutzen können. Die könnte auch Holding-Gesellschaften betreffen.
Bei Strukturen zur indirekten Investition in Spanien über Gesellschaften in anderen Ländern der EU scheint das neue Protokoll keinen negativen Effekt zu haben, jedoch erfordert die Einführung der Missbrauchsvorschriften durch die Mutter-Tochter-Richtlinie und die Richtlinie zur Besteuerung von Zinserträgen in unserem Land die Prüfung des Protokolls. Ähnliches gilt bei Strukturen für Investitionen in Lateinamerika mit spanischen Holding-Gesellschaften. Auch hier hat das neue Protokoll keine negativen Auswirkungen, jedoch veranlasst die Klausel zum Principal Purpose Test des multilateralen Instruments zur Änderung von Doppelbesteuerungsabkommen der OECD eine Prüfung.

[value] => El pasado 16 de julio de 2019 el Senado de los Estados Unidos ratificó el protocolo de modificación del Convenio de Doble Imposición entre Estados Unidos y España que había sido firmado el 14 de enero de 2013. La entrada en vigor del nuevo protocolo tendrá lugar el próximo 27 de noviembre. Del nuevo protocolo destaca el tratamiento beneficioso que se otorga a los dividendos que reciban las entidades españolas desde los Estados Unidos, si bien sometido a la tenencia de una participación directa o indirecta, en la filial estadounidense, de al menos el 80%, además de otras condiciones.
Se facilita así que las filiales americanas de entidades españolas distribuyan dividendos sin coste. Se establece también, con carácter general, la exención para intereses y cánones procedentes de los Estados Unidos, si bien con algunas particularidades. Las ganancias de capital derivadas de bienes inmuebles y sociedades inmobiliarias, salvo algunas excepciones, no serán sometidas a imposición en el país en el que se originen. El nuevo protocolo supone la modernización del Convenio existente, favoreciendo a España como destino de la inversión directa proveniente de Estados Unidos, sin embargo, no debe perderse de vista la compleja cláusula por la que se limitan las entidades a las que se aplican los beneficios del Convenio, pudiendo afectar, entre otras, a entidades holding.
En estructuras de inversión indirecta en España con sociedades interpuestas en otros países de la Unión, el nuevo protocolo no parece tener un efecto negativo, pero la introducción en nuestro país de normas anti-abuso por las Directivas Matriz-Filial y del ahorro, requiere su revisión. En estructuras de inversión con destino hacia Latinoamérica con sociedades holding interpuestas en España, el nuevo protocolo no afecta negativamente, no obstante, la cláusula Principal Purpose Test del instrumento multilateral de modificación simultánea de los convenios de doble imposición de la OCDE, determinará su revisión.
