[value] => Die “Absichtserklärung”, “letter of intent” oder “LOI”, findet bei Fusionen und Unternehmenskäufen bzw. Übernahmen Anwendung und wird üblicherweise von den Vertragsparteien zu Beginn des Vorgangs unterzeichnet. In einer solchen Erklärung wird die Absicht der Parteien in der Zukunft ein bestimmtes Handels-oder Rechtsgeschäft einzugehen erklärt.
Obwohl es sich um keine verbindlichen Verpflichtungen zwischen den Vertragsparteien handelt, zeichnet sich die Absichtserklärung durch ihren hohen verbindlichen Wert aus.
Die Absichtserklärung regelt das Autonomieprinzip der Willensfreiheit und die Parteien können Inhalte, je nach Ermessen, in den Vertrag aufnehmen. Die meist verbreiteten Klauseln sind folgende:
- Festlegen einiger weniger Vertragsklauseln
- Exklusivitätsverpflichtung der Verhandlungen zugunsten des Käufers
- Diskretion
- Durchführung einer rechtlichen Prüfung bzw. “due diligence”
Schlussendlich ist die Absichtserklärung ein Dokument, welches zur Abschließung von Vertragsverhandlungen entsprechend einiger Vertragsklauseln in der näheren Zukunft dient und legt somit den Grundstein für den Beginn einer Fusion oder eines Unternehmenskaufes.
Ihr Hauptzweck besteht darin, juristische Sicherheit zwischen den Parteien zu gewähren und die Risiken, denen sie bei offenen Verhandlungen ausgesetzt wären, zu begrenzen, ohne den Prozess unnötig zu formalisieren.
Abschließend ist zu betonen, dass die Parteien an Treu und Glauben gebunden sind.
Daher könnte die ungerechtfertigte Vertragsunterbrechung oder die Unterbrechung der Vorverhandlungen zwischen den Parteien eine „culpa in contrahendo“ verursachen und die jeweilige Partei folglich dazu verpflichten Schadensersatz für die daraus hervorgegangenen Schäden zu leisten.

La “carta de intenciones”, “letter of intent” o “LOT”, se engloba en las operaciones de fusiones y adquisiciones, especialmente en la compraventa de acciones o participaciones de una empresa y es habitual que las partes contratantes la suscriban al inicio de la operación. Su finalidad principal es dejar constancia de la voluntad de las partes de llevar a cabo en un futuro próximo una determinada operación o negocio jurídico entre las mismas.
Pese a que no suele generar obligaciones vinculantes entre las partes, constituye una verdadera declaración de voluntades, y tiene un alto valor ético. En ella rige el principio de autonomía de la voluntad, pudiendo las partes contratantes incluir el contenido que estimen oportuno. Dicho lo cual, las cláusulas más habituales son las siguientes:
- Fijación de unos términos mínimos de la futura operación
- Obligación de exclusividad en las negociaciones a favor del comprador
- Confidencialidad
- Realización de un proceso de auditoría legal o “due diligence”
En definitiva, la carta de intenciones es un documento cuyo objetivo es sentar las bases para el inicio de una operación de fusiones y adquisiciones, con vistas a concluir una operación en el futuro próximo. Su valor principal reside en proporcionar cierta seguridad jurídica a las partes, limitando los riesgos a los que se verían expuestas en caso de una negociación abierta y sin formalismo alguno.
Finalmente, conviene destacar que las partes están en todo caso sujetas a un principio general de buena fe. Por ello, la ruptura injustificada de las negociaciones o tratos preliminares entre las partes firmantes podría acarrear una cierta responsabilidad in contrahendo, con la consiguiente obligación de indemnizar por los daños y perjuicios causados.
