[value] => In der Ausgabe Oktober 2016 dieses Newsletters hatten wir auf ein beim Bundesfinanzhof (BFH) anhängiges Revisionsverfahren (BFH I R 54/16) zur Frage hingewiesen, ob ein auch in Deutschland tätiger Geschäftsführer einer ausländischen Gesellschaft (z.B. einer spanischen S.L.) neben seiner Funktion als geschäftsführendes Organ steuerlich gleichzeitig auch als deren sog. ständiger Vertreter in Deutschland anzusehen sein kann, der der Gesellschaft eine in Deutschland beschränkt steuerpflichtige Betriebstätte vermittelt (vgl. Art. 5 Abs. 4 DBA).
In einem jüngst veröffentlichten Urteil vom 23.10.2018 hat der BFH dies grundsätzlich bejaht, da verschiedene Vorschriften des steuerlichen Verfahrensrechts der Abgabenordnung und die Definition der Rechtsfigur des ständigen Vertreters zeigen, dass Organhandeln im Steuerrecht als Vertreterhandeln angesehen wird. Tatbestandliche Voraussetzung für die Annahme eines ständigen Vertreters ist damit allein, dass eine Person nachhaltig die Geschäfte eines Unternehmens besorgt und dabei dessen Sachweisungen unterliegt. Nachhaltig ist eine Geschäftsbesorgung dann, wenn sie mit einer gewissen Plan- und Regelmäßigkeit erfolgt, was ein wiederholtes, mehr als kurzfristiges Tätigwerden auf der Grundlage eines im Voraus gefassten Willensentschlusses voraussetzt.
Neben der Gesamtdauer der inländischen Aufenthalte kommt es auf deren Regelmäßigkeit an, so dass etwa eine Person, die über einen längeren Zeitraum hinweg jede Woche oder mehrmals im Monat immer wieder nach Deutschland kommt, z.B. um für die ausländische Gesellschaft Aufträge zu akquirieren, als ständiger Vertreter zu qualifizieren sein kann, nicht jedoch im Fall vereinzelter, gelegentlicher oder lediglich vorübergehender Aufenthalte. Wie bereits in der Ausgabe Januar 2019 dieses Newsletters dargestellt, ist bei Geschäftsführern zusätzlich darauf zu achten, dass es nach Art und Umfang der Inlandstätigkeit nicht sogar zu einer ungewollten Verlagerung des Orts der tatsächlichen Geschäftsleitung und damit zur unbeschränkten Steuerpflicht der Gesellschaft in Deutschland kommt.

[value] => En nuestra edición de octubre 2016 de este boletín se resaltó el procedimiento de casación ante el Tribunal Federal Supremo de lo Fiscal (BFH I R 54/16) donde se debía decidir si a un administrador de una sociedad extranjera (por ej. una S.L. española), siendo éste a la vez su órgano de administración, se le puede considerar fiscalmente al actuar en Alemania también como su agente dependiente; lo que conllevaría una obligación real de la sociedad sobre su renta de fuente alemana obtenida mediante un establecimiento permanente (art. 5 (4) CDI).
En una sentencia recién publicada del 23/10/2018 el BFH lo afirmó como concepto legal, pues las distintas normas del derecho de procedimiento fiscal de la Ley General Tributaria Alemana (Abgabenordnung - AO) y la definición del término “agente dependiente” indican, que un órgano administrativo de una sociedad es considerado en el derecho fiscal también como un representante sujeto a instrucciones. El único requisito decisivo para la calificación como agente dependiente es que una persona se dedique al negocio de una empresa de manera sostenible y que esté sometida a sus instrucciones. Una gestión de negocio se califica como sostenible cuando se parte de un plan y se hace con regularidad, lo cual presupone un accionar repetitivo y “por más que por poco tiempo”, como consecuencia de una decisión predefinida.
Además de la duración de la total permanencia de cada estancia, en Alemania es de importancia la periodicidad, por lo que una persona, que por un extenso periodo de tiempo visita Alemania semanal o mensualmente, por ej. para adquirir clientes, podría ser clasificada como agente dependiente, salvo que dichas visitas sean puntuales, ocasionales o temporales. Como explicamos en este boletín de enero 2019, es para los administradores de gran importancia prevenir, según el tipo y alcance de su actividad en Alemania, el involuntario traslado de la sede de dirección efectiva a Alemania, que conllevaría un gravamen de la sociedad sobre su renta mundial en Alemania por obligación personal.
