[value] => Die Absicherung der Zahlung im grenzüberschreitenden Warenhandel ist ein Dauerthema aller Exporteure. Die Ausgangslage ist simpel: Der Exporteur, der die Ware aus der Hand gibt, ist ohne Sicherungsmittel ab diesem Zeitpunkt schutzlos dem Zahlungswillen oder Zahlungsunwillen des Käufers ausgeliefert. Einen Zahlungsanspruch kann er zwar (schieds-) gerichtlich durchsetzen. Das kostet aber Zeit und Geld, weshalb er üblicherweise andere Sicherungsmittel wählen wird:
- Vorkasse ist mit Sicherheit die aus Verkäufersicht attraktivste Zahlungsabsicherung. Denn so hat der Exporteur das Geld, bevor die Ware seinen Hoheitsbereich verlässt. In den seltensten Fällen wird sich der Käufer darauf aber einlassen, denn der Sicherheitsgewinn auf Seiten des Verkäufers geht zu Lasten des Käufers.
- Der Eigentumsvorbehalt ist ein probates Sicherungsmittel, um den Exporteur vor dem Verlust seines Eigentums vor vollständiger Zahlung zu schützen. So hat er ein Druckmittel gegenüber dem Käufer. Zudem ist er so – häufig – auch im Falle der Insolvenz des Käufers geschützt. Der Nachteil des Eigentumsvorbehalts ist eine eventuelle rechtliche Unsicherheit, wenn die Ware die Grenze überschreitet. Denn wenn die Rechtsordnung „hinter der Grenze“ den Eigentumsvorbehalt nicht kennt, kann es Probleme bei dessen Anerkennung geben.
- Letztlich ist das Dokumentenakkreditiv (letter of credit) häufig das beste Sicherungsmittel. Der Käufer weist dabei seine Bank an, dem Verkäufer ein unwiderrufliches Zahlungsversprechen zu geben, das dieser bei Vorlage bestimmter Dokumente (häufig die Lieferpapiere) einlösen kann. Der Vorteil ist dabei die doppelte Absicherung beider Seiten: der Verkäufer hat das Zahlungsversprechen der Bank und der Käufer weiß, dass das Geld erst nach nachgewiesenem Erhalt der Ware ausgezahlt wird. Das Akkreditiv bedarf allerdings penibel genauer Gestaltung, da die Banken es sehr formalistisch handhaben. Sollten die vereinbarten Dokumente nicht genau passen, wird die Bank die Zahlung verweigern.

La situación inicial es simple: el exportador que entrega la mercancía se encuentra a partir de este momento sin garantías y sin protección a merced de la voluntad o falta de voluntad de pago del comprador. Puede hacer valer un derecho de pago ante los tribunales (arbitrales), pero esto cuesta tiempo y dinero, por lo que generalmente se opta por otras garantías:
- El pago por adelantado es sin duda la garantía de pago más atractiva desde el punto de vista del vendedor, ya que así tiene el dinero antes de que la mercancía abandone su jurisdicción. No obstante, en muy pocos casos son aceptadas por el comprador, pues el aumento de seguridad por parte del vendedor correrá a cargo del comprador.
- La reserva de dominio es una garantía eficaz para proteger al exportador de la pérdida de sus bienes antes del pago total. Así, tiene un medio de presión frente al comprador. Además, estaría así –a menudo– también protegido en caso de insolvencia del comprador. La desventaja es la posible inseguridad jurídica cuando la mercancía cruza la frontera, pues cuando el ordenamiento jurídico “al otro lado de la frontera” no conoce la reserva de dominio pueden existir problemas en cuanto a su reconocimiento.
- Por último, el crédito documentado (letter of credit) suele ser la mejor garantía. El comprador da instrucciones a su banco para que le dé al vendedor una promesa de pago irrevocable que puede canjear previa presentación de ciertos documentos (con frecuencia los documentos de entrega). La ventaja es la doble protección de ambas partes: el vendedor tiene la promesa de pago del banco y el comprador sabe que el dinero se pagará sólo después de la acreditación de la recepción de la mercancía. Sin embargo, el crédito documentado requiere una configuración meticulosa y más detallada, ya que los bancos lo aplican de manera muy formal. Si los documentos acordados no se ajustan exactamente, el banco rechazará el pago.
