[value] => Am 29. Januar 2019 entschied der Oberste Gerichtshof („TS“) über den Konflikt zwischen den Risikobegrenzungsklauseln und den Rechte der Versicherungsnehmer einschränkenden Klauseln. Der TS prüfte eine Beschwerde eines Geschäftsführers einer Gesellschaft gegen die Verweigerung der Deckung durch einen Versicherer im Rahmen einer Haftpflichtversicherung für Geschäftsführer und Direktoren.
Während der Versicherungsfrist beschloss das Finanzamt die subsidiäre Haftung der Geschäftsführer wegen der Nichtzahlung von Steuerschulden durch die Gesellschaft. Nach dieser Aufforderung reichten die Verwalter eine Klage gegen den Versicherer ein, in der sie die Deckung des eingetretenen Schadens forderten.
Der Versicherer hielt es für rechtmäßig, den Schaden nicht zu decken, weil er der Ansicht war, dass die subsidiäre Haftung derjenigen in Bezug auf die Steuerschulden der Gesellschaft nicht zu den durch den Versicherungsvertrag abgedeckten Risiken gehörte. Der Versicherer interpretierte die Bestimmungen der AGBs als Begrenzungsklauseln für das Risiko der Versicherung, und deshalb war die Zahlung von Schadenersatz als Folge des gemeldeten Schadens nicht angemessen.
Der TS war jedoch der Ansicht, dass in diesem Fall der natürliche Inhalt der abgeschlossenen Versicherung, d.h. die Deckung der zivilrechtlichen Haftung der Geschäftsführer, Vorrang haben sollte. Eine Bestimmung wie die in den AGBs enthaltene, die den natürlichen Inhalt verändert und dem Versicherten einen wesentlichen Teil des Deckungsgegenstandes entzieht, kann daher nicht als Begrenzungsklausel der Deckung angesehen werden, sondern nur als Einschränkungsklausel der Rechte, die der Versicherte zu wahren glaubte.
Um wirksam zu sein, hätten die formalen Voraussetzungen, die die Kenntnis und Akzeptanz der Klauseln durch den Versicherten sicherstellen, erfüllt sein müssen, d.h. besondere Kennzeichnung im Vertrag und ausdrückliche schriftliche Annahme.

[value] => El pasado 29 de enero de 2019, el Tribunal Supremo (“TS”) dictó una sentencia relativa al conflicto entre las cláusulas delimitadoras del riesgo y las cláusulas limitativas de los derechos de los asegurados. El TS analizó el recurso planteado por un administrador de una sociedad limitada ante la denegación de cobertura por parte de una aseguradora bajo un seguro de responsabilidad civil de administradores y directivos.
Bajo la vigencia del seguro, la Agencia Tributaria acordó la responsabilidad subsidiaria de los administradores, como consecuencia del impago, por la sociedad, de unas deudas tributarias. Tras dicha exigencia, los administradores instaron una demanda frente a la aseguradora exigiendo la cobertura del siniestro acontecido.
La entidad aseguradora consideraba ajustado a Derecho no cubrir el siniestro por estimar que la responsabilidad subsidiaria de aquellos en relación con las deudas tributarias de la sociedad no estaba entre los riesgos cubiertos por el contrato de seguro. La aseguradora interpretaba las previsiones de las Condiciones Generales como cláusulas delimitadoras del riesgo objeto del seguro por lo que, en su virtud, no procedía el abono de una indemnización como consecuencia del siniestro comunicado.
Sin embargo, el TS ha considerado que debe primar en este caso el contenido natural del seguro suscrito, que es la cobertura de la responsabilidad civil de los administradores. En consecuencia, una previsión como la incluida en las condiciones generales, que altera el contenido natural, privando a los asegurados de una parte material del objeto de la cobertura, no puede ser considerada una cláusula delimitadora de la cobertura, sino sólo una cláusula limitativa o restrictiva de derechos que el asegurado creía mantener.
Para resultar eficaz, se deberían haber reunido los requisitos formales que aseguran el conocimiento y aceptación de las cláusulas por el asegurado: identificación especial en el contrato y aceptación expresa por escrito.
