[value] => Die Haftungsnorm des § 64 GmbHG war bereits mehrfach Gegenstand dieser Newsletter-Reihe. Aufgrund ihrer besonderen Praxisrelevanz entwickelt sich die Rechtsprechung hierzu stetig fort. So auch jetzt wieder.
Zur Erinnerung: § 64 GmbHG schützt die Gläubiger einer GmbH vor einer Schmälerung der Insolvenzmasse, indem er die Haftung der Geschäftsführer für Zahlungen vorsieht, die trotz Insolvenzreife der GmbH getätigt worden sind.
In seinem Urteil vom 6.11.2018 – II Z 11/17 – hatte der Bundesgerichtshof (BGH) darüber zu entscheiden, wie sich eine fehlende Ressortzuständigkeit eines Geschäftsführers bei Vorhandensein mehrerer Mitgeschäftsführer auswirkt. Das Gericht stellt zunächst klar, dass grundsätzlich jeder Geschäftsführer nach § 64 GmbHG haftet. Jedoch könne sich der für die Finanzen nicht zuständige Geschäftsführer entlasten, wenn eine wirksame Ressortverteilung vorliege und dieser Geschäftsführer seinen Überwachungspflichten nachgekommen sei. Nach Ansicht des BGH – das ist besonders bemerkenswert – bedarf es für eine wirksame Ressortaufteilung nicht zwingend einer schriftlichen Fixierung. Vielmehr genüge, dass die Geschäftsführer tatsächlich eine Ressortaufteilung in der GmbH-Geschäftsführung implementiert haben. Voraussetzung sei jedoch eine klare und eindeutige Abgrenzung der Geschäftsführungsaufgaben aufgrund einer von allen Geschäftsführern mitgetragenen Aufgabenzuweisung.
Für die Praxis ist dennoch zur Vermeidung von Nachweisproblemen unbedingt anzuraten, jede Ressortaufteilung schriftlich zu dokumentieren. Ist eine klare Ressortaufteilung gegeben, dann – so der BGH – obliege dem nicht ressortzuständigen Geschäftsführer dennoch die Pflicht zur Kontrolle und Überwachung des zuständigen Mitgeschäftsführers. Diese Pflicht bedeutet für die Praxis, dass ein Geschäftsführer die Auskünfte des zuständigen Geschäftsführers zumindest im Rahmen einer Plausibilitätsprüfung mit den betriebswirtschaftlichen Kennzahlen abgleichen muss. Nur dann kommt eine erfolgreiche Exkulpierung des nicht ressortzuständigen Geschäftsführers in Betracht.

Por su gran relevancia en la práctica crece de forma continua la jurisprudencia en torno a esta temática. Para ponernos al día, recordar que el artículo 64 GmbHG protege a los acreedores de una disminución de la masa concursal mediante la activación de la responsabilidad de los administradores por pagos efectuados a pesar de haber entrado la empresa en situación de insolvencia.
En su sentencia de 6.11.2018 (II Z 11/17), el Tribunal Supremo alemán sentenciaba acerca de las consecuencias en caso de existir una asignación de ámbitos de competencia en empresas con varios administradores. En primer lugar, confirmaba el tribunal el principio general de la responsabilidad ilimitada de cada uno de los administradores. Ahora bien, la existencia de una asignación efectiva de competencias entre los administradores neutralizaría la responsabilidad de aquellos administradores que no se ocupan de las finanzas pero que han cumplido con sus propias obligaciones de supervisión. Según el tribunal, la asignación de competencias no debe fijarse necesariamente por escrito; basta con que los administradores hayan de hecho aplicado tal asignación en la práctica. Precondición, sin embargo, es una clara e inequívoca delimitación de las tareas aceptada por todos los administradores. De todas formas, para evitar dificultades de acreditación de tareas asignadas en la práctica es aconsejable documentar por escrito las mismas. El tribunal opina, además, que la existencia de una asignación no exime en ningún modo a los administradores de su deber de control y supervisión de sus coadministradores encargados de los restantes ámbitos.
En la práctica, tal deber se traduce para el administrador en la necesidad de solicitar de sus coadministradores la información necesaria para poder realizar un análisis económico de la empresa. Sólo esta vía permite una exención del administrador no competente de cualquier responsabilidad civil.
