[value] => In der Ausgabe September 2018 dieses Newsletters hatte der Verfasser bereits anlässlich eines neuen Urteils des Bundesfinanzhofs zur Körperschaftssteuer auf die Notwendigkeit hingewiesen, zur Vermeidung von steuerlichen Gewinnkorrekturen aufgrund unangemessener Verrechnungspreise bzw. verdeckter Gewinnausschüttungen für sog. Cash Pools klare, im Voraus getroffene schriftliche Vereinbarungen aufgrund marktüblicher Konditionen zu treffen, die eine Ermessensausübung durch Geschäftsführung und Gesellschafterversammlung ausschließen.
Das damals bereits erwähnte weitere Revisionsverfahren (BFH III R 37/17) wurde mit einem jüngst veröffentlichten Urteil vom 11.10.2018 abgeschlossen und hat nun eine wichtige Klärung der gewerbesteuerlichen Frage gebracht, unter welchen Voraussetzungen eine Saldierung von Zinsaufwendungen und –erträgen innerhalb eines Cash Pools bei der Frage der teilweisen Nichtabzugsfähigkeit von Zinsaufwendungen nach § 8 Nr. 1 a GewStG anerkannt werden kann. Nach dieser Vorschrift wird dem Gewinn aus Gewerbebetrieb ein Viertel der Summe aus Entgelten für Schulden wieder hinzugerechnet, soweit sie bei der Ermittlung des Gewinns abgesetzt worden sind und soweit die Summe der vorzunehmenden Hinzurechnungen den Betrag von 100.000 EUR übersteigt. Hierbei ist es unerheblich, ob es sich bei der Schuld um eine langfristige oder eine kurzfristige Verbindlichkeit handelt und für welchen Zweck der Gegenwert der Schuld verwendet wurde.
Weiterhin ist die Form der Schuldaufnahme ebenso unerheblich wie der Ausweis in der Bilanz. Bei der Prüfung muss grundsätzlich jedes Schuldverhältnis für sich betrachtet werden, die Zusammenfassung mehrerer Schuldverhältnisse ist grundsätzlich nicht möglich (sog. Saldierungsverbot). Soll- und Habenzinsen aus mehreren wechselseitig gewährten Darlehen innerhalb eines Cash Pools sind allerdings ausnahmsweise dann als eine einheitliche Schuld zu werten, wenn die einzelnen Schuldverhältnisse wirtschaftlich zusammenhängen und regelmäßig tatsächlich miteinander verrechnet und fortgeschrieben werden.

[value] => En la edición de septiembre 2018 de este boletín electrónico se analizó una sentencia del Tribunal Federal Supremo de lo Fiscal (BFH) en materia del Impuesto sobre Sociedades (IS) alemán relativa a los llamados Cash Pools (centralización de tesorería de un grupo) resaltando la importancia de hacer constatar, por escrito con acuerdos previos y claros, las condiciones del mercado y de excluir la facultad arbitraria de la administración y de la asamblea de los socios para evitar una corrección impositiva y dividendos encubiertos, por haber aplicado precios de transferencia inadecuados.
El entonces anunciado procedimiento de casación (BFH III R 37/17) concluyó con una sentencia recién publicada del 11/10/2018 que trajo claridad en materia del Impuesto sobre Actividades Económicas (IAE) alemán definiendo los requisitos para la compensación de coste de financiación ajena e interés devengado dentro de un Cash Pool al considerar la no deducibilidad parcial de gastos de financiación ajena según § 8 Nr. 1 a GewStG (Ley Alemana del IAE). Con esta norma se podría ajustar el beneficio neto procedente de la actividad industrial y mercantil por un cuarto de la suma total procedente de remuneraciones para deudas, cuando estas sobrepasan los 100.000 EUR. No es relevante si las deudas se asumieron a corto o largo plazo o el fin del financiamiento. Ni tampoco el modo de haber contraído la deuda o la presentación en el balance.
A estos efectos se debe considerar cada relación contratual por separado siendo imposible una consolidación (denominada prohibición de compensación). Los intereses sobre la base de los tipos de los créditos y de los debitos de varios préstamos concedidos mutuamente en un mismo Cash Pool pueden determinarse como una sola deuda cuando los mismos provienen de un contexto económico relacionado, y si los saldos han sido compensados regularmente y de esta forma siempre se han registrado diariamente.
