[value] => In diesem Artikel möchten wir ein besonderes Augenmerk auf wenig bekannte, jedoch bedeutsame Aspekte der Ausschüttung von Dividenden spanischer Tochtergesellschaften an ihre Muttergesellschaften in anderen EU-Ländern legen. Im Allgemeinen ist diese Gewinnausschüttung in Spanien steuerbefreit, sofern gewisse Erfordernisse der Einkommensteuer für Nichtresidente (Impuesto sobre la Renta de No Residentes, „IRNR”) erfüllt werden.
Ferner ist die Einhaltung materieller Elemente unabdingbar. Gemäß der Rechtsprechung des EuGHs ist den folgenden Punkten besondere Beachtung zu schenken, um u. a. zu analysieren, ob die Unternehmensgruppe so gestaltet ist, um sich künstlich von der Zahlung der Steuern zu befreien:
(i) Die der Muttergesellschaft ausgezahlten Dividenden werden vollständig oder teilweise an ein anderes Unternehmen übertragen, die die Erfordernisse der Vorschriften nicht erfüllt – z. B., wenn die tatsächlich begünstigte Gesellschaft nicht in einem EU-Land ansässig ist.
(ii) Im Fall von Verträgen zu Konzernfinanzierungen, weshalb die Muttergesellschaft die erhaltenen Dividenden nicht wirklich nutzen kann anlässlich der Rückzahlung der Kredite.
(iii) Wenn die Muttergesellschaft keiner Geschäftstätigkeit nachgeht, mit besonderem Fokus auf Holding-Gesellschaften etc.
Angesichts des Vorstehenden empfehlen wir der Geschäftsführung spanischer Tochtergesellschaften, die zuweilen diesbezüglich wenig Handlungsspielraum hat, eine Bestätigung bei der Muttergesellschaft zu erbitten, dass diese nicht nur die formellen Bedingungen der IRNR sondern auch die „materiellen und wirtschaftlichen“ Erfordernisse der Konzernstruktur erfüllt. Sollte dies nicht geschehen besteht das Risiko, dass bei einem Steuerprüfungsverfahren die Handlung der Geschäftsführer als vorsätzlich eingestuft werden könnte und diese gesamtschuldnerisch für die bei der Ausschüttung der Dividenden der Tochtergesellschaft nicht abgeführten Steuern haften würden.

[value] => En este artículo queremos llamar la atención sobre aspectos importantes y poco conocidos, pero muy a tener en cuenta en la distribución de dividendos por parte de filiales españolas a sus matrices establecidas en otros estados de la UE. Este reparto de beneficios queda por regla general exento de impuestos en España, eso sí, bajo el cumplimiento de ciertos requisitos establecidos en la norma (Impuesto de la Renta de No Residentes “IRNR”).
Sin embargo, además de cumplirse los requisitos formales del IRNR, es necesario que se cumplan ciertos elementos materiales. Así y de acuerdo con la jurisprudencia del Tribunal de Justicia Europeo, habrá que prestar especial atención a los siguientes hechos, entre otros, si la estructura del grupo empresarial fue creada artificialmente para librarse del pago de impuestos:
(i) Todo o parte de los dividendos pagados a la matriz, son transmitidos casi de inmediato a otra empresa que no cumple con los requisitos de la norma – por ejemplo que la sociedad realmente beneficiaria esté establecida fuera de la UE
(ii), acuerdos contractuales de financiación del grupo empresarial, por las que la entidad matriz nunca pueda hacer uso efectivo de los dividendos recibidos
(iii) la ausencia de actividad económica en la entidad matriz, con especial atención a las holdings, etc.
Respecto de lo anterior recomendamos que los administradores de filiales españolas, cuyo poder de maniobra es en ocasiones escaso, soliciten a su matriz no solamente la confirmación del cumplimiento formal de los requisitos establecidos en el IRNR, sino de los “materiales y económicos” de la estructura del grupo. De lo contrario, debe tenerse en cuenta, que en un procedimiento de inspección, se podría considerar la actuación de estos administradores como dolosa, respondiendo de forma solidaria de los impuestos no retenidos en la distribución de dividendos por la filial.
