[value] => Der Schutz von Geschäftsgeheimnissen war im deutschen Recht bisher nur unzureichend geregelt. Im Rahmen einer EU-Richtlinie hat der deutsche Gesetzgeber diesen Bereich nun erstmals in einem eigenen Gesetz geregelt.
Eine der wesentlichen Neuerungen des Gesetzes besteht darin, dass nun der Begriff des Geschäftsgeheimnisses erstmals gesetzlich definiert wird und die Anforderungen an den Schutz dadurch erhöht werden. Unter den Begriff fallen Informationen, „die weder insgesamt noch in der genauen Anordnung und Zusammensetzung ihrer Bestandteile den Personen in den Kreisen, die üblicherweise mit dieser Art von Informationen umgehen, allgemein bekannt oder ohne weiteres zugänglich und daher von wirtschaftlichem Wert” sind, also typischerweise Know How, Kundendaten, Preislisten u.ä.. Der Geschäftsinhaber erlangt den Schutz durch das Gesetz in Zukunft aber nur noch, wenn er den Umständen nach angemessene Maßnahmen zur Geheimhaltung vornimmt und dies in einem Rechtsstreit auch beweisen kann. Es ist also dringend zu empfehlen, dass Unternehmen mit Blick auf das neue Recht überprüfen, ob die betriebsinternen Maßnahmen ausreichen und hierüber eine Dokumentation anlegen. Dazu gehört beispielsweise, dass Informationen, die unter den Schutz des Gesetzes fallen sollen, besonders sorgfältig verwahrt werden müssen, sodass nur bestimmte Personen Zugang dazu haben dürfen und Zugangsschranken eingerichtet werden müssen. Herkömmlich bedeutet dies, dass Know How unter Verschluss gehalten werden muss, gemünzt auf elektronisch gespeicherte Daten, dass sichere Passwörter an einen möglichst engen Personenkreis vergeben werden. Es gibt keine allgemeingültige Regel für „angemessene Schutzmaßnahmen“, außer dass diese umso strenger sein müssen je wichtiger die Geheimhaltung der Information für das Unternehmen ist.
Neuerungen gibt es ferner insofern, als dass sog. reverse engineering in Zukunft erlaubt ist, also vertraglich ausdrücklich ausgeschlossen werden sollte; für „Whistleblower“ gibt es unter Umständen Rechtfertigungsgründe, wenn die Anzeige von Missständen auch im öffentlichen Interesse liegt.

[value] => Hasta hoy, el Derecho alemán regulaba insuficientemente la protección de los secretos empresariales. Ahora, por primera vez, en el marco de una Directiva Europea, el legislador alemán ha regulado este ámbito en una normativa propia.
Una de las principales novedades de la Ley consiste en que el concepto de secretos empresariales queda definido legalmente, incrementándose de este modo los requisitos de protección. En esta definición se incluyen informaciones “que ni en su totalidad ni en el contenido exacto y composición de sus elementos, sean conocidas o de fácil acceso para las personas que generalmente tratan con este tipo de información y que, por ello, tienen un valor económico” y que son, habitualmente, Know How, datos de clientes, listas de precios, entre otros. Sin embargo, el empresario sólo obtendrá protección legal en el futuro si toma las medidas apropiadas a sus circunstancias para mantener el secreto y esto puede ser también demostrado en un litigio. Por lo tanto, se recomienda que las empresas, ante la nueva ley, verifiquen si las medidas internas son suficientes y se cree documentación sobre ello. Esto incluye, p. ej., que la información que debe ser protegida por la ley debe guardarse con especial cuidado, que sólo determinadas personas puedan tener acceso a ella y que deban establecerse barreras de acceso. Esto se traduce en que los Know How deben mantenerse bajo llave. En cuanto a los datos almacenados electrónicamente, las contraseñas seguras deben ser emitidas al círculo más reducido posible de personas. No hay una regla general para las “medidas de salvaguardia oportunas”, salvo que cuanto más importante sea la confidencialidad de la empresa, más estrictas deberán ser.
Además, existen novedades en la medida en que la llamada ingeniería inversa está permitida en el futuro, es decir, debe excluirse expresamente por contrato; para los “Whistleblower” puede haber motivos que la justifiquen en determinadas circunstancias, si el anuncio de los inconvenientes también es de interés público.
