[value] => Am 11. März wurde im spanischen Staatsanzeiger (BOE) die Entschlieβung des spanischen Rechnungslegungs- und Wirtschaftsprüfungsinstitutes (ICAC) vom 5. März 2019 veröffentlicht, durch welche die Kriterien für die Darstellung von Finanzinstrumenten und andere Aspekte der Rechnungslegung im Zusammenhang mit den handelsrechtlichen Vorschriften für Kapitalgesellschaften weiterentwickelt werden.
Wichtigstes Ziel der Entschlieβung ist die Festlegung und Weiterentwicklung der Kriterien für die Bilanzierung derjenigen Geschäftsvorfälle von Kapitalgesellschaften, die sich aus dem überarbeiteten Text des Gesetzes über Kapitalgesellschaften sowie aus dem Gesetz 3/2009 über strukturelle Veränderungen von Gesellschaften ergeben; beispielsweise: Kapitalzuführungen, Erwerb von eigenen Aktien und Anteilen, Ergebnisverwendung, Kapitalerhöhung und Kapitalreduzierung, Rückzahlung des Emissionsagios, Vergütung der Geschäftsführer, Auflösung und Liquidation, strukturelle Änderungen, Sitzverlegung usw.
Bislang gab es in Spanien keine vollständigen Vorschriften zu rechnungslegungsbezogenen Auswirkungen der handelsrechtlichen Vorschriften für Kapitalgesellschaften. Mit der vorliegenden Entschlieβung wird diese Lücke geschlossen und es wird beabsichtigt, die zugrundeliegenden Geschäftsvorfälle angemessen zu bilanzieren, um eine grössere Rechtssicherheit zu erreichen.
Die Entschlieβung ist verpflichtend von allen Kapitalgesellschaften, die den Allgemeinen Kontenrahmen (PGC) oder den Allgemeinen Kontenrahmen für Kleinere und Mittlere Unternehmen (PGC PYMES) verwenden, für alle ab dem 1. Januar 2020 beginnenden Geschäftsjahre anzuwenden.

[value] => El pasado 11 de marzo se publicó en el Boletín Oficial del Estado la Resolución de 5 de marzo de 2019 del Instituto de Contabilidad y Auditoría de Cuentas (ICAC), por la que se desarrollan los criterios de presentación de los instrumentos financieros y otros aspectos contables relacionados con la regulación mercantil de las sociedades de capital.
El principal objetivo de la Resolución es establecer y desarrollar los criterios para el registro contable de las operaciones mercantiles de las sociedades de capital derivados de la regulación incluida en el Texto Refundido de la Ley de Sociedades de Capital y en la Ley 3/2009, sobre modificaciones estructurales de las sociedades mercantiles; por ejemplo: aportaciones sociales, adquisiciones de acciones y participaciones propias, aplicación del resultado, aumento y reducción del capital social, reparto de la prima de emisión, remuneración de los administradores, disolución y liquidación, modificaciones estructurales, cambio de domicilio etc.
Hasta la fecha no existía en España una regulación completa de las implicaciones contables de la regulación mercantil de las sociedades mercantiles. Con la presente Resolución, se cubre esta laguna y se pretende dotar a estas operaciones de un tratamiento contable adecuado con la finalidad de alcanzar una mayor seguridad jurídica.
La Resolución es de obligado cumplimiento para aquellas sociedades de capital que aplican el Plan General de Contabilidad o el Plan General de Contabilidad de Pequeñas y Medianas Empresas y será de aplicación para las cuentas anuales de los ejercicios iniciados a partir del 1 de enero de 2020.
