[value] => In Vertriebssystemen nehmen Vertragshändler eine entscheidende Rolle ein. Anders als Handelsvertreter kaufen sie die Produkte eines Herstellers und verkaufen sie im eigenen Namen weiter. Sie übernehmen das Marketing, die Unterhaltung eines Vorratslagers und häufig auch den After-Sales Service für den Hersteller. Damit entlasten sie ihn von wesentlichen Risiken beim Vertrieb seiner Produkte.
Aber welche Rechte hat ein Vertragshändler, wenn der Hersteller den Vertrag kündigt, nachdem er dessen Produkt mit großem Aufwand im Vertragsgebiet eingeführt hat?
Vertragshändlerverträge sind in Deutschland nicht gesetzlich geregelt. Gerichte wenden Vorschriften des Handelsvertreterrechts entsprechend an, wenn die Interessenlage vergleichbar ist. Besonders relevant: Steht dem Vertragshändler bei Beendigung des Vertrages ein Ausgleichsanspruch zu? Für den Handelsvertreter ist dies gesetzlich ausdrücklich geregelt. Er wird dafür entschädigt, dass er für den Hersteller Kunden geworben hat und der Kundenstamm bei der Vertragsbeendigung regelmäßig beim Hersteller verbleibt. Bisher wurde dem Vertragshändler nur dann ein Ausgleichsanspruch zuerkannt, wenn er ähnlich wie ein Handelsvertreter in die Vertriebsorganisation des Herstellers eingegliedert ist. U.a. soll der Vertragshändler vertraglich verpflichtet sein, den Kundenstamm bei Vertragsbeendigung auf den Hersteller zu übertragen. Durch einen kürzlich veröffentlichten Beschluss des Landgerichts Nürnberg wurde diese Anforderung erheblich gelockert.
Das Landgericht vertritt die Ansicht, dass es für die Gewährung eines Ausgleichsanspruchs an den Vertragshändler ausreicht, wenn der Hersteller nach Vertragsende tatsächlich Vorteile aus dem Kundenstamm im Sinne einer konkreten Gewinnerwartung zieht („goodwill“). Hierdurch wird vielen Vertragshändlern die Durchsetzung eines Ausgleichsanspruchs erheblich erleichtert, weil meistens keine ausdrückliche Regelung zur Überlassung des Kundenstamms besteht. Es bleibt spannend, ob sich das Gericht mit dieser Meinung durchsetzt, denn das letzte Wort wird sicherlich der Bundesgerichtshof haben.

A diferencia de los agentes comerciales, compran los productos a un fabricante y los revenden en su propio nombre. Se ocupan del marketing, del mantenimiento de stocks y a menudo del servicio de postventa para el fabricante. Esto les libera de notables riesgos en la venta de sus productos.
Pero, ¿qué derechos tiene un distribuidor autorizado si el fabricante rescinde el contrato después de que éste haya introducido su producto con gran esfuerzo en el territorio contractual?
Los contratos de distribución no están regulados por ley en Alemania. Los tribunales aplican las disposiciones del Derecho de los agentes comerciales por analogía si existe un interés comparable. Especialmente relevante: ¿tiene el distribuidor derecho a una indemnización por el cese del contrato? En el caso de los agentes comerciales esto está regulado en la ley. Se le indemniza por haber aportado clientes al fabricante quienes continúan aportando ventaja económica para el fabricante al término del contrato. Hasta ahora, el distribuidor autorizado sólo tenía reconocido el derecho a una compensación si se integraba en la organización de las ventas del productor de manera similar a un agente comercial. Entre otros, el distribuidor debe estar obligado contractualmente a transferir la clientela al fabricante al término del contrato. Este requisito se ha suavizado notablemente en un auto del Tribunal Regional de Núremberg. Este Tribunal considera que para la concesión de una indemnización al distribuidor autorizado basta con que el fabricante se beneficie realmente de la clientela en el sentido de una expectativa de beneficio (“goodwill”) tras la finalización del contrato. Esto facilita considerablemente a muchos distribuidores la ejecución de una reclamación de indemnización, pues normalmente no existe ninguna disposición expresa sobre la transferencia de la clientela. Queda en el aire si el Tribunal se reafirma en esta opición, pues probablemente el Tribunal Federal de Justicia tenga la última palabra.
